A RESOLUTION AUTHORIZING A FIRST AMENDMENT TO
THE CONSTRUCT AND LEASE AGREEMENT FOR A CIVIC-
CONVENTION HOTEL CENTER DATED APRIL 17, 1979,
AND AUTHORIZED BY RESOLUTION NO. 6116 OF THE
BOARD OF DIRECTORS ADOPTED APRIL 3, 1979; AND
PRESCRIBING OTHER MATTERS RELATED THERETO
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE ROCK, ARKANSAS.
SECTION 1. Having received prior recommendation of the Little Rock Advertising
and Promotion Commission, there is hereby authorized the execution and delivery of a
First Amendment to the Construct and Lease Agreement between the City of Little Rock,
Arkansas and Little Rock Center Associates, Ltd. , an Arkansas Limited Partnership,
for development of a Civic-Convention Hotel Center, said First Amendment to be sub-
stantially in the form and with substantially the contents hereinafter set forth. The
Mayor and City Clerk, or Assistant City Clerk, are hereby authorized to execute,
acknowledge and deliver the First Amendment to Construct and Lease Agreement for and
on behalf of the City. The form and contents of the First Amendment to Construct and
Lease Agreement, which are hereby approved, are hereby made a part hereof the same as
though set out herein word for word and shall be substantially as shown on Exhibit "A"
attached hereto.

SECTION 2. That the Mayor, City Clerk or Assistant City,/City Manager, and Little
Rock Advertising and Promotion Commission, or any of them, for and on behalf of the City
be and they are hereby authorized and directed to do all things, execute all instruments,
and otherwise take all actions necessary to the realization of the rights of the City and
to discharge the obligations of the City under the terms of the Construct and Lease
Agreement, and the First Amendment to Construct and Lease Agreement herein provided for.
SECTION 3. That the provisions of this Resolution are hereby declared to be
separable and if any section, phrase, or provisions shall for any reason be declared to
be invalid, such declaration shall not affect the validity of the remainder of the
sections, phrases or provisions.
SECTION 4. All ordinances and resolutions and parts hereof in conflict herewith
are hereby repealed to the extend of such conflict.
SECTION 5. This Resolution shall be in full force and effect from and after its
adoption.
