A RESOLUTION AUTHORIZING A DEVELOPMENT SERVICES
AGREEMENT BETWEEN THE CITY OF LITTLE ROCK AND
LITTLE ROCK CENTER ASSOCIATES, LTD. , AN ARKANSAS
LIMITED PARTNERSHIP, PERTAINING TO THE CONSTRUCTION
OF BASE AND TOWER IMPROVEMENTS FOR THAT MULTI-
PURPOSE DOWNTOWN CIVIC-CONVENTION HOTEL PROJECT
PROVIDED FOR BY THE CONSTRUCT AND LEASE AGREEMENT,
AS AMENDED, BETWEEN THE PARTIES DATED APRIL 17, 1979,
AUTHORIZED BY RESOLUTION NO. 6116 OF THE BOARD OF
DIRECTORS ADOPTED APRIL 3, 1979, AND PRESCRIBING
OTHER MATTERS RELATED THERETO
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE ROCK, ARKANSAS.
SECTION 1. Having received the prior recommendation of the Little Rock Advertising
and Promotion Commission there is hereby authorized the execution and delivery of a
Development Services Agreement between the City of Little Rock, Arkansas and Little Rock
Center Associates, Ltd. , an Arkansas Limited Partnership, the latter therein referred to
as Developer. Pursuant to said Development Services Agreement, Developer will enter
into a construction contract with a general contractor to construct the base improvements
and tower improvements of the project based on a guaranteed maximum contract price for
the base or Civic-Convention portion of the project not to exceed $16,300,000.00, and
be paid a development fee for services rendered prior to execution of said agreement
and reimbursement for costs and expenses for services yet to be rendered. The Mayor and
City Clerk, or Assistant City Clerk, and the Advertising and Promotion Commission are
hereby authorized to execute, acknowledge and deliver the Development Services Agreement
for and on behalf of the City of Little Rock. The form and contents of the Development
Services Agreement, which are hereby approved, are hereby made a part hereof the same
as though set out herein, and shall be substantially as shown on Exhibit "A" attached
hereto.
SECTION 2. That the Mayor, City Clerk or Assistant City Clerk, City Manager, and
Little Rock Advertising and Promotion Commission, or any of them, for and on behalf of
the City be and they are hereby authorized and directed to do all things, execute all
instruments, and otherwise take all actions necessary to the realization of the rights
of the City and to discharge the obligations of the City under the terms of the Develop-
ment Services Agreement.
SECTION 3. That the provisions of this Resolution are hereby declared to be separable
and if any section, phrase, or provisions shall for any reason be declared to be invalid,
such declaration shall not affect the validity of the remainder of the sections, phrases
or provisions.

SECTION 4. The Agreement between Contractor and Owner for a guaranteed maximum
contract for the construction of the Little Rock Hotel Convention Center dated June 10,
1980 between Hardin International, Inc. and Pickens-Bond Construction Company, as Con-
tractor and Little Rock Center Associates, Ltd. , as Owner, together with scope plans
and specifications, copies of all of which are a part of Exhibit "A" and attached hereto
are hereby approved.
SECTION 5. All ordinances and resolutions and parts hereof in conflict herewith
are hereby repealed to the extent of such conflict.
SECTION 6. This Resolution shall be in full force and effect from and after its
adoption.
