HomeMy WebLinkAbout5956 RESOLUTION NO 5,956 A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO AN AMENDED AGREEMENT WITH PUBLIC TECHNOLOGY, INC. ; AND FOR OTHER PURPOSES BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE ROCK, ARKANSAS . SECTION 1 . The City Manager is hereby authorized to enter into an amended agreement with Public Technology, Inc. to pro- vide for an extension of the original agreement, as amended, until November 30 , 1980 . A copy of said amended agreement is attached hereto as Exhibit "A" and made a part hereof the same as though set out herein word for word. SECTION 2 . This Resolution shall be in full force and effect from and after its adoption. ADOPTED: June 20, 1978 141 41/ ATTEST: APPRO '°11 : City Clerk Vice Mayor FOURTH AMENDMENT TO AN AGREEMENT BY AND BETWEEN PUBLIC TECHNOLOGY, INCORPORATED and City of Little Rock (SITE) FOR THE SERVICES OF AN URBAN TECHNOLOGY AGENT DATED April 11, 1974 • THIS AMENDMENT, entered into this day of , 1978 by and and between City of Little Rock (hereinafter referred to as the "Site") and PUBLIC TECHNOLOGY, INCORPORATED (hereinafter referred to as PTI,) is for the purpose of revising and extending the original agreement, as amended between PTI and the Site. This revision is necessary because PTI has received a new contract from the National Science Foundation extending the Urban Technology System until November 30, 1980. This amendment shall take effect on June 1, 1978. Witnesseth That: WHEREAS that effective on June 1, 1978 PTI was awarded a contract C-ISP77- 26003 by the National Science Foundation to continue and expand the Urban Technology System program to increase technology utilization by local governments and; WHEREAS this program (UTS) has been successful as a mechanism for applying and transferring technology and innovation to participating local govern- ments and; WHEREAS this success is due to the full cooperation and support by the participating local governments for the goals of the program and; • WHEREAS PTI and the site desire to continue their agreement for the Site's participation and support for the Urban Technology System and acceptance and support of a Technology Agent (TA) ; NOW, THEREFORE, the parties hereto do mutually amend the following para- graphs of the original agreement as amended to read as follows: 2. Scope of Agreement First sentence is changed to read: Under the referenced contracts between PTI and the National Science • Foundation effective June 1, 1973 and June 1, 1978, PTI was awarded a multi-year program contract to establish, operate, maintain and document the performance of an Urban Technology System Network. 3. Responsibilities of the Site Referenced subsections replaced in total by: (c) One PTI/UTS meeting, other than the National Meeting per year. (f) To pay 90 percent of the TA's salary. (g) To pay 100 percent of the TA's fringe benefits. 4. Reservation of Time Paragraph replaced in total by: Function of the Technology Agent (a) It is mutually agreed and understood that the primary function of the Technology Agent shall be to assist the site in identifying its technological needs and then to find and implement technologies and in- novations which meet those needs. As part of the nationwide network of the Urban Technology System it is also the TA's function to share the site's innovative programs with the participants of UTS and other local governments. (b) In addition the TA shall also provide services to PTI, as the Program Manager, in the areas of data collection, program documentation and attendance at UTS sponsored meetings. These PTI directed activities should not exceed twenty percent of the TA's time. 5. Responsibility of PTI Referenced subsections replaced in total by: (g) It will provide the following financial support: 1) 10 percent of the TA's salary. 2) 100 percent of the TA's and CAO's expenses incurred in attendance at national or other UTS meetings. 8. Duration of the Contract First sentence changed to read: L7 This contract shall be in force from the commencement of the First • Program Year until November 30, 1980 unless sooner terminated pursuant to the provisions set out below in paragraph 9, 9. Termination for Convenience Paragraph replaced in total with: Termination (a) Funding of the referenced prime contract NSF--C-ISP77-26003 is provided annually based upon the successful completion of the previous year's work plan. A decision by NSF not to provide further allotments under the prime contract will automatically be cause for termination of this sub-contract under the provisions of (b) and (c) below, (b) PTI or the Site may terminate this contract at any time by giving thirty-days written notice to the other of such termination, (c) In the event of termination the unfinished documents, data studies, surveys, drawings, maps, models, photographs, and reports or other material prepared by the Technology Agent under this contract shall become the property of the National Science Foundation. 13.
