A RESOLUTION AUTHORIZING THE CITY OF LITTLE
ROCK TO ENTER INTO AN INTERLOCAL COOPERATION
AGREEMENT, AS AMENDED, WITH PULASKI COUNTY
AND PERRY COUNTY FOR A CENTRAL ARKANSAS
LIBRARY SYSTEM; AND FOR OTHER PURPOSES

BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
LITTLE ROCK, ARKANSAS .
SECTION 1 . The Mayor and City Clerk, acting for and on
behalf of the City of Little Rock, are hereby authorized and
directed to enter into an Interlocal Cooperation Agreement , as
amended, with Pulaski County and Perry County for a Central

Arkansas Library System, to provide library services to all
A people within the participating areas to the fullest extent

apractical and possible; to establish a cooperative collection
of books and related materials; to provide and improve rotation
of books throughout a wider area; to eliminate unnecessary dupli-
cation of functions , facilities and assets, to take advantage
of bulk discounts and purchase economies and to provide for the
addition of other participating areas to the system. The Agree-
ment shall be in form and substance as set out on Exhibit "A"
attached hereto and made a part of this Resolution as though
set out herein word for word.
SECTION 2 . This Resolution shall be in full force and
effect from and after its adoption.

• AMENDED INTERLOCAL COOPERATION AGREEMENT
That Interlocal Cooperation Agreement made a part of
an order of the Pulaski County Court filed February 19, 1975, is
hereby amended to read as follows:
I. PARTIES.
This amended agreement is hereby entered into by and
between Pulaski County, Arkansas, acting through its Quorum Court;
Perry County, Arkansas, acting by and through its Quorum Court; and
the City of Little Rock, Arkansas, acting by and through its Mayor
and Board of Directors, pursuant to Act 430 of 1967 as amended (being
Ark. Stat. Ann. S14-901-14-908) .
II. PURPOSE.
The purpose of this agreement is to create and continue
a library system for the central Arkansas area which will provide li-
brary services to all people within the participating units, to the
fullest extent practical and possible; to establish a cooperative col-
lection of books and related materials; to provide and improve rota-
tion of books throughout a wider area; to eliminate unnecessary du-
plications of functions, facilities and assets; to take advantage
of bulk discounts and purchase economies; and to provide for the addi-
tion of other participating units to the system.
III. NAME.
The name of the organization created by this agreement
shall be "Central Arkansas Library System" (sometimes referred to here-
in as "System") .
IV. ORGANIZATION.
A. The Central Arkansas Library System shall be composed
of the governmental units named as parties hereto and the library fa-
cilities owned and operated by them. The System shall be under the
supervision, administration and direction of a Board of Trustees chosen
as follows: three members residing in Perry County or Pulaski County,
exclusive of the City of North Little Rock, appointed by the County

Judge of Pulaski County, with the approval of the Pulaski County
Quorum Court, and with the advice of the County Judge of Perry County
and the Perry County Quorum Court; and six members residing in the
City of Little Rock appointed by the Board of Directors of the City
of Little Rock. Members so appointed shall serve for terms of three
years or until their successors are appointed. However, members of
the initial Board shall draw lots, with three members to serve terms
of one year, three members to serve terms of two years, and three
1 members to serve terms of three years, their successors to be ap-
pointed for full three year terms. No member shall be appointed for
more than two full terms in succession, not including fractional or
unexpired terms. During any period when there is no Board member re-
siding in Perry County, the County Judge of Perry County, with the
approval of the Perry County Quorum Court, shall' be entitled to ap-
point a non-voting observer who shall be entitled to attend all
meetings of the Board. During the period of membership of the con-
stituent governmental units within the System, the Board of Trustees
of the System shall manage the System, but the individual, local li-
t brary governing bodies shall continue to exist, for the purpose of per-
forming any duties imposed upon such bodies by statute or the Arkansas
Constitution. Nothing herein shall be construed to prohibit or limit
service by the members of such bodies on the Board of Trustees of the
System, provided they are otherwise eligible.
B. Title to fixed assets held by the constituent gov-
ernmental units and used for library purposed at the time of the ex-
ecution of this agreement shall remain unchanged. Additonal assets
shall be acquired in the name of the Central Arkansas Library System.
C. Additonal governmental units may become constit-
uent members of the Central Arkansas Library System with the consent
of all the existing constituent governmental and conditions of their
association, including but not limited to representation on the Board
of Trustees.
V. TERMINATION OF ASSOCIATION.

The duration of this organization shall be indefinite.
However, any of the constituent governmental units may withdraw from

said organization at the close of any fiscal year; provided, however,
that notice thereof shall have been given to all other constituent units
at least one year in advance of the proposed date of withdrawal.
Membership in the Central Arkansas Library System shall be voluntary
with each governmental unit approving membership. Any unit with
drawing from the Central Arkansas Library System may reestablish its
own library facility and governing body, as provided by. law. In the
event of withdrawal, the withdrawing unit and the remaining units
shall retain title to their fixed assets, as described in subpara-
graph IV-B hereof. However, the withdrawing unit shall be entitled
to a pro rata portion of the net assets added to the System during
its period of membership and reasonably attributable to its contri-
butions to the System during that period, such allocation to be made
by the Board of Trustees, in its sole discretion, including those
Trustees representing the withdrawing unit.
VI. EMPLOYEES OF THE SYSTEM.
The Board of Trustees of the System shall fix the num-
ber and the salaries of employees of the Central Arkansas Library Sy-
stem.
VII. OPERATION.
The System shall provide centralized technical and ad-
ministrative staff services, to the end that the entire area served
by the System shall receive the optimum level of library services and
facilities, consistent with the resources of the System and the needs
of the people served.
VIII. FINANCING.
The Board of Trustees having administration of the Cen-
tral Arkansas Library System shall budget and disburse all funds re-
ceived by it from the appropriate designated authorities of the gov-
ernmental units participating in this Interlocal Cooperation Agree-
ment.
IX. EFFECTIVENESS.
This amended agreement shall become effective on Jan-
uary 1, 1978 provided that, prior to said date, it has been approved
by ordinance of the constituent governmental units and executed pur-

suant to said ordinances; that the Attorney General of the State of
Arkansas has either approved it or failed to disapprove it; and that
it has been filed with the County Clerks of Pulaski and Perry County
and the Secretary of State. Otherwise, it shall become effective on
the date the last of the above specified acts shall have been accom-
plished. '
