RESOLUTION NO. 5,093
A RESOLUTION PROVIDING A POLICY OF THE BOARD OF DIRECTORS; AND FOR OTHER
PURPOSES.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE ROCK,
ARKANSAS:
SECTION 1. The members of the Little Rock Board of Directors hereby reaffirm
the principle that in the City Management form of government the role of the
Board of Directors is that of policy-making and giving direction to the affairs of
city government.
SECTION 2. The role of the City Manager is that of the chief executive officer
of City Government, and he is answerable only to the Board of Directors, collectively,
as the policy-making body, but not to any board member, individually.
SECTION 3. Based upon such premise, we, individually, as members of the
Little Rock Board of Directors, do affirm the hereinafter principles in discharging
our responsibility as Directors.
SECTION 4. (a) That each member of the Board of Directors shall actively
concern himself with the performance, efficiency and economy of local government
and shall make criticism, suggestions and comments concerning same only to the
City Manager or to the Board, or both;
(b) Except for the purpose of inquiries and investigations as to any
municipal matter, each member of the Board shall deal with department heads and
employees who are subject to the direction and supervision of the Manager solely
through the Manager, and neither the Board of Directors nor its members shall give
orders to, or attempt to direct or influence, any department head or employee,
either publicly or privately, with respect to the performance of any official duty
or responsibility of such department head or employee;
(c) That no Board member shall commit any funds, performance or service of
the City in advance of staff or City Manager approval, or, where necessary, by
action of the entire Board;
(d) That the foregoing principles shall not apply where membership on any
board, commission or entity to which a Board Member shall be appointed, shall,
with respect to such entity, require his activity in matters of personnel and
executive functions, unless the Board shall otherwise direct;

(e) No Board Member shall use any city vehicle for transportation, nor
utilize any city employee's time in the pursuit of any personal business.
Transportation or other accommodation pertaining to discharge of duties as a
Board Member may be arranged by the City Manager only where necessary or
appropriate.
(f) As between the members of the Board of Directors, each director shall
conduct himself so as to reflect the inherent dignity and equality of every other
director. To facilitate the conduct of business in a serious and deliberative
manner, each director shall address all other directors with the highest degree
of courtesy and respect at all times. Although honest differences of opinion
will occur between directors, and debate on disputed issues may be based upon
strong feelings and convictions, each director shall address his remarks to such
issue and shall avoid personal reference to any other director.
SECTION 5. This Resolution shall be in full force and effect from and after
its adoption.
