A RESOLUTION AUTHORIZING PURCHASE OF FUEL
STORAGE TANK FOR SANITATION DEPARTMENT;
AWARDING CONTRACTS TO FURNISH FILTER SYSTEM
FOR LITTLE ROCK ZOO; AIR CONDITIONING FOR
OLD CITY JAIL AND ANNUAL MAINTENANCE OF
POLICE AND COURTS BUILDING AIR CONDITIONING;
AUTHORIZING PAYMENT; AND FOR OTHER PURPOSES
WHEREAS , invitation to bid was duly advertised and bids
received pursuant thereto according to law for the purchase of
a fuel storage tank, filter system for Little Rock Zoo, air
conditioning for old City Jail area and maintenance services
on air conditioning system at Police & Courts Building; and
WHEREAS , the lowest responsible and responsive bids have
been determined and it is the desire of the Board of Directors
to authorize contracts for said purchase and filtering system
and air conditioning services from the lowest responsible and
responsive bidders .
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS
OF THE CITY OF LITTLE ROCK, ARKANSAS .
SECTION 1. The lowest responsible and responsive bids on
the purchase of a storage tank, filtering system and air con-
ditioning services are hereby accepted and contracts awarded
as follows :

SECTION 2 . Maintenance of air conditioning system at
Police & Courts Building shall be done in accordance with pro-
visions of a contract between the City of Little Rock and
Fagan Electric Company, which contract is attached hereto as
Exhibit "A" .

SECTION 3 . Upon delivery, installation and/or servicing
of the above described items complying in all respects with
bidding specifications , the City Manager and Director of Finance
are hereby authorized and directed to execute the necessary
warrant or warrants in payment of said purchase price.
SECTION 4 . This Resolution shall be in full force and
effect from and after its adoption.

SERVICE AGREEMENT
for
HEATING AND AIR CONDITIONING EQUIPMENT
To: The Fagan Company, Inc.
3401 West 65th Street
Little Rock, Arkansas 72209
You are hereby authorized to provide maintenance in accordance with the terms !
and conditions of this agreement, on existing equipment, at the following location.
Police and Courts Building 700 Markham Little Rock , Arkansas
A. SCOPE
Service under this agreement shall consist of:
1 . (6) Preventive maintenance inspections per year to be performed during "normal
working hours" by Fagan Service Personnel .
2. (2) Preventive maintenance inspections per year to be performed by Arkla.
3. (4) Preventive maintenance inspections per year to be performed by Johnson
Service Company.
4. (12) Filter changes per year by Arkansas Filter Service (furnish and install )
B. GENERAL PROVISIONS
The following provisions shall apply as indicated:
1 . The general purpose of this agreement shall be to provide means for keeping
the existing equipment in good operating condition. Modification of the
equipment and/or system(s) to comply with recommendations or directions of
insurance companies , governmental bodies for other reasons is not within the
scope of this agreement.
2. Maintenance and service required as a result of normal use , wear and tear are
within the scope of this agreement. Maintenance or service required as a result
of damage due to fire, water, floods , storms , explosions , burglary, vandalism,
accident, abuse, strikes , acts of God or of the public enemy , war, riot, civil
commotion or any similar c?use is not within the scope of this agreement.
3. It is understood that we will provide reasonable means of access to the
equipment to be inspected or serviced.
4. Except as other wise provided , liability for injury or damage to persons or
property shall not be affected by this agreement. You shall not, however, be
liable to us or to others for loss or damage due to causes beyond your control ,
except to the extent, if any, caused by our own negligence or default; and in
no event shall you be liable to us or others for consequential loss or damages.
C. PAYMENT
Payment to be made by us on presentation of your itimized invoices :
1 . Inspections as listed under A of this agreement shall be billed bi-monthly after
each Fagan inspection (6 billings per year) Four hundred , nine dollars and fifty-..
nine cents ($409.59) per billing.
2. Emergency calls and replacement of new parts and equipment will be computed on
a time material bases by the following schedule :
a. Labor: (Fagan Serviceman)
During "Normal working hours" 13.50 per hour (8AM to 4:30 PM Monday through
Friday inclusive , excluding holidays.
During "Other working hours" 20.25 per hour
b. Transportation Charges : Actual cost to Fagan Company Inc.
c. Serviceman's Expenses : Actual cost to Fagan Company Inc.
d. Materials :
New equipment: At published list prices less 25% or 20% above your cost
Parts : At published list prices less 25% or 20% above your cost
e. Freight and Taxes :
Any freight, or applicable taxes or govermental charges will be paid by
Fagan Company and billed to us at actual cost. I
This agreement shall remain in force and effect from year to year. However, it may
be cancelled at any time by either party upon 30 days written notice. Amendments
or modifications may be made at any time upon written agreement of both parties.
