A RESOLUTION AWARDING A CONTRACT FOR THE
LITTLE ROCK PORT TRANSIT SHED, CONTRACT
NO. 3; AND FOR OTHER PURPOSES.
WHEREAS, invitation to bid was duly advertised and
bids received pursuant thereto for the construction of the
Little Rock Port Transit Shed, Contract No. 3 in accordance
with plans and specifications prepared by Garver and Garver,
Engineers, and on file in the office of the Purchasing Agent
all in accordance with law; and
WHEREAS, the lowest responsible and responsive bid
received for said work is that of Rock Steel Building Company
and it is the desire of the Board of Directors to award a
contract to said bidder for said project.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS
OF THE CITY OF LITTLE ROCK, ARKANSAS.
SECTION 1 . A contract for the construction and
erection of the Little Rock Port Transit Shed, Contract No. 3
in accordance with plans, specifications and bid proposal on
file in the office of the Purchasing Agent is hereby awarded
to Rock Steel Building Company on a unit price basis but not
to exceed the sum of One Hundred Forty One Thousand Four Hundred
Ninety Two and NO/100 Dollars ($141,492.00) and the Mayor and
City Clerk are hereby authorized and directed to execute said
contract for and on behalf of the City which shall be in form
and substance as follows :

hereinafter called the "Contractor", and The City of Little Rock and Little
Rock Port Authority, an agency thereof, hereinafter called the "Owner".
WITNESSETH, that the Contractor and the Owner for the consideration
stated herein mutually agree as follows:

ARTICLE 1. Statement of Work. The Contractor shall furnish all super-
` vision, technical personnel, labor, materials, machinery, tools, equipment,
.3 incidentals, and services, including utility and transportation services, and
perform and complete all work required for the construction of Little Rock
Port Transit Shed, Contract III, Little Rock, Arkansas, in strict accordance
with the Contract Documents, including all Addenda thereto, numbered
dated
and dated
as prepared by the Engineer.
ARTICLE 2, The Contract Price, The Owner will pay the Contractor, be
cause of his performance of the Contract, for the total quantities of work
performed, the sum stated in the Base Bid of the Proposal (plus the additive
sum for Alternate No. 1) (minus the deductive sum for Alternate No. 1) (draw
line through non-applicable alternate sums) , subject to additions and deduct-
ions as provided in GC-05, 'Changes in the Work' , of GENERAL CONDITIONS,
ARTICLE 3. Contract Time. The Contractor agrees to begin work within
ten (10) calendar days after issuance by the Owner of a "Work Order" or
"Notice to Proceed" and to complete the work within 150 calendar clays there-

after. If the Contractor shall fail to complete the work within the time
specified, he and his Surety shall be liable for payment to the Owner, as
liquidated damages ascertained and agreed, and not in the nature of a penalty,
the amount specified in GENERAL CONDITIONS of these contract documents for
each day of delay. To the extent sufficient in amount, liquidated damages
shall be deducted from the final payment to be made under this contract.

ARTICLE 4. Contract, The executed contract documents shall consist of

This Agreement, together with other documents enumerated in this ARTICLE 4,
,; which said other documents are as fully a part of the Contract as if hereto
attached or herein repeated, form the Contract between the parties hereto,
In the event that any provision in any component part of this Contract con-

!Fa flicts with any provision of any other component part, the conflict shall be
0 resolved by the Engineer whose decision shall be final.

ARTICLE 5. Surety, The Surety on the Performance-Payment Bond shall be
a surety company of financial resources satisfactory to the Owner and author-
ized to do business in the State of Arkansas.
IN WITNESS WHEREOF, the parties hereto have caused this AGREEMENT to be
executed in five (5) counterparts, each of which shall be considered an ori-
ginal, on the day and year first above written.rro

SECTION 2. Upon completion of the work provided for
by the contract authorized in Section 1 hereof satisfying in
all respects plans, specifications and bid proposal also
identified, the City Manager and Director of Finance are hereby
authorized and directed to issue the necessary warrant or warrants
in payment of said contract price in accordance with the terms
and conditions provided for by said contract.
SECTION 3. This Resolution shall be in full force
and effect from and after its adoption.
