SECTI0N 1. The Mayor and Board of rublic Affairs are
hereby authorized to enter into a contract with the standard Oil
Company of Louisiana whereby the :ity aTrees to purchase from
the _tandard Oil Com? -any all aviation asoline and lubricants
sold by the City at the Little Rock iunicipal Airport, in line
with the contract submitted by the = -Itandard Oil Company of Louis -
iana, dated .:arch 31, 1947, copy of v;hich contract is attached
hereto and expressly made a part hereof.
SEC' ION 2. '.hereas, the City is in immediate need of
aviation gasoline for the purpose of resale at the Airport, an
emergency is, therefore, hereby declared to exist and this or-
dinance is found to be necessary for the immediate preservation
of the public peace, health and safety of the citizens of the
City of Little Rock and same shall be in Trull force and effect
from and after its passage and approval.

C O N T R A C T

STANDARD OIL COMPANY OF LOUISIANA, a Louisiana corporation, hereinafter called ( "SELLER "r�
and TIM CITY OF LITTLE ROCK, LITTLE ROCK, ARKANSAS, hereinafter called "BUYER ".
WIT M SSETH:
In consideration of the mutality hereof it is agreed as follows:
1. SELLER agrees to sell and deliver by tank car to BUYER at the Little Rock
L:unicilal Airport Siding and BUYER agrees to purchase and receive from SELLER its
requirements of Aviation Casolines; also Aviation. Lubr•icRnts, but the latter are to be
delivered by SELLER'S Motor Equipment.
2. It is agreed that sales of Aviation Gasolines hereunder shall be at the
Posted Tank Car Prices of SELLER. on date of shipment, or the BUYER, at its option, on
previous written notice to SELLER, may take advantage of price fluctuations at fixed
differeiLtials of FOUR DECII,IAL SIX NAUGHT SEVEN FIVE (4.6075) CENTS per gallon for
SEVENTY FOUR (74) Octane Aviation Gasoline, of FIVE DECI;;:AL ONE NAUGr?T SEVEN FIVE
(5.1075) CENTS per gallon for EIGHTY (80) Octane Aviation Gasoline and of SIX DECDJAL
SIX NAUGHT SEVEN FIVE (606075) CENTS per gallon for EIG:-TY SEVEN (87) Octane Aviation
Gasoline above the average quotation in Platts Oilgram, on date of shipment , for
Sr'y_TY EIGHT DASH SEVENTY (68 -70) Octane U. S. ;,10TOR GASOLINE; that Avia.tionLubricants
shall be sold hereunder at SELLER'S Posted Dealer Prices on date of delivery.
3. It is agreed that any duty, tax or other charge now in effect or hereafter
en.-acted which SELLER may be required to collect or pay with respect to the manufacture,
sale, delivery and/or use of the commodities covered hereby will be added to the above
prices and paid by the BUYER.
4. BUYER shall pay for all products delivered hereunder in cash at the time
of delivery, unless SELLER shall extend credit to BUYER, provided, however, that if
credit is extended, and at any time thereafter BUYER'S financial responsibility shall
become impaired or unsatisfactory to SELLER advance cash payment or satisfactory
security shall be made or given by BUYER on'der_and by SELLER and SELLER may withhold
further deliveries until such payment or security is received.
5e All orders shall be filled with reasonable promptness by SELLER except
that in case of fire, riots, strikes or accidents or any other conditions whether or
not similar in character to those specifically named, which unavoidably stop SELLER
from making deliveries, deliveries contracted for may be cancelled or partially
cancelled, as the case may require. Sach interruptions of deliveries, however, shall
not invalidate the remainder of this agreement, but upon removal of the cause of the
Interruption deliveries shall be continued as before.
6. It is further agreed that the SELLER shall install on the Little Rock
L,unicipal Airport suitable Tani: Car storage accessible to Railway Siding and to
convenient tenkrvagon loading for reeeivirL and storing TWO (2) grades of Aviation
C*e.soline, and shall also lend to the BUYER for the duration of this contract a
suitably equipped tankTagon for servicing Airplanes on the Little Rock 14unicipal
Airport.
Necessary Railway Siding shall be furnished and Maintained by the
BUYER, and all Tank Cars of Gasoline shall be unloaded by the BUYER under its orris
supervision and at its expense.
That said above mentioned equipment shall be at all times maintained.
by SELLER in good operating condition and shall be the property of SELLER at all times,
but shall be loaned to BUYER during terry, hereof, and, in the event of terraina.tion
hereof and substitution of another SELLER under a future agreement, the SELLER hereunder
agrees to sell said equipment to its successor at its then depreciated value.
The BUYER shall furnish the Driver or Drivers and other employees, if any,
necessary to the efficient operation of said tank:,,ragon and other equipment at its own
expense, and shall likewise furnish at its own expense all necessary Motor Fuel and
Lubricants for the proper operation of said tanksagon and agrees further to take good
care of all equipment loaned under this contract, ord1nary :ear and tear excepted, and
the BUYER agrees to save the SELLER harmless for all claims for damages for Injuries
to persons or property arising out of operation of said tankwagon and any other
equipment loaned to BUYER.

7. The SELLER shall purchase all existing improvements on the Little Rock
Yunicipal Airport heretofore placed thereon by The Texas Company, consisting of a
stucco finished building, underground tanks, pipes and pit; provided that SELLER shall
be required to pay only the present fair value for such existing; improvements which in
no instance shall exceed the original cost of any item.
8. Present improvements heretofore placed by SELLER or hereafter purchased
from The Texas Company on the Little Rock Municipal Airport shall remain during the
term hereof, but in the event of the termination of this contract for any cause, the
BUYER shall purchase all of said improvements from SELLER at original cost ((not to
exceed Three Thousand (432000.00) Dollars less ten percent (10100) per year depreciation
commending as of January 1, 1932.
9e This agreement shall be effective from and after the effective de.te of
the City Ordinance authorizing same, and shall continue in effect for FIVE (5) years
thereafter, and after such FIVE (5) years from year to year until one party shall
have given thirty (30) dayst written notice to the other party of intention to terminate
this agreement on the expiration of the then current yearly period.
10. There is no understanding or agreement, express or implied, on any of
the subjects referred to in this agreement other than those specifically stated herein.
'his agreement is a personal one and shall not be assigned or transferred by BUYER
directly or indirectly without the written consent of SELLER.
IN 1,11ITNESS WHEREOF, the parties hereto have caused these presents to be
duly executed under their hands and seals the day and year first above written.
