ORDINANCE NO. 20,582
3 AN ORDINANCE TO DISPENSE WITH COMPETITIVE BIDS; TO
4 AWARD A FIVE (5) -YEAR SOFTWARE MAINTENANCE AGREE -
5 MENT TO LAWSON, IN THE AMOUNT OF SIX HUNDRED FORTY -SIX
6 THOUSAND, FOUR HUNDRED EIGHTY -EIGHT DOLLARS AND SEV-
7 ENTY -FOUR CENTS; AND FOR OTHER PURPOSES.

9 WHEREAS, the City utilizes Lawson software for its accounting and human resources /payroll
10 functions; and,
11 WHEREAS, this system is managed by Lawson software purchased by the City in 2006; and,
12 WHEREAS, because this software is a Lawson software proprietary application, only Lawson is
13 authorized to provide the necessary maintenance service required to protect against a shut -down of the
14 accounting and human resources /payroll software; and,
15 WHEREAS, it is now time to enter into another one -year agreement for Lawson software
16 maintenance; and,
17 WHEREAS, as long as it can be certified to the City Manager that Lawson is the only company that
18 is authorized to provide this maintenance service pursuant to the Lawson software license, then an annual
19 resolution upon recommendation of the City Manager should be sufficient for the renewal of this
20 agreement;
21 NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY
22 OF LITTLE ROCK, ARKANSAS:
23 Section 1. The City Manager is authorized to enter into a five (5) -year maintenance agreement with
24 Lawson, in a form to be approved by the City Attorney, for Lawson software maintenance for a total
25 amount of Six Hundred Forty-Six Thousand, Four Hundred Eighty-Eight Dollars and 74/100
26 ($646,488.74), divided into five (5) annual payments of:
27 (a) $116,998.17 for period No. 1,
28 (b) $122,848.08 for period No. 2,
29 (c) $128,990.48 for period No. 3,
30 (d) $135,440.01 for period No. 4, and
31 (e) $142,212.01 for period No. 5,
32 Section 2. Because of the need to have periodic software maintenance performed by Lawson
33 technicians in order to comply with the Lawson software license requirements and to protect the

I accounting and human resources /payroll software, the Board declares that it is impractical and unfeasible
2 to submit this matter to a competitive bid process, and, therefore, waives competitive bidding.
3 Section 3. As long as Lawson is the only authorized provider of maintenance service for the City's
4 accounting and human resources /payroll software, an annual resolution to add another year to the
5 agreement authorized by this Ordinance, and to establish the consideration for such a contract, is all the
6 legislative authority required, provided the City Manager certifies to the Board of Directors that there is
7 no other local provider of this service, and provided further than no such additional agreement will be for
8 more than a one (1) -year period of time.
9 Section 4. Funds for the annual payment required pursuant to the agreement authorized by this
10 ordinance are available in the City's Network Operations Account No. 103001 -61350 and in the Finance
11 Account No. 102501- 63390.
12 Section 5. Severability. In the event any portion of this ordinance is declared or adjudged to be inva-
13 lid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of this or-
14 dinance, which shall remain in full force and effect as if the portion so declared or adjudged invalid or
15 unconstitutional was not originally a part of this ordinance.
16 Section 6. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with any
17 provision of this ordinance are hereby repealed to the extent of such conflict.
18 Section 7. Emergency. The need for immediate and uninterrupted software maintenance services is
19 necessary to protect the City's critical accounting and human resources /payroll system which is essential
20 for city services and, therefore, is crucial to continue everyday operations of the City; an emergency is,
21 therefore, declared to exist and this ordinance shall be in full force and effect from and after the date of
22 its passage.
