3 AN ORDINANCE TO DISPENSE WITH COMPETITIVE BIDS; TO AWARD A
4 FOUR (4) -YEAR AGREEMENT FOR HEWLETT - PACKARD EQUIPMENT
5 MAINTENANCE SERVICES TO NORTHROP GRUMMAN IT, IN THE
6 AMOUNT OF FIFTY -SIX THOUSAND, THIRTY -ONE DOLLARS ($56,031.00)
7 PLUS TAXES; TO AUTHORIZE ADDITIONAL ANNUAL EXTENSIONS OF
8 THIS AGREEMENT AT THE DISCRETION OF THE CITY MANAGER; TO
9 DECLARE AN EMERGENCY; AND FOR OTHER PURPOSES.

11 WHEREAS, Northrop Grumman Information Technology ( "Northrop Grumman ") has provided
12 maintenance and technical support for the Altaris CAD /MIS Hewlett- Packard system for the City's com-
13 puter -aided 911 dispatch since 1994; and
14 WHEREAS, because the Hewlett- Packard hardware works in conjunction with Northrop Grumman's
15 proprietary application, only Northrop Grumman is authorized to provide maintenance and download the
16 necessary updates, such as microcode and firmware; and,
17 WHEREAS, pursuant to the terms of Northrop Grumman's non - negotiable software license, only
18 Northrop Grumman is authorized to provide maintenance services for their application systems — both for
19 the software and the hardware; and,
20 WHEREAS, the Little Rock Board of Directors recognizes that the described hardware maintenance
21 services must be purchased from Northrop Grumman to protect the Altaris CAD/MIS system in order to
22 minimize the risk of serious problems with the City's 911 dispatch operations;
23 NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY
24 OF LITTLE ROCK, ARKANSAS:
25 Section 1. The City Manager is authorized to enter into a four (4) -year agreement with Northrop
26 Grumman Information Technology, in a form to be approved by the City Attorney, for hardware mainte-
27 nance services for the City's Altaris CAD /MIS computer -aided dispatch system, for a total amount of
28 Fifty -Six Thousand, Thirty-One Dollars and no Cents ($56,031.00) plus taxes, divided into four (4) an-
29 nual payments of:

for: December 1, 2010 to November 30, 2011
31 $14,483.00
for: December 1, 2011 to November 30, 2012
32 $15,207.00
for: December 1, 2012 to November 30, 2013
33 $15,967.00
for: December 1, 2013 to November 30, 2014

I Section 2. Because periodic hardware maintenance must be performed in order to comply with the
2 Altaris software license requirements and to protect the computer -aided dispatch system for essential 911
3 services, and because only Northrop Grumman is authorized to provide the maintenance services for this
4 system, the Board declares that it is impractical and unfeasible to submit this matter to a competitive bid
5 process, and, therefore, waives competitive bidding.
6 Section 3. As long as Northrop Grumman is the only authorized provider of hardware maintenance
7 service for the City's computer -aided dispatch system, an annual resolution to add another year to the
8 agreement authorized by this Ordinance, and to estalllish the consideration for such a contract, is all the
9 legislative authority required, provided the City Manager certifies to the Board of Directors that there is
10 no other local provider of this service, and provided further than no such additional agreement will be for
11 more than a one (1) -year period of time.
12 Section 4. Funds for the specific agreement authorized by this Ordinance are available in the City's
13 department of Information Technology Account No. 103030 - 61350.
14 Section 5. Severability. In the event any portion of this ordinance is declared or adjudged to be inva-
15 lid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of this or-
16 dinance, which shall remain in full force and effect as if the portion so declared or adjudged invalid or
17 unconstitutional were not originally a part of this ordinance.
18 Section 6. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with any
19 provision of this ordinance are hereby repealed to the extent of such conflict.
20 Section 8. Emergency. The need for immediate and uninterrupted hardware maintenance service is
21 necessary to protect the City's critical 911 computer -aided dispatch system for essential city services and,
22 therefore, is crucial to protect the public health, safety and welfare; an emergency is, therefore, declared
23 to exist and this ordinance shall be in full force and effect from and after the date of its passage.
