3 AN ORDINANCE TO DISPENSE WITH COMPETITIVE BIDS; TO AWARD A
4 FIVE -YEAR SOFTWARE MAINTENANCE AGREEMENT TO NORTHROP
5 GRUMMAN IT, IN THE AMOUNT OF TWO HUNDRED SIXTY EIGHT THOU -
6 SAND, FOUR HUNDRED EIGHTY FOUR DOLLARS ($268,484.00) PLUS
7 TAXES; TO AUTHORIZE ADDITIONAL ANNUAL EXTENSIONS OF THIS
8 AGREEMENT AT THE DISCRETION OF THE CITY MANAGER; TO DE-
9 CLARE AN EMERGENCY; AND FOR OTHER PURPOSES.

11 WHEREAS, the City uses a computer -aided dispatch system for its 911 operations; and,
12 WHEREAS, this system is managed by Northrop Grumman IT software purchased by the City in
13 1996; and,
14 WHEREAS, because this software is a Northrop Grumman proprietary application, only Northrop
15 Grumman is authorized to provide the necessary updates and maintenance service required to protect
16 against a shut -down of the 911 dispatch system; and,
17 WHEREAS, it is now time to enter into another five -year agreement for Northrop Grumman Altaris
18 software maintenance with option by the City of Little Rock to terminate the agreement upon ninety -day
19 notice; and,
20 WHEREAS, as long as it can be certified to the City Manager that Northrop Grumman IT is the only
21 company that is authorized to provide this maintenance service pursuant to the Northrop Grumman Al-
22 taris software license, then an annual resolution upon recommendation of the City Manager should be
23 sufficient for the renewal of this agreement;
24 NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY
25 OF LITTLE ROCK, ARKANSAS:
26 Section 1. The City Manager is authorized to enter into a five -year maintenance agreement with
27 Northrop Grumman IT, in a form to be approved by the City Attorney, for Altaris software maintenance
28 for a total amount of two hundred sixty eight thousand, four hundred eighty four dollars and no cents
29 ($268,484.00), divided into five (5) annual payments of:
30 $48,589.00 for period No. 1,
31 $51,018.00 for period No. 2,
32 $53,569.00 for period No. 3,
33 $56,248.00 for period No. 4, and
34 $59,060.00 for period No. 5,
35 plus applicable taxes.

I Section 2. Because of the need to have periodic software maintenance performed by Northrop
2 Grumman technicians in order to comply with the Northrop Grumman Altaris software license require -
3 ments and to protect the computer -aided dispatch system for essential 911 services, the Board declares
4 that it is impractical and unfeasible to submit this matter to a competitive bid process, and, therefore,
5 waives competitive bidding.
6 Section 3. As long as Northrop Grumman IT is the only authorized provider of maintenance service
7 for the City's computer -aided dispatch system software, an annual resolution to add another year to the
8 agreement authorized by this Ordinance, and to establish the consideration for such a contract, is all the
9 legislative authority required, provided the City Manager certifies to the Board of Directors that there is
10 no other local provider of this service, and provided further than no such additional agreement will be for
11 more than a one (1) year period of time.
12 Section 4. Funds for the first annual payment required pursuant to the agreement authorized by this
13 Ordinance are available in the City's Network Operations Account No. 103001 - 63211.
14 Section 5. Severability. In the event any portion of this ordinance is declared or adjudged to be inva-
15 lid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of this or-
16 dinance, which shall remain in full force and effect as if the portion so declared or adjudged invalid or
17 unconstitutional was not originally a part of this ordinance.
18 Section 6. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with any
19 provision of this ordinance are hereby repealed to the extent of such conflict.
20 Section 8. Emergency. The need for immediate and uninterrupted software maintenance services is
21 necessary to protect the City's critical 911 dispatch system for essential city services and, therefore, is
22 crucial to protect the public health, safety and welfare; an emergency is, therefore, declared to exist and
23 this ordinance shall be in full force and effect from and after the date of its passage.
