3 A RESOLUTION TO REAUTHORIZE THE CITY MANAGER AND THE MAYOR
4 TO NEGOTIATE A PURCHASE PRICE FOR THE LAND COMMONLY
5 REFERRED TO AS THE WESTERN HILLS COUNTRY CLUB; TO
6 AUTHORIZE THE CITY MANAGER AND THE MAYOR TO NEGOTIATE A
7 PURCHASE PRICE FOR PROPERTY INTENDED TO BECOME PART OF THE
8 WEST CENTRAL BALLPARK COMPLEX IN ROSEDALE; TO AUTHORIZE
9 CITY OFFICIALS TO EXECUTE OR NOTARIZE ANY NECESSARY
10 DOCUMENTS; TO MAKE THE PAYMENT FOR THESE PARCELS SUBJECT
11 TO THE ISSUANCE OF CITY REFUNDING BONDS; AND FOR OTHER
12 PURPOSES.

14 WHEREAS, pursuant to Little Rock, Ark., Resolution No. 12,753 (September 9, 2008)
15 ( "LRR 12,753 "), the Board of Directors stated an intent to refund ( "Parks Refunding Bonds ")
16 the $15,540,000 City of Little Rock, Arkansas, Capital Improvement Revenue Bonds, Parks and
17 Recreation Projects (Series 1998A), which had been authorized by Little Rock, Ark., Ordinance
18 No. 17,690 (March 17, 1998), (1998 Parks Revenue Bonds); and,

20 WHEREAS, Section 2 of LRR 12,753 stated the City's intent to reimburse itself, from
21 the proceeds of the Parks Refunding Bonds, the cost of expenditures made prior to the actual
22 issuance of the bonds and receipt of the proceeds; and,
23
24 WHEREAS, Ark. Code Ann. 5 14- 504- 302(c) (West Supp. 2008), requires that prior to the
25 execution of contracts for the conveyance of land there must be a resolution of the governing
26 body that authorizes such action; and,

28 WHEREAS, it is important that the Board of Directors permit the City Manager and the
29 Mayor to negotiate for the price of the Western Hills Country Club land to be purchased; and,

31 WHEREAS, it is important that the Board of Directors permit the City Manager and the
32 Mayor to negotiate for the price of the land to be added to the West Central Ballpark Complex
33 at Rosedale.

35 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
36 LITTLE ROCK, ARKANSAS:

38 Section 1. The City Manager and the Mayor are authorized to negotiate purchase
39 prices for the following pieces of property:
40 (a) The property at 5207 Western Hills Avenue, and its environs, which is commonly
41 referred to as the Western Hills Country Club;
42 (b) The property located adjacent to what is commonly known as the Rosedale
43 Optimist Club, and which shall become the West Central Ballpark Complex.

45 Section 2. Any negotiation and offer to purchase the property shall be contingent
46 upon the issuance of the 2009 Parks Refunding Bonds, and the receipt of the proceeds from
47 those bonds.

49 Section 3. The Mayor, City Clerk, City Manager, and City Attorney are authorized to
50 execute and approve, as appropriate, any and all documents that are necessary to memorialize
51 these negotiations, or to create a binding offer and acceptance for the purchase ,op-t '
52 properties set forth in Section 1 of this Resolution.

1 Section 4. Severability. In the event any title, section, paragraph, item, sentence,
2 clause, phrase, or word of this resolution is declared or adjudged to be invalid or
3 unconstitutional, such declaration or adjudication shall not affect the remaining portions of the
4 resolution which shall remain in full force and effect as if the portion so declared or adjudged
s invalid or unconstitutional were not originally a part of the resolution.

7 Section 5. Repealer. All laws, ordinances, resolutions, or parts of the same that are
8 inconsistent with the provisions of this resolution are hereby repealed to the extent of such
9 inconsistency.
