A RESOLUTION OF THE CITY OF LITTLE ROCK, ARKANSAS
TO APPOINT A SUCCESSOR COMMISSIONER TO FILL A
VACANCY ON THE BOARD OF COMMISSIONERS OF THE
MABELVALE - ALEXANDER SEWER IMPROVEMENT DISTRICT
NO. 142 OF THE CITY OF LITTLE ROCK, ARKANSAS.
WHEREAS, all improvements in the Mabelvale- Alexander Sewer Improvement District
No. 142 of the City of Little Rock, Arkansas (the "District ") have been completed; and
WHEREAS, the remaining Commissioner of the District has determined that all bonds,
notes or other evidences of indebtedness, plus all interest thereon, have been paid in full; and
WHEREAS, said Commissioner has further determined that the District has levied no tax
for the past five (5) years; and
WHEREAS, title to and control of the facilities constructed by the District have been taken
over and assumed by the City of Little Rock, Arkansas (the "City "); and
WHEREAS, the District has fully retired and paid out the bonded indebtedness of the
District; and
WHEREAS, there is presently a vacancy on the Board of Commissioners of the District;
and
WHEREAS, the remaining Commissioner of the District has requested that the City
appoint Don M. Thompson to fill the vacancy on the Board of Commissioners of the
District in order that the District may wind up its affairs and dissolve as provided by
statute; and
WHEREAS, pursuant to Section 14- 88- 303(a) of the Arkansas Code Annotated, the
Board of Directors of the City, as the governing body thereof, is authorized to select
successor commissioners to serve on the District's Board of Commissioners; and
WHEREAS, Don M. Thompson is a qualified individual of integrity and ability who
owns real property in the District; and
WHEREAS, Don M. Thompson has agreed to accept the appointment for the purposes
of winding up the District's affairs and dissolving the District.

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE CITY OF LITTLE ROCK, ARKANSAS AS FOLLOWS:
SECTION 1. That Don M. Thompson is hereby appointed as a Commissioner and a
member of the Board of Commissioners of the Mabelvale- Alexander Sewer Improvement
District No. 142 of the City of Little Rock.
SECTION 2. That this resolution shall be in full force and effect from and after its
adoption.
