3 AN ORDINANCE TO ADOPT A PROVISION THAT ALLOWS INDUSTRY MEM-
O BERS OF THE LITTLE ROCK ADVERTISING & PROMOTION COMMISSION TO
5 COMPETE FOR BUSINESS WITH THE COMMISSION OR WITH ITS OPERATING
6 ARM, THE LITTLE ROCK CONVENTION & VISITORS BUREAU; TO DECLARE
7 AN EMERGENCY; AND FOR OTHER PURPOSES.

9 WHEREAS, the Little Rock Advertising & Promotion Commission ( "the Commission ") has
10 carefully reviewed its purchasing practices to assure that they meet the letter and spirit of relevant
11 state statutes; and
12 WHEREAS, the City of Little Rock requires in Little Rock, Rev. Code § 17- 100(c) (1988) that
13 the Commission "is subject to all fiscal procedures of the city "; and
14 WHEREAS, Act 99 of 1921, as amended, and as currently codified as Ark. Code Ann. § 14 -47-
15 137 (a) (1) (Michie 2004) permits appointed officials to do business with a city if the City Board
16 of Directors has enacted an ordinance "specifically permitting an officer or employee to conduct
17 business with the city and prescribing the extent of this authority "; and
18 WHEREAS, the Commission, through Commission Resolution No. 2007 -52, has specifically
19 requested the adoption of such an ordinance; and
20 WHEREAS, the Commission states that "the inability of Commissioners in the tourism industry
21 positions to do business with the Commission may limit those willing to serve on the Commission
22 and limit the Commission in advertising and promoting the City of Little Rock effectively;" and
23 WHEREAS, after careful consideration the City Board of Directors believes that this Resolu-
24 tion is an appropriate way to deal with this question;
25 NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY OF
26 LITTLE ROCK, ARKANSAS:
27 Section 1. Commission Member Doing Business with the Commission or Bureau.
28 (a) Members of the Little Rock Advertising & Promotion Commission "Commission"
29 who are appointed to one of the four tourism industry positions or to the at -large
30 position ( "Commissioners ") pursuant to state statute and City ordinance are au-
31 thorized to enter into contracts for furnishing goods or services to the Commission
32 and the Little Rock Convention and Visitors Bureau on the same terms and condi-

I tions as other businesses pursuant to the Commission's purchasing policies cur-
t rently in effect, and consistent with the City's purchasing policies.
3 (b) All transactions directly invoiced to the Commission or Bureau and authorized by
4 this Ordinance shall be reported to the Commission on a monthly basis.
5 (c) Whenever a procurement, sponsorship, or business development expenditure that
6 involves a Commissioner comes before the Commission for approval, the in-
7 volved Commissioner shall comply with the City Code of Ethics codified as Little
8 Rock, Ark., Rev. Code §§ 2 -331 to -339 (1988), as may be amended.
9 Section 2. Commissioner Financial Report Form. All Commissioners shall file an annual fi-
10 nancial disclosure statement with the Commission Chief Executive Officer, the Commission Pur-
1 1 chasing Director, and the City Director of Finance and Treasurer.
12 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause,
13 phrase, or word of this ordinance is declared or adjudged to be invalid or unconstitutional, such
14 declaration or adjudication shall not affect the remaining portions of the ordinance which shall
15 remain in full force and effect as if the portion so declared or adjudged invalid or unconstitu-
16 tional was not originally a part of the ordinance.
17 Section 4. Repealer. All laws, ordinances, resolutions, or parts of the same, that are incon-
18 sistent with the provisions of this ordinance, are hereby repealed to the extent of such inconsis-
19 tency.
20 Section 5. Emergency Clause. The assurance that the business of the public is carried out in a
21 manner that complies with the letter and spirit of laws that address possible conflicts of interest
22 by public officials is essential to the public health, safety and welfare, an emergency is, therefore,
23 declared to exist and this ordinance shall be in full force and effect from and after the date of its
24 passage.
