ORDINANCE NO. 15,518
AN ORDINANCE GRANTING CONSENT AND
APPROVAL TO CHANGES IN OWNERSHIP OF
THE GRANTEE OF THE CABLE TELEVISION
FRANCHISE FOR THE CITY.

WHEREAS, Riverside Cable TV, Inc, (the "Grantee ") has
been granted authorization to construct, operate, maintain, and
provide cable television services (the "Franchisee "); and
WHEREAS, the Grantee is indirectly controlled by SCI
Holdings, Inc. ( "Holdings "); and
WHEREAS, an agreement has been signed whereby the stock
of Holdings will be transferred to Comcast Storer, Inc., a
Delaware corporation, and TKR Storer Limited Partnership; and
WHEREAS, Storer Communications, Inc. ( "Storer "), a
Delaware corporation wholly owned by Holdings, indirectly
controls the Grantee through Storer's subsidiary, Storer Cable
TV, Inc., a Delaware corporation, which subsidiary owns all the
stock of the Grantee; and
WHEREAS, the Grantee has requested consent to the
structure of ownership of Grantee described above; and
WHEREAS, the Franchise will continue to be held by the
Grantee; and
WHEREAS, the interests of the citizens of the City are
best served by the consent and approval of this transaction.
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS
OF THE CITY OF LITTLE ROCK, ARKANSAS:

SECTION 1. The Board of Directors hereby consents to the
transfer of the stock of Holdings in the manner described above
and the ownership and control of the Grantee as described above.
