3 A RESOLUTION AUTHORIZING THE MAYOR AND
4 CITY CLERK TO EXECUTE A QUITCLAIM DEED
5 CONVEYING THE RIGHT -OF- WAY EASEMENT
6 ATTACHED HERETO AS "EXHIBIT All BACK TO
7 AMERICAN STORES PROPERTIES, INC. OF
8 DELAWARE.

10 WHEREAS, the City of Little Rock, Arkansas holds title for
11 the use and benefit of Little Rock Municipal Water Works to a
12 certain right -of -way easement, the legal description of which is
13 attached hereto as Exhibit A (the "Easement "), in which an eight
14 inch water main was located; and
15 WHEREAS, with the approval of the Little Rock Municipal
16 Water Works, a portion of the eight inch water main was relocated
17 and a new right -of -way easement conveyed to the City of Little
18 Rock, Arkansas, for the use and benefit of the Little Rock
19 Municipal Water Works; and
20 WHEREAS, the Easement is no longer needed and the owners of
21 the property have asked the City of Little Rock, Arkansas and the
22 Little Rock Municipal Water Works to execute a Quit Claim Deed, in
23 the form attached hereto as Exhibit B (the "Quit Claim Deed "),
24 conveying the Easement to the owners; and
25 WHEREAS, the Board of Water Works Commissioners of the City
26 of Little Rock, Arkansas has adopted a Resolution whereby it
27 determined that the Easement is no longer needed by the Little
28 Rock Municipal Water Works; authorized the Little Rock Municipal
29 Water Works to execute the Deed, conveying the Easement to the
30 owners of the property; and requested the Board of Directors of
31 the City of Little Rock, Arkansas to approve the execution of the
32 Quitclaim Deed by the City of Little Rock, Arkansas.

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE CITY OF LITTLE ROCK, ARKANSAS:
SECTION 1. Pursuant to the request of the Board of Water
Works Commissioners of the City of Little Rock, Arkansas, the
Mayor and City Clerk are hereby authorized to execute the
Quitclaim Deed, conveying the Easement to the owners of the
property.
SECTION 2. This resolution shall be in full force and
effect from and after its passage.

EXHIBIT "A"
An easement 10' wide in Lot B -R -5, Southwest City Commercial Subdivision
located in the W 1/2 Section 31, T -1 -N, R -12 -W, Pulaski County, Arkansas.
The centerline of the easement being more particularly described as; starting
at a point 50' East of the West line of said Section 31 and 326.5' plus or
minus North of the SW corner NW 1/4 of said Section 31; thence S 89° 03' East,
194.5' plus or minus; thence S 0° 57' West, 352' to the point of beginning of
abandonment thence S 89° 03' E, 311' plus or minus to the point of termination
of abandonment.

QUIT CLAIM DEED AND ABANDONMENT
Know all men by these presents that the City of Little Rock, Arkansas
and the Little Rock Municipal Water Works, for and in consideration of the sum
of Ten Dollars ($10.00) and other good and valuable consideration, the receipt
aAd sufficiency of which are acknowledged, do hereby grant, sell, quit claim
and abandon unto American Stores Properties, Inc., a Delaware corporation, its
successors and assigns forever, the easement described on Exhibit "A" attached
hereto and incorporated herein by reference covering property located in
Pulaski County, Arkansas as therein described.
