RESOLUTION N0. 7,904
A RESOLUTION AUTHORIZING THE CANCELLATION AND
TERMINATION OF THAT CERTAIN LEASE AND
AGREEMENT PERTAINING TO THE UNIVERSITY
CONFERENCE CENTER; AND FOR OTHER PURPOSES.
WHEREAS, the City of Little Rock, Arkansas (the "Lessor "),
in conjunction with its Advertising and Promotion Commission did
on the 5th day of May, 1982 make and enter into a Lease And
Agreement (the "Lease and Agreement ") with the Board of Trustees
of the University of Arkansas (the "Lessee "), wherein the Lessee
did lease, let and rent of and from the Lessor, subject to the
terms and provisions thereof, the Demised Premises therein
described and referred to as the University Conference Center;
and
WHEREAS, it is now the mutual wish and desire of the Lessor
and Lessee that said Lease and Agreement be cancelled and
terminated and in furtherance thereof Lessee has covenanted with
the Lessor to vacate, surrender and deliver the Demised Premises
and improvements thereon peaceably to Lessor in good order,
condition and repair, reasonable wear and tear excepted and Lessor
and Lessee have covenanted and agreed each with the other to
indemnify and hold each other harmless of and from any and all
claims, liability, loss or damage of any nature which either may
sustain and /or incur, either now or in the future, as a result of
the cancellation of the aforesaid Lease and Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTOR OF
THE CITY OF LITTLE ROCK, ARKANSAS:
SECTION 1. That the Mayor and City Clerk of the City of
Little Rock, Arkansas be and hereby are authorized, empowered and
directed to make, execute, deliver and record where appropriate
any and all documentation or instruments necessary or required to

effect a cancellation and termination of the Lease and Agreement
pertaining to the University Conference Center and to take any and
all other actions and steps necessary and required to fully
effectuate said cancellation and termination.
SECTION 2. This Resolution shall be in full force and
effect from and after its adoption.
