RESOLUTION NO. 10,364
A RESOLUTION DIRECTING AND AUTHORIZING THE MAYOR
AND THE CITY CLERK TO MAKE, EXECUTE AND DELIVER A
SPECIAL WARRANTY DEED CONVEYING LOTS 7, 8, 9, 10, 11,
AND 12, BLOCK 39, ORIGINAL CITY OF LITTLE ROCK,
ARKANSAS TO THE CENTRAL ARKANSAS TRANSIT
AUTHORITY FOR THE DEVELOPMENT, USE AND OPERATION
THEREOF AS PART OF THE RIVER CITY TRAVEL CENTER, A
PUBLIC TRANSPORTATION PURPOSE AND PRESCRIBING
OTHER MATTERS PERTAINING THERETO.
WHEREAS, the Central Arkansas Transit Authority, hereinafter referred to as the
"Authority ", has determined that Block 39, Original City of Little Rock, Pulaski County,
Arkansas is the best suited location for the construction and operation of the River Cities
Travel Center, hereinafter referred to as the "Project ", and toward that end has authorized the
City of Little Rock, Arkansas, a city of the first class, to institute condemnation proceedings
to acquire Lots 7,8,9,10,11 and 12, Block 39, Original City of Little Rock, Arkansas for the
use and benefit of the Authority in the case styled City of Little Rock, Arkansas vs. Ashok H
Patel and Nila Patel, et al., Pulaski County Circuit Court Case Number 98 -2862; and
WHEREAS, a settlement and compromise of the just compensation claim, all claims
under the Uniform Relocation Act and all other claims, causes of actions, rights and remedies
of the Defendants in the above referenced and styled cause has been reached which settlement
is in the amount of $462,500.00; and
WHEREAS, pursuant to the aforesaid settlement and compromise an Order of
Dismissal with Prejudice was entered in the above referenced and styled case, which said
Order among other things vested title to Lots 7,8,9,10,11 and 12, Block 39, Original City of
Little Rock, Arkansas in the City of Little Rock, Arkansas; and
WHEREAS, the City of Little Rock, Arkansas was at all times in connection with the
above referenced and styled case acting for the use and benefit of the Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS
OF THE CITY OF LITTLE ROCK, ARKANSAS THAT:
SECTION 1. The Mayor and the City Clerk be and hereby are duly authorized,
empowered and directed to make, execute and deliver that certain Special Warranty Deed
conveying Lots 7.8,9,10,11 and 12; Block 39, Original City of Little Rock, Arkansas in the
City of Little Rock, Arkansas to the Authority, a true and correct copy of which is attached
I hereto marked as Exit "A" and by this reference fully incorporated herein. 454
2 SECTION 2. In furtherance of the foregoing the Mayor and the City Clerk be and
3 hereby are authorized, empowered and directed to take any and all other steps and actions
4 necessary or desirable to fully effectuate the transfer of the title to the aforesaid lots from the
5 City of Little Rock, Arkansas to the Authority.
6 SECTION 3. This Resolution will be and is in full force and effect from and after its
7 adoption.

That, the City of Little Rock, Arkansas, a city of the first class, hereinafter
referred to as "Grantor ", by and through its duly authorized and acting officers, for and in
consideration of the sum of Ten and no /100 ($10.00) Dollars and other good and valuable
consideration in hand by the Grantee hereinafter named, the receipt and sufficiency of
which is hereby acknowledged, does by these presents grant, bargain, sell and convey to
the Central Arkansas Transit Authority, an Arkansas public transit corporation,
( "Grantee" herein), and unto its successors and assigns forever, the following described
real property, situated in the County of Pulaski and State of Arkansas, to -wit:
Lots 7, 8, 9, 10, 11 and 12, Block 39, Original City of Little Rock, Pulaski
County, Arkansas.
TO HAVE AND TO HOLD the same unto the said Grantee, and unto its
successors and assigns forever, together with all tenements, hereditaments and
appurtenances thereunto belonging.
And Grantor hereby covenants and agrees with the said Grantee, its successors and

assigns, that Grantor will warrant and defend the title to the above described real property
against all claims whatsoever done or suffered by the Grantor.
