3 A RESOLUTION TO ASK THAT ALL MUNICIPAL BOARDS AND

COMMISSIONS PRECLUDE LEGAL COUNSEL FROM ACCEPTING

6 CASES WITH INTERESTS ADVERSE TO THE CITY OF LITTLE ROCK;
7 AND FOR OTHER PURPOSES.

9 WHEREAS, the City of Little Rock, Arkansas, operates its municipal government through
10 an elected Board of Directors, but also uses various municipal boards and commissions to oversee
11
12 certain operations; and
13 WHEREAS, situations have developed when counsel for a City board has also accepted
14 employment in cases with interests,in opposition to the City; and
15 WHEREAS, the City does not believe that this practice is in its best interests and wishes that
16 its boards and commissions, particularly those that oversee property where title rests in the City on
17 behalf of the particular commission.

19 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
20 THE CITY OF LITTLE ROCK, ARKANSAS:
21 SECTION 1. It is the policy of the City of Little Rock, Arkansas, that no municipal board
22 or commission should hire or continue to retain any legal counsel that accepts or pursues legal actions
23 against the City provided, that this policy does not preclude counsel for a board or commission from
24 negotiating any contractual agreement or relationship with the City when the City is represented by
25
26 separate counsel.
27 SECTION 2. The Board of Directors requests that each municipal board and commission,
28 task force, committee, or any other entity created by the City, instruct its legal counsel not to accept
29 employment in any action where the client pursues a position against the City of Little Rock, or seeks
30 damages from the City of Little Rock.

32 SECTION 3. The Board of Directors reserves the right to waive a conflict of interest in a
33 specific case if the matter is waived after public discussion in an open meeting.
