A RESOLUTION TO AWARD A JOINT
CONTRACT FOR PUBLIC EDUCATION AND
OUTREACH SERVICES CONCERNING
DOMESTIC VIOLENCE TO FAMILY SERVICE
AGENCY, AND ADVOCATES FOR BATTERED
WOMEN, INC., TO AUTHORIZE THE CITY
MANAGER TO ENTER INTO A CONTRACT
WITH FAMILY SERVICE AGENCY, AND
ADVOCATES FOR BATTERED WOMEN, INC.,
AND FOR OTHER PURPOSES.
WHEREAS, the Little Rock Commission on Domestic Violence
( "Commission") has voted to provide services to victims of
domestic violence; and
WHEREAS, the City of Little Rock ( "City ") issued a Request
for Proposals to provide education and outreach services to
victims of domestic violence; and
WHEREAS, the Commission unanimously recommends, after
reviewing the joint proposal and qualifications submitted by the
sole responders, Family Service Agency ( "FSA ") and Advocates for
Battered Women, Inc. ( "ABW "), that a contract should be jointly
awarded to FSA and ABW for provision of such services.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE CITY OF LITTLE ROCK, ARKANSAS:
SECTION 1. The organizations of FSA and ABW are hereby
jointly selected to provide education and outreach services to
victims of domestic violence. The City Manager is authorized to
enter into a joint contract, approved by the City Attorney, with
FSA and ABW for a one year term to provide such services. A
contract price not to exceed $38,198.20 is hereby approved.

THE CITY OF LITTLE ROCK, ARKANSAS ( "City "), a municipal
corporation organized under the laws of the State of Arkansas,
and FAMILY SERVICE AGENCY, a corporation organized under the
laws of the State of Arkansas, and ADVOCATES FOR BATTERED WOMEN,
INC., a corporation organized under the laws of the state of
Arkansas, enter into this Contract this day of
, 1996.
W I T N E S S E T H:
WHEREAS, Little Rock City Ordinance No. 16,704
established the Domestic Violence Commission; and
WHEREAS, the purposes of the Commission include the
education of persons about the dehumanizing effects of domestic
violence and the coordination of counseling efforts for victims
of domestic violence; and
WHEREAS, the Commission was given powers and duties to
recommend to the Board of Directors and the City Manager such
policies as the Commission believes will tend to minimize or
eliminate domestic violence in the community; and
WHEREAS, the Domestic Violence Commission voted to use a
competitive selection process and then to contract with a
qualified agency to provide outreach services and crisis
intervention to primary and secondary victims of domestic
violence and to enhance public awareness through presentations
and dissemination of information about domestic violence and
resources available within the City limits; and
WHEREAS, a request for proposals was issued to provide
for the outreach and crisis intervention services, and one
response was received from which was a joint proposal from
Family Service Agency and Advocates for Battered Women, Inc.
( "provider "); and
WHEREAS, the submitted proposal met with the approval of
the Victim Services Committee of the Domestic Violence
Commission and the Domestic Violence Commission, and
WHEREAS, the City Board of Directors adopted Resolution
No. which authorized the City Manager to award a contract
and allocate $38,198.20 to the team of Family Service Agency and
Advocates for Battered Women, Inc. to provide the abovementioned
outreach and domestic violence education services.
NOW, THEREFORE, LET IT BE AGREED BY THE PARTIES AS
FOLLOWS:
ARTICLE 1. TERM AND CONSIDERATION
Section 1.01. Term. The term of this Contract is from
, 1996 through , 199_.
Section 1.02. Consideration. For and in consideration of
the covenants set forth below, the City agrees to pay the team
of Family Service Agency and Advocates for Battered Women, Inc.
(the "Providers ") an amount not to exceed $38,198.20, including
all reimbursable expenses designated as actual expenditures made
by the Providers in execution of this Contract, pursuant to the
Compensation and Expenses schedule attached as Exhibit "A"
hereto.
ARTICLE 2. SERVICES TO BE PROVIDED
Section 2.01. Services to be provided by the Providers.
The Providers will provide outreach services and crisis
intervention in Little Rock through one full -time person to be

the Outreach Counselor /Coordinator as designated in the
Providers' proposal. The Providers will provide a functional
office setting for the Outreach Counselor /Coordinator.
ARTICLE 3. PAYMENT METHOD
Section 3.01. Payment Method. Three thousand one hundred
and eighty -three dollars and eighteen cents ($3183.18) will be
paid by the City to the Providers at the beginning of the
contract for start -up costs. Thereafter, payment will be made on
a cost - reimbursement basis as program costs are incurred;
however, reimbursement shall not be requested more frequently
than monthly. Invoices shall be submitted to:

ARTICLE 4. SCOPE OF WORK TO BE
COMPLETED BY PROVIDERS
Section 4.01. The Providers, through the Outreach
Counselor /Coordinator, shall conduct domestic violence education
programs at Little Rock sites as agreed to by the Domestic
Violence Commission.
Section 4.02. The Providers, through the Outreach
Counselor /Coordinator, shall conduct crisis intervention with
primary and secondary victims of domestic abuse, as needed, to
help guide them to greater physical safety and emotional
strength. Crisis intervention means the onetime provision of
supportive services and referral information to recent victims
of domestic abuse shortly after the occurrence of the abuse, and
includes advising such persons where they may obtain counseling

and therapeutic services if needed.
Section 4.03. The Providers, through the Outreach
Counselor /Coordinator, shall provide referral information about
appropriate agencies equipped to handle issues involving
shelter, child care, job placement, financial recovery, legal
aid, criminal court assistance, and other important needs.
Section 4.04. The Providers, through the Outreach
Counselor /Coordinator, shall perform presentations at Little
Rock schools, neighborhood organizations, Alert Centers,
businesses and other locations within the City as needed, to
provide accurate and helpful information about domestic violence
and related safety issues.
Section 4.05. The Providers, through the Outreach
Counselor /Coordinator, shall conduct training sessions about
domestic violence for Little Rock Alert Center facilitators.
Section 4.06. The Providers shall maintain statistical
information about services performed under this Contract,
including presentations and any specific information requested
by the Domestic Violence Commission.
Section 4.07. The Providers shall disseminate written
information to agencies, organization, facilities and the like
to increase victim outreach and public awareness.
Section 4.08. The Providers, through the Outreach
Counselor /Coordinator, shall organize and supervise Master's
level field placement interns from colleges or universities who
will assist with the duties as specified in this scope of Work
to Be Performed.
Section 4.09. The Providers, through the Outreach

Counselor /Coordinator, shall provide monthly written reports to
the Domestic Violence Commission documenting work performed
under this Contract.
Section 4.10. The Providers, through the Outreach
Counselor /Coordinator, shall perform other education and
outreach duties as assigned by the Domestic Violence Commission.
ARTICLE S. NONDISCRIMINATION
Section 5.01. Nondiscrimination. The Providers agree to
comply with all applicable federal and state laws and
regulations regarding nondiscrimination, and specifically agree
not to discriminate against any individual because of race,
religion, sex, age, color, national origin or disability, as
such relates to the performance of this contract.
ARTICLE 6. INDEMNITY
Section 6.01. The Providers agree that they shall
indemnify and save harmless the City and the Domestic Violence
Commission, their officers, agents and employees from any claims
or losses resulting to any person or firm injured or damaged by
the erroneous, willful or negligent acts or omissions, including
disregard of federal and state statutes or regulations, by the
Providers, their officers, or employees or in the performance of
this Contract.

ARTICLE 8. GENERAL POLICIES Section 8.01. The Providers
warrant that they are familiar with all appropriate production
and bid procedures and practices in accordance with normally
established methods. The Providers will become familiar, and
will comply with, all applicable federal, state and local laws
and regulations that apply or may apply to the services as
described in this Contract.
The City and the Domestic Violence Commission will provide
the Providers with program information regarding project
requirements and objectives for the project. The Providers shall
be justified in relying upon the accuracy of such information,
services and reports supplied by the City and the Domestic
Violence Commission.
The parties to the contract understand and agree that the
staff of the City and the Domestic Violence Commission will
provide close and timely liaison with the Providers.
Section 8.02. Insurance. The Providers shall carry such
insurance coverage as may apply to this Contract.
ARTICLE 9. MODIFICATION
Section 9.01. Modification. Any modifications to this
Contract shall be in writing, signed by all parties to the
Contract. The City and the Domestic Violence Commission may
modify the Scope of Services contained in Article 4 by written
instructions to the Providers. The provisions of this Contract
will apply to all additions, omissions or modifications to this
Contract.
ARTICLE 10. TERMINATION
Section 10.01. Termination. Failure by the Providers to
complete the work stated within this Contract is a breach and
grounds for termination by the City.
Either the City or the Providers may terminate this
contractual relationship thirty days after written notice to the
appropriate contact persons stated in Article 7. The Providers
shall be compensated for all acceptable work completed up to the
point of termination pursuant to the terms of the Contract.
ARTICLE 11. MISCELLANEOUS
Section 11.01. This Contract is governed by the laws of
Arkansas.
Section 11.02. The Providers agree to comply with the
requirements of the Americans with Disabilities Act and the
Equal Employment Opportunity Act, as well as regulations
promulgated pursuant thereto.
Section 11.03. The officials who have executed this

Contract hereby represent and warrant that they have full and
complete authority to act on behalf of the City, Family Service
Agency and Advocates for Battered Women, Inc., respectively, and
that their signatures below, the terms and provisions hereof,
constitute valid and enforceable obligations of each.
Section 11.04. The terms of this Contract shall be binding
upon the parties hereto, their respective heirs, executors,
administrators, successors and assignees.
Section 11.05. This Contract shall be executed in the
original, and any number of executed copies. Any copy of this
Contract so executed shall be deemed an original, and shall be
deemed authentic for any other use.
WHEREFORE, the parties have hereunto affixed their hands
