A RESOLUTION AUTHORIZING THE
EXECUTION OF AN EXTENSION OF THE
INTERLOCAL AGREEMENT BETWEEN THE
CITY OF LITTLE ROCK, ARKANSAS, AND
PULASKI COUNTY, ARKANSAS, TO ALLOW
METROPOLITAN EMERGENCY MEDICAL
SERVICES (NMEMS") TO PROVIDE
EMERGENCY MEDICAL SERVICES TO THE
UNINCORPORATED AREAS OF PULASKI
COUNTY; AND FOR OTHER PURPOSES.

WHEREAS, the City of Little Rock and Pulaski County have
previously executed, by their Mayor and County Judge, an
Interlocal Agreement allowing Metropolitan Emergency Medical
Services ( "MEMS ") to provide emergency medical services within
certain unincorporated areas of Pulaski County; and
WHEREAS, MEMS has represented to this Board that it has the
capability and resources to continue to provide such service
without increasing expenses or rates for Little Rock citizens;
and
WHEREAS, the Board believes that it is beneficial to the
citizens of the City of Little Rock to continue to allow MEMS to
provide emergency services to other areas and thereby expand its
source of revenues.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE CITY OF LITTLE ROCK, ARKANSAS:
SECTION 1. In order to allow MEMS to maintain the expansion
of its service area and to continue the delivery of emergency
medical services to Pulaski County, Arkansas, the Board hereby
authorizes the execution of a one year extension of the
Interlocal Agreement with Pulaski County, with automatic
extensions of one year terms.

METROPOLITAN EMERGENCY MEDICAL SERVICES
INTERLOCAL AGREEMENT
This Agreement is made and entered into as of the
day of , 1995, by and between the City of Little
Rock, Arkansas ("Little Rock "), a city of the first class,
and Pulaski County Arkansas ( "Pulaski County") a county of
the State of Arkansas.
WHEREAS, in 1984 Little Rock established the Little Rock
Ambulance Authority (the "Authority ") pursuant to Little Rock
City Ordinances Nos. 14,511 and 14,574, and granted the
Authority an exclusive franchise to establish and operate an
advanced paramedic level life support ambulance system within
the City of Little Rock; and
WHEREAS, the Authority has established the Metropolitan
Emergency Medical Services System ( "MEMS ") to provide
ambulance service to the City of Little Rock; and
WHEREAS, Pulaski County has determined that it wishes to
continue to make available to the residents of Pulaski County
on a long term basis the benefits and privileges provided to
the residents of Little Rock by MEMS; and
WHEREAS, Little Rock has agreed that it is in the best
interests of Little Rock and the Authority to contract with
Pulaski County to extend the operation of MEMS under an
exclusive franchise arrangement to the residents of the
unincorporated areas of Pulaski County; and
WHEREAS, Little Rock is authorized pursuant to Ark. Code
Ann. §25 -20 -102 et. sea. to enter into Interlocal Cooperation
Agreements; and
WHEREAS, Pulaski County is further authorized pursuant
to Ark. Code Ann. §14 -14 -910 to enter into Interlocal

Cooperation Agreements; and
WHEREAS, the Board of Directors of Little Rock and the
Quorum Court of Pulaski County by ordinance or resolution
have authorized the Mayor of Little Rock and the County Judge
of Pulaski County to enter into this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants
and agreements of Pulaski County and Little Rock and on the
terms and conditions set out herein, it is agreed as follows:
1. TERM. The term of this Agreement shall extend from
October 27, 1995 for a period of one (1) year, to October 27,
1996, and automatically extend on that date, unless Pulaski
County notifies the LRAA one hundred twenty (120) days prior
to the expiration date that Pulaski County intends to
advertise for professional ambulance services and issues a
Request for Proposals for such services ninety (90) days
prior to the expiration of this Agreement. Further, this
Agreement is subject to the continuing right of Little Rock
and Pulaski County to modify, renew or extend the term by
mutual agreement.
2. EXCLUSIVE FRANCHISE. Pulaski County shall grant by
ordinance to the Authority an exclusive franchise to provide
all ambulance service to the citizens of the unincorporated
areas of Pulaski County, as now existing or as modified
during the term of this Agreement. In the areas within the
present boundaries of the below - listed ambulance service and
fire protection districts, the authority's exclusive right to
provide emergency medical services shall be subordinate to
the authority of the respective ambulance service and fire
protection districts. The Authority shall only provide

emergency medical services in such areas when requested to do
so by the duly authorized representatives of the respective
ambulance service or fire protection district or in the event
such services or districts cease to provide such service. The
ambulance service and fire protection districts are as
follows:
1. Sylvan Hills Fire District No. 6;
2. Sherwood Fire District No. 5;
3. Gravel Ridge fire District No. 9;
4. Runyon Acres Fire District No. 10; and
5. Bayou Meto Ambulance Service
The guidelines and requirements for such ambulance
service to be provided by the Authority to Pulaski County
shall be the same as outlined in Little Rock City Ordinances
Nos. 14,511 and 14,574, and such further amendments or
changes to those Ordinances as may be made by Little Rock
during the term of this Agreement, subject only to the
changes and restrictions as provided in this Agreement. When
requested to do so, the Authority contemplates executing
mutual aid agreements with the respective ambulance service
and fire protection districts, which mutual aid agreements
will specify the duties, responsibilities and methods of
cooperation within each service area.

The grant of the franchise by the County to the
Authority does not constitute an undertaking by the County to
provide emergency medical services to residents of the
County. The franchise authorizes the Authority to provide
such services in accordance with the terms of this Agreement.
3. NONDISCRIMINATION. Little Rock agrees that so long as
Pulaski County is in compliance with the provisions of this
Agreement, Little Rock shall not make changes to Little Rock
City Ordinances Nos. 14,511 and 14,574, or other changes with
regard to the operations of the Authority, which would cause
the benefits and privileges provided by MEMS to the citizens
of the unincorporated areas of Pulaski County to be less than
the benefits and privileges provided by MEMS to the citizens
of Little Rock, except to the extent outlined in this
Agreement. Little Rock also agrees that it will oversee and
supervise the governance and operations of the Authority to
ensure that benefits and privileges of MEMS are provided and
available to all of the citizens of Little Rock and the
unincorporated areas of Pulaski County on a nondiscriminatory
basis.
4. PURPOSE. The purpose of this Agreement is to
establish and provide for the citizens of the unincorporated
areas of Pulaski County a regulated advanced life support
ambulance service system that can provide each ambulance
patient in the unincorporated areas of Pulaski County with
the best possible chance of survival without disability or
preventable complication.
5. OPERATIONS IN PULASKI COUNTY. The Authority shall
provide service to the citizens of the unincorporated areas

of Pulaski County as outlined in Little Rock City Ordinances
Nos. 14,511 and 14,574 except as subsequently provided:
(a) From the effective date of this Agreement until
termination, the Authority shall provide 16 minute response
times to at least 800 of all Code 1 - life threatening
emergencies within the unincorporated areas of Pulaski
County. The Authority shall submit to Pulaski County periodic
response time reports to reflect that it is in compliance
with this requirement.
(b) The Authority and Pulaski County shall cooperate to
provide sufficient personnel, equipment and resource
management expertise to meet this response time standard and
to determine the appropriate stationing of such personnel and
to determine the appropriate stationing of such personnel and
the equipment within Pulaski County. Neither the City, the
Authority nor the County contemplate that any additional
equipment will be purchased to meet the requirements of this
agreement. Nevertheless, in the event all of the following
conditions are met
(i) Little Rock or the Authority purchases
ambulances and on -board equipment
which is in addition to the equipment
now on hand or contemplated under the
Equipment Lease Agreement dated as of
June 1, 1985 between Little Rock and
the Authority, provided however,
neither Little Rock nor the Authority
may purchase ambulances pursuant to
Section 5(b) without first obtaining
prior written approval of the County;
(ii) Such purchase occurs during the term
of this Agreement and is for the
express purpose of providing service
to the unincorporated areas of Pulaski
County under the terms of this
Agreement; and

(iii) Pulaski County terminates this
Agreement or revokes the exclusive
franchise or the Authority described
in paragraph 4 hereof prior to three
years from the date hereof;
then Pulaski County will pay the the Authority, from monies
then appropriated or otherwise available for such purpose, an
amount equal to the unamortized portion of the costs for any
equipment purchases described in subparagraph (i) and (ii)
above.
(c) All other provisions of Section 7 "Standards of
Production and Performance" under the above described
Ordinances shall be implemented by the Authority in Pulaski
County. (d) There shall not be a requirement for a First
Responder Program in Pulaski County.
6. MEDICAL CONTROL. Pulaski County agrees that the
Arkansas Emergency Physicians Foundation ("AEPF "), a private,
non - profit corporation which provides medical control for the
Authority, will continue to provide medical control for
operations of the Authority within the unincorporated areas
of Pulaski County. Pulaski County shall provide such support
to AEPF as is necessary to enable AEPF to perform its duties
under this Agreement. Pulaski County shall contract with some
other like entity, to provide the terms, conditions, and
duties of AEPF with regard to operations in Pulaski County,
provided such agreement is not inconsistent with the terms of
the Agreement between Little Rock and AEPF. If Little Rock
and Pulaski County utilize the services of AEPF as a part of
the same contract, the City and County shall negotiate a
basis for the apportionment of those costs.

7. RATES. The Authority shall charge for its services
within the unincorporated areas of Pulaski County the same
rates as are charged for comparable services within the city
limits of Little Rock, to include any subsequent rate
changes. Current rates for services shall be as shown on the
attached schedule until modified by Little Rock. The
authority and Little Rock agree to consider implementation of
a rate reduction in the Authority's service area and the
Authority shall submit a formal report regarding the
feasibility of such rate reduction at the end of each year
during the term of this Agreement.
8. SUBSCRIPTION MEMBERSHIPS. The Authority shall make
available to all of the citizens of the unincorporated areas
of Pulaski County its MEMS* Alert subscription membership on
the same terms and conditions as are made available to the
residents of Little Rock.
9. JOINT EMERGENCY MEDICAL SERVICES COMMISSION. The
County shall be entitled to appoint one (1) member to the
Joint Emergency Medical Services Commission established
pursuant to an Interlocal Agreement between Little Rock and
North Little Rock dated September 15, 1986. In the event that
the Interlocal Agreement between Little Rock and North Little
Rock shall terminate, the Joint Emergency Medical Services
Commission shall continue to operate with remaining members
so long as their respective Agreements are in effect.
10. SEVERABILITY. The provisions of this Agreement are
declared to be severable. If any provision hereof shall be
held to be invalid or to be inapplicable to any person or
circumstance, such holding shall not affect the validity or

applicability of the remainder hereof. 474
11. APPROVALS. This Agreement shall not be effective
until such time as it has received all approvals as required
by Ark. Code Ann. § 25 -20 -102 et. sea. and §14 -14 -910.
