A RESOLUTION APPOINTING UNDERWRITERS FOR THE CITY OF

4 LITTLE ROCK,ARKANSAS CAPITAL IMPROVEMENTBONDS, SERIES 1994
5 (THE "BONDS "); AND PROVIDING FOR OTHER . MATTERS IN
6 CONNECTION WITH THE ISSUANCE OF THE BONDS.

8 WHEREAS, in Resolution Number 9,206 the Board of Directors of the City of Little
9 Rock, Arkansas appointed co -bond counsel for the Bonds; and
10 WHEREAS, in Ordinance Number 16,654 the Board of Directors of the City of Little
11
Rock, Arkansas appointed a financial advisor for the Bonds; and
12
13 WHEREAS, voters in the City of Little Rock, Arkansas authorized the issuance of the
14 bonds in a special election on October 11, 1994; and
15
WHEREAS, a professional services selection committee has evaluated the proposals
16
17 received to underwrite the bonds and has recommended the firms of Goldman, Sachs & Co.;
18 Hill, Crawford & Lanford; and United Daniels Securities, Inc. to serve as underwriters for the
19 bonds.
20 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE

CITY OF LITTLE ROCK, ARKANSAS, AS FOLLOWS:

23 SECTION 1. The City Manager is authorized to enter into an agreement with the firms
24 of Goldman, Sachs & Co.; Hill, Crawford & Lanford; and United Daniels Securities, Inc. to
25 serve as underwriters for the bonds.

27 SECTION 2. The City Treasurer, Co -bond Counsel and Financial Advisor are hereby
28 authorized to submit such documentation as may be required to accomplish the sale of the bonds
29 to the underwriters. The City Treasurer is further authorized to take such other actions as are,
30 in his judgement, necessary or appropriate in order to provide for the sale of the bonds by the
31 underwriters, subject to final approval by the Board of Directors.
