A RESOLUTION TO AUTHORIZE AN
ADDENDUM TO THE ACCEPTANCE AGREEMENT
WITH SEDGWICK JAMES OF THE CAROLINAS
FOR THE PURPOSE OF ASSISTING IN THE
OPENING AND OPERATION OF THE PULASKI
COUNTY REGIONAL JAIL; AUTHORIZING
THE MAYOR TO EXECUTE THE ADDENDUM;
AND FOR OTHER PURPOSES.
WHEREAS, an amendment to the Interlocal Agreement of
February 15, 1990 for the operation of the Pulaski County
Regional Jail was approved by Ordinance No. 16,478; and
WHEREAS, after a competitive selection process and pursuant
to said Ordinance, an Acceptance Agreement was executed between
the City and Sedgwick James of the Carolinas ( Sedgwick) to
evaluate the operational procedures and proposed budget of the
Pulaski County Regional Jail; and
WHEREAS, transitional tasks by Sedgwick are vital to the
opening and operation of the Jail; and
WHEREAS, it is necessary to act immediately to embark upon
the transitional tasks to insure the effective opening and
operation of the jail.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS
THE CITY OF LITTLE ROCK, ARKANSAS:
SECTION 1. Unique and demanding circumstances require
effective opening and operation the Pulaski County Regional
Jail. It is imperative that the services of Sedgwick be
immediately extended to provide transitional tasks to accomplish
those objectives.
SECTION 2. The proposed addendum to Acceptance Agreement of
November 2, 1993 to December 15, 1993 with Sedgwick and attached
to this Resolution is hereby approved.
SECTION 3. The Mayor is hereby authorized to execute the
attached addendum on behalf of the City.

December 15. 1993. this Addendum for saviors is vital to the oprniag and operation of the
Puladd County 'Region] Jail. The Clients designate Sedgwick to ausia the officials of PaWM
County. Adaswas with the transitional rasps astaocaated with the effective opening and operation
of their now rcpwal jail center and with any oporatiaml ado associated with the e$eeeive
functioning of the jail. thereafter. To easura compliance with all state standards and agreements
entered into between the county and the aforememkoed client. Sodgwick will also provide a
'&dUtator• agreed to by the clients to come the efficiency and amnpladon of all tranidmal
tasla by each identified responsible party.

Sedgwick will provide the client with one (1) copy of all reports of findings and
nwommcadations to all the governing bodies of the cities.

Sedgwidcwithout written permission from the govemiog bodes of the cadet and eomq-
Clients agree that Sedgwick may have a propriety interest in portions of tae materials
developed and Chentt will not disclose to any competitor of Sedawkk any information
which Sedgwick has designated in writing as proprietary, delivered to the governing
bodies of the cilia and cowry.
The parties are aware that Clients cannot Control or prevent the dssellUna ion of
materials, which are deemed by law to be public record.
D. Additional Services: Sedgwxk shall perform Additional Samoes for the Clients upon
mutual consent of the Clients lord SedVd& ad upon written audtorisation to proceed
from tat Clients. Such Additional Sravi= dnil be paid for in accordant: with the
Agreement as outlined in Attachment A, Put II. Compensation shall be based on a time
spent basis plus reimbursable espmsea, unless otherwise mutually agreed.

Sedgwick will also provide for the legal review of all policies for compliance with
any related Adansas State Standards. stamtat and codes
Sodgwick will provide one (1) copy of Use completed Policy sad Procedure
Manual and one (1) computer dish containing Urn coataata of the Manual to the
Transition Team. A copy of the manual will also be provided the Clients for
their review.
