HomeMy WebLinkAbout17042 1 RESOLUTION NO. 17,042 2 3 A RESOLUTION TO AUTHORIZE THE MAYOR TO EXECUTE AN 4 INTERLOCAL AGREEMENT EXTENSION BETWEEN THE CITY OF 5 LITTLE ROCK, ARKANSAS, AND THE CITY OF SHERIDAN, 6 ARKANSAS, GRANTING THE LITTLE ROCK AMBULANCE 7 AUTHORITY ("LRAA") DB/A METROPOLITAN EMERGENCY 8 MEDICAL SERVICES ("MEMS") AN EXCLUSIVE FRANCHISE TO 9 PROVIDE AMBULANCE SERVICES TO THE CITY OF SHERIDAN, 10 ARKANSAS, FOR A PERIOD OF THREE (3)YEARS; AND FOR OTHER 11 PURPOSES. 12 13 WHEREAS, the Little Rock Ambulance Authority ("LRAA"), d/b/a Metropolitan Emergency 14 Medical Services ("MEMS"), has been awarded an exclusive franchise to provide ambulance services to 15 the City of Sheridan;and 16 WHEREAS, the Cities of Little Rock and Sheridan have in the past had an interlocal agreement for 17 MEMS to provide ambulance service to Sheridan, and wish for MEMS to resume the exclusive franchise 18 for ambulance services to the City of Sheridan,and 19 WHEREAS, MEMS has represented to this Board of Directors that it has the capability and 20 resources to provide such service without increasing expenses or rates for Little Rock citizens,and 21 WHEREAS, this Board believes that it is beneficial to have MEMS provide ambulance services to 22 the City of Sheridan and thereby promote the health and welfare of the citizens of Sheridan,and 23 WHEREAS, the delivery of ambulance services (emergency and non-emergency)to Sheridan will 24 enhance MEMS' financial soundness and increase its ability to deliver high-quality emergency medical 25 services to all citizens within its service area;and 26 WHEREAS,the MEMS Board of Directors has approved the extension of this interlocal agreement. 27 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 28 OF LITTLE ROCK,ARKANSAS: 29 Section 1. The Board hereby authorizes a three (3) year interlocal agreement between the City of 30 Little Rock and the City of Sheridan, granting MEMS an exclusive franchise to provide ambulance 31 services(emergency and non-emergency)to the City of Sheridan;the basic form of the agreement,which 32 must be approved by the City Attorney, is attached as Exhibit A to this Resolution. [Page 1 of 4] 1 Section 2. For purposes of this resolution, the term "ambulance services" shall include the 2 transportation and care provided the critically ill or injured prior to arrival at a medical facility and within 3 a medical facility subject to the individual approval of the medical staff and governing board of that 4 facility, and further the transport to or from medical facilities including but not limited to hospitals, 5 nursing homes, physician's offices, and other health care facilities, of persons who are infirm or injured 6 and who are transported in a reclining position or who are ill but considered to be non-emergency in 7 status and who request ambulance transportation. 8 Section 3. Severability. In the event any portion of this resolution is declared or adjudged to be 9 invalid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of this 10 resolution, which shall remain in full force and effect as if the portion so declared or adjudged invalid or 11 unconstitutional was not originally a part of this resolution. 12 Section 4. Repealer. WITNESSETH: WHEREAS,in 1984 Little Rock established the Little Rock Ambulance Authority, d/b/a Metropolitan Emergency Medical Services ("MEMS") pursuant to Little Rock City Ordinances Nos. 14,511 arid 14,574 and granted MEMS an exclusive franchise to establish and operate an advanced paramedic level life support ambulance system within the City of Little Rock; and WHEREAS, the Little Rock Ambulance Authority has established MEMS to provide ambulance service to the city of Little Rock; and WHEREAS, Sheridan has previously entered into an agreement with MEMS for the provision of ambulance services but the existing interlocal agreement between the two cities for all ambulance services expires on June 30,2026; and WHEREAS, the governing bodies of Little Rock and of Sheridan have agreed to a three (3) year extension of the agreement from July 1,2026 to June 30,2029. NOW, THEREFORE, in consideration of the mutual covenants and agreements of Little Rock and Sheridan and on the terms and conditions set out herein, it is agreed as follows: 1. TERM. The term of this Agreement shall extend from v, for a period of three (3) years, through June 30, 2029, subject to the continuing rights of Little Rock and Sheridan to modify, renew, or extend the term by mutual agreement. Either party may terminate the agreement by giving ninety (90)days written notice to the non-terminating party. 2. EXCLUSIVE FRANCHISE. The City of Sheridan has authorized by resolution a three (3) year extension of the Little Rock Ambulance Authority, d/b/a Metropolitan Emergency Medical Services' ("MEMS")exclusive franchise to provide all ambulance service to the citizens of Sheridan. 3. NO SUBSIDY. The City of Sheridan shall not pay any subsidy to MEMS for the duration of this agreement. [Page 3 of 4] 4. CURRENT INTERLOCAL AGREEMENT ADOPTED AND INCORPORATED BY REFERENCE TO GOVERN THE EXTENSION. The current interlocal agreement, dated May 1, 2023, is adopted and incorporated by reference herein as Exhibit A, and sets forth the additional terms governing this Agreement.
