3 A RESOLUTION TO CONSENT TO THE ASSIGNMENT OF ARKANSAS
4 PUBLIC SAFETY SOLUTIONS,LLC TO APSS,LLC;TO AMEND LITTLE
5 ROCK, ARK., RESOLUTION NO. 16,417 (SEPTEMBER 3, 2024); TO
6 AMEND LITTLE ROCK,ARK., RESOLUTION NO. 16,899 (DECEMBER
7 16, 2025);AND FOR OTHER PURPOSES.

9 WHEREAS,the City of Little("City") Rock Board of Directors("Board")adopted Little Rock,Ark.,
10 Resolution 16,417(September 3,2024)("Resolution 16,417")which authorized the City Manager to enter
11 into an agreement with Arkansas Public Safety Solutions, LLC ("Safety Solutions") for Phase II of the
12 replacement and installation of Motorola Avigilon Video Surveillance system security cameras at various
13 City facilities;(Agreement I, September 26,2026);
14 WHEREAS,the City and Safety Solutions entered into an agreement for said goods and services on
15 or about October 29,2025,(Agreement II);
16 WHEREAS, pursuant to Agreement II, in the event of the assignment of Safety Solutions, the prior,
17 written consent of the City is required;and
18 WHEREAS, the Board adopted Little Rock, Ark., Resolution 16,899 (December 16, 2025)
19 ("Resolution 16,899") authorizing the City Manager to enter into an agreement with Safety Solutions for
20 field service management of the Motorola Avigilon Video surveillance system, in an amount not to exceed
21 Twenty-Nine Thousand Eight Hundred Fifty-Three Dollars($29,853.00)per year,plus applicable taxes,for
22 each of three(3)years; and
23 WHEREAS, the City and Safety Solutions entered into an agreement for said goods and services on
24 or about December 22, 2025 ("Agreement III"); and
25 WHEREAS,Agreements I, II,and III are still open and active; and
26 WHEREAS,the City has received notice that APSS, LLC ("Buyer") has acquired substantially all of
27 the assets of Safety Solutions,and seeks the City's prior, written consent,to the assignment of Agreements
28 I, II, and III to the Buyer;and
29 WHEREAS,Safety Solutions is currently in good standing with the Arkansas Secretary of State; and
30 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
31 CITY OF LITTLE ROCK,ARKANSAS:
32 Section 1.The City of Little Rock Board of Directors hereby approves and consents to the assignment
33 of Agreements I, II,and III to APSS, LLC.

1 Section 2.The Mayor,City Manager,and City Clerk are authorized to execute a consent to assignment,
2 any related contract amendments, and any and all other documents necessary to complete the assignment,
3 and to take any actions required to implement this Resolution.
4 Section 3. Little Rock,Ark., Resolution 16,417 (September 3, 2024) is hereby be amended to reflect
5 that the City has entered into an agreement with APSS,LLC for Phase II of the replacement and installation
6 security cameras at various City Facilities,specifically the Motorola Avigilon Video Surveillance system,
7 Section 4. Little Rock,Ark., Resolution 16,899 (December 16, 2025) shall be amended to reflect that
8 the City has entered into an agreement with APSS, LLC for field service management of the Motorola
9 Avigilon Video surveillance system.
10 Section 5.Severability. In the event any title,section,paragraph,item,sentence,clause,phrase,or word
11 of this resolution is declared or adjudged to be invalid or unconstitutional,such declaration or adjudication
12 shall not affect the remaining portions of the resolution which shall remain in full force and effect as if the
13 portion so declared or adjudged invalid or unconstitutional were not originally a part of the resolution.
14 Section 6.Repealer. All laws, ordinances, resolutions, or parts of the same, including but not limited
15 to Little Rock, Ark., Resolution 16,417 (September 3, 2024) and Little Rock, Ark., Resolution 16,899
16 (December 16,2025)that are inconsistent with the provisions of this resolution, are hereby repealed to the
17 extent of such inconsistency.
