Re,. Letter Agreement, dated July 1, 2014 ("Agreemene) by and between Bank of the
Ozarks ("130TO") and 5C Retail Management, LLC ("Slims") (collectively, the
"Parties"), regarding clarification and relocation of BOTO's easement rights
appurtenant to real property under contract by Slims, located at the Intersection
of Cantrell Road and Kelghtley Drive in Little Rock, Arkansas (the "Property").
Mr, Gordon:
As you are aware, Slims has made an offer to purchase the Property, subject to the terms and
conditions of the purchase and sale agreement by and between Slims and the owner of the
Property ('P&5 Agreement"). As you are also aware, BQTQ owns and operates a branch bank
located adjacent to and Immediately east of the Property along Cantrell Road. An issue has
arisen between the Parties to this Agreement involving BDTQ's assertion of a prescrlptive
easement right over, across and appurtenant to the Property (the "Easement"). The Parties
have expressed a desire to work together towards a mutually beneficial resolution of this and
other issues between them, and to enter into this Agreement regarding the subject matter
hereof. Toward such resolution, the Parties now agree as follows;
At the closing of Slims' purchase of the Property, BOTO will pay $28,900.00 as a fee to
clarify and define the relocation of Its Easement over and across the property, which will
be recorded as a permanent easement appurtenant to the Property. Said relocation
shall be approved by the City of Little Rock Planning Commission and the necessary
boards and committees through which Slims must obtain approval to Improve the
Property.
- Following the receipt by the Parties of all city approvals, and upon the commencement
of construction, BOTO will pay one-half the costs of the paving, landscaping, curb cuts"
etc. in connection with the relocated and recorded Easement area up to a maximum of
$15,622.00.

If necessary, and In order to satisfy Little Rock City Beautiful Commission requirements,
BOTO will contribute land and parking spaces along its western boundary (immediately
adjacent to the Property) for conversion Into additional landscaping. BOTO reserves the
right to retain a minimum of 15 parking spaces total at its branch 10000n In order to
Insure sufficient customer parking, as well as compliance with city code requirements
for minimum number of parking spaces.
At the Little Ruck City Board Meeting scheduled for July 15, 2014, Slims or Its
representative will request that the Clty Board of Directors approve Its variance request
for Its current site plan for the location of its driveway onto Kelghtley Drive, with a
stipulation, as evidenced hereby, that the variance approval be conditioned upon the
Parties hereto reaching an agreement on the relocation and retarding of the BOTO
Easement.
Slims will record 80TO's Easement, as relocated, at the closing of Its purchase of the
Property.
Slims agrees that it will not take any action or make any statement which would have
the effect of impairing or diminishing BOTO's Easement rights,
Once the Little Rock City Board, City Beautiful Commission, Board of Adjustment, andjor
any other governmental entlty having jurisdiction over the Property have Issued final
decisions regarding Slims' alternative site plan, the aOTO Easement, as clarified and
relocated, will be depicted as a component of such alternative site plan.
The Parties agree to work together expeditiously in good falth to seek approval of Slims'
alternative site plan from the Little Rock City Board of Directors, City Beautiful
Commission, the Board of Adjustment, and/or any other governmental entlty having
Jurisdiction over the Property.
This Agreement encompasses the entire agreement between the Parties hereto, and may be
amended only by a writing executed by both Parties. This Agreement small be governed by the
laws of the state of Arkansas.
Intending to be legally bound, the Parties hereunto have set their hands on this lit day of July,
2014.
