IN FURTHERANCE THEREOF, Declarant warrants and represents that he has laid off, platted, and subdivided, and does hereby lay off, plat, and subdivide the Property in accordance with the aforesaid Plat. The Property embraced in said Plat shall be forever known as: Lots I and 2, Griffith Addition to the City of Little Rock, Pulaski County, Arkansas, as shown on the Plat; and any and every deed of conveyance of any Lot in said Addition describing the same by the lot number shown on said Plat shall always be deemed a sufficient description thereof. 3 WjsX Page 1 ofA" For purposes of this Bill of Assurance, "Lot(s)" shall mean and refer to any plot or tract of land which is properly identified or designated as a lot on the Plat, and "Owner(s)" shall mean the owner of a Lot and refer to each and every person or business entity who or which is a record owner or subsequently becomes a record owner of a fee or undivided fee interest in any Lot. All Owners of a Lot, and all persons, natural and artificial, claiming an interest in any Lot, shall take their titles subject to the grants, rights, easements, retainage, privileges and reservations herein contained and as depicted and/or referenced in the Plat, including but not limited to, the rights of public utilities in and to the easements shown on the Plat. FURTHERMORE, for and in consideration of the benefits to accrue to Declarant, his successors and assigns, which benefits he acknowledges to be of value, Declarant hereby grants to all Owners of Lot 2, and such owners' respective successors, assigns, agents, employees, tenants, guests, invitees, contractors, servants, subtenants and licensees, including, without limitation, all lenders, mortgage holders and their successors (collectively, the "Easement Beneficiaries") a twenty-five (25) foot wide nonexclusive perpetual reciprocal ingress, egress and access easement over that portion of Lot 1 more fully depicted on the Plat (the "Easement"), for the purpose of providing the Easement Beneficiaries with ingress and egress access to Lot 2. FURTHER, if Declarant owns or acquires additional lands, ,which the Declarant desires in his sole discretion to encompass within the Addition ( "Additional Lands"), then the Declarant, in his sole discretion, shall have the right, but not the obligation, to annex said Additional Lands to this Addition. The annexation of the Additional Lands by the Declarant, from time to time, may be made by filing of record an Addendum to this Bill of Assurance adding and annexing the Additional Lands therein described to the Addition. Under no circumstances shall this Bill of Assurance or any subsequent annexation or addition to this Addition bind or require the Declarant to make any annexation or addition to this Addition or to adhere to any development plan, regardless of how that development plan is published or presented, in any subsequent development of any lands now owned or hereafter acquired by the Declarant. Nor shall the Declarant be precluded from conveying any lands it now owns or hereafter acquires, not expressly made subject to the terms and provisions hereof, free and clear of this Bill of Assurance. Except as herein allowed, there shall be no other annexation or addition of lands into the Addition without the prior written consent of the Declarant. Binding Upon Property, The restrictions, rights and obligations created pursuant to the terms of this Agreement shall be, (i) appurtenant to the Permanent Easement Property; (ii) shall run with and be binding upon the Permanent Fasement Property in perpetuity; (iii) shall be binding on the successors and assigns of the Parties and all persons and entities having or acquiring any right, title or interest in the Permanent Easement Property; and (iv) shall inure to the benefit of Grantee and Grantee's successors and assigns. 5. No Dedication. Nothing herein contained shall be deemed to be a gift or dedication of any portion of the Permanent I asetuent Property to the general public, or for any public use, or purpose whatsoever. Except as herein specifically provided, no rights, privileges or immunities of any party hereto shall inure to the benefit of any third -party, nor shall any third - party be deemed to be a beneficiary of any of the provisions contained in this Agreement. 6. Title. Grantor hereby represents to Grantee that Grantor is seized in fee simple of the Permanent Easement Property and that it has the right to grant and convey the casement and rights granted herein, and that it will warrant and defend such grant against the lawful claims and demands of all persons. 7. Miscellaneous. This Agreement, including any and all exhibits attached hereto and incorporated herein by reference, constitutes the sole and entire agreement between the Parties hereto with respect to the subject matter hereof, and supersedes all understandings, promises, covenants, representations, statements, agreements, and undertakings (whether written or oral), if any, with respect thereto, made prior to or contemporaneous with the execution and delivery of this Agreement. This Agreement may or may not be modified or amended, except by a written instrument signed by the party against who enforcement of such modification or amendment is sought. Verify R-O-W for Griffin Road. County data shows Griffin Road lies within the properties to the north. - Griffin Road is a 60' public right of way 3. Plat needs adjusted Arkansas state plane coordinates for all property corners. - Coordinates added to plat 4. Does the owner of the gas pipeline need to approve? - Spoke with gas company rep on site and has no issues as long as owner contacts him before any construction within right of way ... see note no. 6 on plat.
