NOW, THEREFORE, WITNESSETH:
That KRS Parcel 1, LLC, the said owner, hereinafter termed Grantor has caused said tract of land
to be surveyed by Derrick L. Thomas, Professional Land Surveyor, Arkansas License No. 1642,
and a plat thereof made which is identified by the title "Plat of Wellington Park Subdivision,
City of Little Rock, Pulaski County, Arkansas" and the date September 22, 2016 and by the
signature of the said engineer/surveyor and the said Grantor and bears a Certificate of Approval
executed by the Little Rock Planning Commission, and is on record in the Office of the Circuit
Clerk and ex-officio Recorder of Pulaski County, Arkansas, as Instrument No.
C),'o f ❑ (a j,� fib and the Grantor does hereby make this Bill of Assurance.
The Grantor hereby certifies that it has replatted said real estate in accordance with said plat. The
lands embraced in said plat shall be forever known as designed on said plat as Lots 1 and 2,
Wellington Park Subdivision of the City of Little Rock, Pulaski County, Arkansas; and every
deed of conveyance for said property shall use this designation.
This Bill of Assurance shall run for a period of ten (10) years and thereafter shall automatically
renew itself every ten (10) years unless amended or terminated by a majority of the property
owners of the lots in the subdivision.
All buildings constructed on said lots shall be constructed no nearer to the street than the
building line shown on the plat, and all buildings shall be constructed in conformance1�'

Grantor has approved plans for the initial development of Lot 2, Wellington Park Subdivision to
the City of Little Rock, Pulaski County, Arkansas ("Lot 2") as shown in Civil Construction Plans
Z-4807-0 dated September 1, 2016, pages 1-11, prepared by Geoffrey H. Bates, Registered
Professional Engineer, Arkansas License No. 9610 for Primrose Schools Franchising Company
("Lot 2 Plans") in connection with a proposed sale of Lot 2 to Primrose School Franchising
Company or its assigns. Primrose School Franchising Company has assigned its contractual
rights to purchase Lot 2 to PSWLR, LLC, an Arkansas limited liability company. Effective upon
the conveyance of title to Lot 2 from Grantor to PSWLR, LLC or its assigns, as evidenced by
deed recorded in the Office of the Circuit Clerk and Ex-Officio Recorder of Pulaski County,
Arkansas, Lot 2 shall be developed in substantial accordance with Lot 2 Plans which Grantor has
approved, subject to any modifications or adjustments required by any applicable governmental
entity, and this restriction shall be deemed a covenant and restriction running with Lot 2. After
completion of the initial improvements on Lot 2 in substantial accordance with the Lot 2 Plans,
Grantor shall have no further approval rights with regard to any subsequent improvements or
modifications.
The filing of this Bill of Assurance and plat for record in the office of the Circuit Clerk and ex-
officio Recorder of Pulaski County shall be a valid and complete delivery and dedication of the
streets and easements shown on the said plat.

AGREEMENT AND CONSENT
PSV,LR, LLC, an Arkansas limited liability company, as assignee of Primrose Schools
Franchising Company's interest in that certain Real Estate Purchase and Sale Agreement dated
October 8, 2015, as amended by First Amendment to Real Estate Purchase and Sale Agreement
dated May 3, 2016, for the purchase of certain real property now platted as Lot 2, Wellington
Park Subdivision of the City of Little Rock, Pulaski County, Arkansas, in consideration of the
benefits of the Bill of Assurance to said Lot 2, does hereby consent to said Bill of Assurance and
agrees to develop Lot 2 in substantial accordance with the Lot 2 Plans.

Entergy has UG wire on the north side of Wellington feeding street lights only. This is secondary wire and not capable of
feeding the 2 lots.
There is also an underground line on the south side of Wellington feeding across Kirk Road. This is the line which would
likely be tapped to feed the development.
The 2 lots appear to be free of any conflicts with existing Entergy facilities.
