KNOW ALL MEN BY THESE PRESENTS:
THAT, STAMJA-DT AR PROPERTIES, LLC, an Arkansas limited liability company (hereinafter
called the "Owner"), is the owner of that certain real property located in Pulaski County, Arkansas and being
more particularly described on Exhibit "A" attached hereto and incorporated herein by this reference (the
"Pro a ");

WHEREAS, Owner caused to be made a final plat, showing a survey made by Paul M. White,
Registered Professional Land Surveyor dated December _, 2013, and bearing a Certificate of Approval
executed by the appropriate officials of the Planning Commission of the City of Little Rock, Pulaski County,
Arkansas (the "fj!X") and showing the boundaries and dimensions of the Property now being re -platted into
two (2) lots to be forever known as "Lots 1 and 2, Stagecoach/Baseline Addition to the City of Little Rock,
Pulaski County, Arkansas" (the "Plat"); and;
WHEREAS, the Property will be developed in a manner consistent with the existing restrictions and the
requirements of the City;
There are shown on said Plat certain easements for drainage, floodway and/or utilities which Owner
hereby donates and dedicates to and for the use of public utilities, the same being, without limiting the
generality of the foregoing, electric power, gas, telephone, water, sewer and cable television with the right
hereby granted to the persons, firms or corporations engaged in the supplying of such utilities to use and occupy
such easements, and to have free ingress and egress therefrom for the installation, maintenance, repair and
replacement of such utility services. There are shown on said Plat certain building setback lines and other
restrictions.
There is shown on the Plat an additional Right of Way Dedication Area consisting of 6,524 square feet
along the intersection of Arkansas State Highway No. 5 (Stagecoach Road) and Baseline Road, which Owner
forever donates and dedicates to the City of Little Rock, Arkansas, effective upon the filing of the Plat to be
added to and become a part of the right of way of Arkansas State Highway No. 5 (Stagecoach Road) and
Baseline Road, respectively.
Owner hereby further reserves, grants and conveys to the owners of Lots 1 and 2, for the future benefit
and use of and as an appurtenance to the Lots, a non-exclusive, perpetual thirty-six foot (36') wide common
access easement over, upon, across and through the common boundary of Lot 1 and Lot 2 identified as the
"Common Access & Utility Easement" and the thirty foot (30') wide common access easement over, upon,
across and through Lot 1 providing access to Baseline Road, both as shown on the copy of the Plat attached as
2397817.2
Exhibit "B" attached hereto (the "Common Access Easement Area") for the purposes of pedestrian and
vehicular access, ingress and egress. No cross parking shall be permitted.
The types of uses permitted on the Property shall be of a retail and/or commercial nature found in
similar developments in Little Rock, Arkansas, consistent with the zoning covering the Lots.
These covenants and restrictions on the Lots are to run with the land and shall be binding on all parties
and all persons claiming from the date these covenants and restrictions are recorded, unless an instrument
signed by the Owner (if still an owner of any portion of the Property) or, if not, the then owners of all of the
Property shown on the Plat has been recorded, agreeing to change said covenants and restrictions in whole or in
part.
These covenants and restrictions shall not be amended, canceled or supplemented unless an instrument
signed by the then owners of all of the Property shown on the Plat is placed on record agreeing to change the
covenants and restrictions in whole or in part, and any change must be approved by the City.
In the event of any attempt to violate any of the covenants or restrictions herein, before the expiration
date hereof, it shall be lawful for any person or persons owning a lot or lots in said addition to prosecute any
proceedings at law or in equity against the person or persons violating or attempting to violate any such
covenant or restriction, and either to prevent him or them from so doing or to recover damages or other dues for
such violation.
The invalidation of any one of these covenants or restrictions by judgment or court order shall in no wise
affect any of the other provisions, which shall remain in full force and effect.
The filing of this Bill of Assurance and the Plat for record in the office of the Circuit Clerk and Ex-
Officio Recorder of Pulaski County, Arkansas shall be a valid and complete delivery and dedication of the
easements subject to the limitations herein.

JOINDER AND CONSENT OF TENANT
TO BILL OF ASSURANCE
Super D Drugs Acquisition Co., a Delaware corporation (hereinafter referred to as "Tenant"), is the tenant under
that certain Lease dated September 17, 2012, with Owner covering the real property and improvements located
on Lot 1 (the "Lease").
By its execution of this Joinder and Consent, Tenant does hereby consent to the filing of the Plat and joins in the
execution of the Bill of Assurance for purposes of providing its consent and subordinating its interest in the

Rock is actually closing on this tomorrow. A quick response would be greatly appreciated.
