3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO EXECUTE A
4 RENEWAL AGREEMENT BETWEEN THE CITY OF LITTLE ROCK,
5 ARKANSAS AND WRIGHT, LINDSEY & JENNINGS, LLP, IN AN AMOUNT
6 NOT TO EXCEED FORTY-FIVE THOUSAND AND 00/100 DOLLARS
7 ($45,000.00), FOR LEGAL CONSULTING SERVICES FOR THE SOLAR
8 ENERGY PROJECT;AND FOR OTHER PURPOSES.

10 WHEREAS, the City of Little Rock ("City") entered into an agreement with Wright, Lindsey &
11 Jennings, LLP (the "Firm") effective on January 1, 2024 for legal consulting services for the City's solar
12 energy project pursuant to Bid No.2257; and
13 WHEREAS,Section 2.2,of the Request for Proposals,the Terms of the Award Subsection A provided
14 that the representation will be retained throughout the life of the project subject to procurement restrictions
15 under Arkansas law;and
16 WHEREAS,Section 2.2,of the Request for Proposals,the Terms of the Award Subsection B provided
17 that the contract term to be for one(1)year and that upon mutual agreement,the contract could be extended
18 for up to two(2)additional six(6)-year terms,and
19 WHEREAS, the solar energy project is still in the conceptual phase and ground has not been broken
20 yet and the City is in need of legal consulting services for this project;and
21 WHEREAS, the initial agreement with the Firm was for the amount of Forty-Five Thousand and
22 00/100 Dollars; and
23 WHEREAS,this first renewal shall be for an amount not to exceed Forty-Five Thousand and 00/100
24 Dollars; and
25 WHEREAS, as the aggregate amount of the original contract and this first renewal exceed Fifty
26 Thousand and 00/100 Dollars($50,000)it is appropriate to seek the approval of the Board of Directors for
27 this contract renewal; and
28 WHEREAS,the City wishes to exercise the first of six(6)renewal options for an additional one(1)-
29 year term beginning January 1,2025;and
30 WHEREAS,funds for this contract renewal are available in Account# 101001-63390.
31 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
32 OF LITTLE ROCK,ARKANSAS:
33 Section 1.The City Manager is hereby authorized to execute a contract between the City of Little Rock
34 and Wright, Lindsey & Jennings, LLP for the first of six(6) annual one (1)-year renewals for an amount

1 not to exceed Forty-Five Thousand and 00/100 Dollars ($45,000.00) for legal consulting services for the
2 City's solar energy project.
3 Section 2.Funds for this contract renewal are available in Account# 101001-63390.
4 Section 3.Severability.In the event any title,section,paragraph,item,sentence,clause,phrase,or word
5 of this resolution is declared or adjudged to be invalid or unconstitutional,such declaration or adjudication
6 shall not affect the remaining portions of the resolution which shall remain in full force and effect as if the
7 portion so declared or adjudged invalid or unconstitutional were not originally a part of the resolution.
8 Section 4. Repealer. All ordinances and resolutions are hereby repealed to the extent of such
9 inconsistency.
