St.OPDINATION AND CONSENT
The undersigned` 1- the owner and holder of that certuir,
Amended and Restate; Fromissory Note, as further amended from time
to time (the "Note") i, the principal amount of $35,200,000.00,
executed and delivered by SPC Markham Limited partnership ("SPC
Markham"), which is secured by that certain Amended and Restated
Mortgage, as further amended from time to time (the 'Mortgage"),
recorded in the Official Records of Pulaski County, Arkansas. The
undersigned hereby consents to the execution of this Final Plot by
SPC Markham, and (i) the grant and conveyance of the easements
encumbering the property covered hereby, and (ii) the dedication of
right-of-way of a portion of the property and agrees that such
execution, grant, conveyance and dedication by SPC Morkham shall
not constitute a default or event of default under the Mortgage or
the Mortgage or any other related loan document. The undersigned
further agrees that the lien of the Mortgage, and all covenants,
conditions and agreements contained in the Mortgage, and all
powers, privileges and rights provided in the Mortgage and any
other related loan document shall from this date become and be in
all respects unconditiona'.ly subject, subordinate and junior to
this plot and all easemenis encumbering the property covered
hereby. In addition the 'jndersigned, or any successor or assign of
