THIS AGREEMENT, executed this �1 _ day of March, 1992, by
and between Conservative Development Company (the "Se_llex") and
Wal-Mart Stores, Inc. (the "Buyer"). Seller is the owner of

41.544 5-44 acres of land located on the southwestern corner of 1-30
and Baseline Road located in Pulaski County, Arkansas (tl)e
"Seller's Tract") . The Seller's Tract is more par. r i.c�t.l-ar.
described on Exhibit "A" attached hereto. Seller axed Buyer have
entered into an agreement for the sale and purchase of 23.9073
acres of land (the "Buyer's Tract") located withi-al tha
easternmost portion of the Seller's Tract. The Buyer's 'Tract
is more particularly described on Exhibit "B" attached hereto, A
preliminary plat for the development of the Buyer's u,ract airs.)
depicting the remaining portion of the Seller's Tract is attached
hereto as Exhibit "C". Exhibits "A" through "C" attached hereto
are incorporated herein by reference and made a part of: this
Agreement. For and in consideration of the agreement for the sale
and purchase of Buyer's Tract, Buyer and Seller agree as follows:
(1) Buyer acknowledges that it has received no wri_tt:e7t c»-
verbal representations, warranties or inducements from the
Seller, its officers, directors or stockholders, other than those
set forth in the Warranty Deed conveying title to Buyer, witIl.
regard to:
(a) the use, storage or disposal of ha; ardour Gttl.�st.HricAG of
materials on Buyer's or Seller's Tracts or the
environmental condition or the compliance of: the
Buyer's : Seller's Tracts with a ironmentn.1 statutes
or regulations;
(b) the existence or mitigation of Wetlands on Buyer's or
Seller's Tracts;
(c) the condition or existence of surface drainage into,
across or off of the Buyer's or Seller's Tracts;
(d) the status of the zoning, land use or planning and
development requirements of Buyer's or Seller's Tracts.
(2) Buyer and Seller covenant that each will act i» good
faith with the other and will enter into a typewritten agreement
in recordable form for the grant of cross -easements for ingress,
egress, parking and drainage between Buyer's Tract and seller's
Tract. such agreement shall not require consider_atJon ,in

restrictions as to either the Buyer's or Seller's 'Tracts. Each
party shall be solely responsible for the cost and maintenance of
the improvements constructed on their respective Tracts whether
or not same are subject to the cross -easements.

(3) Buyer agrees to allow Seller\four (4) curb cuts oil
Buyer's Tract for driveways into the Seller's Tract from the
drive to be located along the western boundary of Buyer's 'Tract.
The exact location of such cuts and driveways shall be determined
at such time as Seller develops all or portions of the Seller's
Tract.
(4) Buyer covenants that it shall not develop (other tt1a1,
for a retention basin) any portion of the approximately one (1_)
acre tract identified on Exhibit "C" as a water detention area or)

Buyer's Tract and at Seller shall be permi ed to use the water
detention area to the extent permitted by the U.S. corps of

Seller's Tract.
(5) All representations, warranties, covenants, indemnities
and agreements contained in this Agreement shall survive the
closing of the sale of the Buyer's Tract and shall 'lot be merged
into any deed, assignment or other instrument or document
delivered in connection with the sale contemplated hereby.
(6) This Agreement stall be binding upon, and shall inure
to UIS benefit of Seller, Buyer and their respective rt_tocessors
and assigns.

KNOW ALL MEN BY THESE PRESENTS:
That Conservative Development Company, an Arkansas business
corporation, by its President and Secretary, duly authorized by
proper Resolution of the Board of Directors, being the owner of
certain lands located in Pulaski County, State of Arkansas, and
described as:
See Exhibit "A" attached hereto and incorporated herein
in consideration of the benefits to accrue to it and to simplify
the description of said lands, makes this Bill of Assurance
declaring that said lands shall henceforth be known and described
as:
Mabelvale Business Park, an Addition to the City of
Little Rock, Pulaski County, Arkansas.
the boundaries, size and dimensions of which are as shown in the
annexed copy of a plat thereof, made by White-Daters &
Associates, Inc., Civil Engineers, which plat is by reference
incorporated in and made a part of this Bill of Assurance.
Henceforth, for conveyancing and all other purposes, it
shall constitute a lawful and sufficient description of said

Redesign street layout to meet subdivision ordinance standards. Improve

Provide minimum floor elevations for all lots partially in floodplain. Show
sidewalks. Dedicate floodway to the City. Exact location of the floodway to
be determined by the City.

We have not received any information on this subject.
3. Fellowship Bible Church, Phase II - Preliminary Plat (S-830-B)
Construct half street improvements with sidewalks. Detention and excavation
ordinances apply.

Construct sidewalk along property line on Ranch Drive. Excavation and
