FIRST AMENDMENT TO BILL OF ASSURANCE
AND RESTRICTIVE COVENANTS
KNOW ALL PERSONS BY THESE PRESENTS:
THAT, HOBBY INVESTMENTS, LLC, an Arkansas limited liability company, as
successor in interest to Walmart Stores, Inc. ("Lot 1 Owner"), and ROCK CREEK SQUARE
LLC, an Arkansas limited liability company and successor in interest to Parkway West, Ltd. (``Lot
2 Owner°') (each an "Owner" or collectively, the "Owners"), are the sole owners of that certain
real property located in Pulaski County, Arkansas, described on Exhibit "A" attached hereto and
incorporated herein by this reference (the `'Property");
WHEREAS, the Property has been previously platted into two (2) lots, designated as Lot
1 and Lot 2, as set forth on that certain plat dated April 1, 1987, and recorded in the Office of thy;
Circuit Clerk and Ex Officio Recorder of Pulaski County, Arkansas, in Plat Book C, Page 197 (tile
"Plat"), and is subject to that certain Bill of Assurance dated April 24, 1987, and recorded as
Instrument No. 87-33344 in the Records of the Circuit Clerk and Ex Officio Recorder of Pulaski
County, Arkansas (`:Bill of Assurance");
WHEREAS, the Property is further subject to certain restricted covenants set forth in that
certain Restrictive Covenants dated October 19, 1977, which are recorded as Instrument No. 78-
33048 on August 15, 1978, in the Records of the Circuit Court and Ex Officio Recorder of Pulaski
County, Arkansas (the "Restricted Covenants ');
WHEREAS, the Owners have caused a replat of the Property to be prepared by William
Allen Smith, Professional Surveyor, dated November 30, 2016, and showing the boundaries and
dimensions of the Property now being re -platted into three (3) lots and a separate tract to be forever
known as Lot 1 R, Lot 2R, Lot 3R, and Tract "A", Rock Creek Square Subdivision, an Addition to
the City of Little Rock, Pulaski County, Arkansas (the "Amended Plat"), a copy of which is
attached hereto as Exhibit "B" and made a part hereof;

WHEREAS, the Owners desire to ratify and confirm that Lot 1 R, Lot 2R, Lot 3 R, and
Tract "A" are subject to the Bill of Assurance and the Restricted Covenants except as expressly
amended, modified, extended, changed. or canceled by this First Amendment and/or any
subsequent amendment or modification adopted in accordance with terms of the Bill of Assurance
or Restricted Covenants, as the case may be;
NOW, THEREFORE, for and in consideration of the benefits to accrue to the Owners and
their respective successors and assigns, which benefit each Owner acknowledges to be of value,
the Owners desire to amend the following provisions of the Bill of Assurance and Restricted
Covenants, respectively, as they apply to the Property:
1. Amendments to Bill of Assurance. The Bill of Assurance is hereby amended to
add the following provisions:
(a) IngresslEgrevs and Utility Easement. There is shown on the Amended Plat
that certain forty-five (45) foot wide ingress/egress and utility easement affecting the Property with
which the Owners hereby ratify and confirm and dedicate to and for tltie use of public: utilities, the
same being, without limiting generality of the foregoing, electric power, gas, telephone.
telecommunications, water, sewer, and cable television with the right hereby granted to the
persons, firms, or corporations engaged in supplying of such utilities to use and occupy such
easements, and to have free ingress and egress therefrom for the installation, maintenance, repair,
or replacement of such utility services.
(b) Building Setback Lines. There is shown on Lot 3 certain twenty-five (25)
foot building setback lines along the eastern and western boundaries of Lot 3 which the Owners
hereby subject Lot 3 to. All buildings constructed on said lots shall be constructed no nearer to the

conformance with the Building Code and Zoning Ordinance
(c) Sign Easement Area. There is shown on the Amended Plat that certain
approximately 27.49 feet by 17.73 feet Sign Easement Area located on Lot 3 which the Owners
hereby grant and reserve to the benefit of the Owners and their respective successors and assigns
to erect and maintain a pylon or monument development sign (the "Sign") for the mutual benefit
of the Owners for a sign not to exceed the maximum area and height permitted by the City of l.ittfc
Rock and otherwise in compliance with all governmental requirements applicable to such signage.
The Owners and their respective successors and assigns, shall use; maintain, and repair any signage
located in the Sign Easement Area and any and all related electrical installations located on and to
the sign and shall pay all costs for the installation, maintenance, repair, utilities, and any expense
of any nature whatsoever directly related to the use. repair, maintenance, and/or operation of the
Sign. Such cost shall be treated as common expenses and allocated among the Owners based on
the pro rata share of the area of the Sign occupied by each Owner or their respective tenants,
successors and assigns.
(d) Tract "A. " The Owners hereby ratify, confirm and dedicate Tract "A"
solely for use in providing ingress and egress to the Lots and for the installation, maintenance,
repair, or replacement of such utility services serving the Property.

2. Restrictive Covenants. Pursuant to the provisions of the Restrictive Covenants, the
Owners hereby amend, modify, extend, and change the covenants, restrictions, and provisions set
forth in the Restrictive Covenants as they affect the Property as follows:
(a) Term. The term of the Restrictive Covenants applicable to the Property, as
amended by this First Amendment, shall remain in full force and effect until January 1, 2050.
(b) Architectural Control. Paragraph 2 of the Restrictive Covenants as it relates
to the Property is hereby amended to reduce the number of members of the Architectural Review
Committee ("ARC") to two (2) members. The Owner of Lot 1 and the Owner of Lot 2,
respectively, shall each designate one member to serve as a member of the ARC.
(c) Parking. Paragraph 8 is hereby amended as it relates to the Property to
require three (3) parking spaces per 1,000 square feet and shall eliminate any separate calculation
for the interior use of the improvements located on any Lot.
(d) Signs. Paragraph 11 as it affects the Property is hereby amended to provide
that no ground mounted signage shall be permitted on any Lot for individual Lot Owners or their
respective tenants and all building mounted signage must comply with criteria established from
time to time by the ARC. Requests for review of building mounted signage by the ARC shrill
conducted be in accordance with the provisions of Paragraph 2 of the Restrictive Covenants, All
existing signage shall be permitted to remain in effect and shall not be affected by this First
Amendment; including any repairs, replacements or modifications to such sign so long as the
overall signage area is not enlarged. Any enlargement of the signage area or modification what
would affect other signage on the Property shall be subject to review and approval of the ARC.
3. Effect of Amendment. Except as expressly modified by this First Amendment, the
Owners hereby ratify and confirm the terms and conditions of the Bill of Assurance and the
Restrictive Covenants as they apply to the Property and hereby incorporate the same by reference
as if set forth word for word herein. To the extent that any of the provisions of this First
Amendment conflict with or contradict the terms of the Bill of Assurance or Restrictive Covenants.
as the case may be, the terms and conditions of this First Amendment shall be deemed to control
the subject matter. Capitalized terms not otherwise defined in this First Amendment shall have
the definition and meaning ascribed thereto under the Bill of Assurance or Restrictive Covenants,
as the case may be.
