FRIDAY, ELDREDGE & CLARK, LLP 400 West Capitol Avenue, Suite 2000 Little Rock, Arkansas 72201 BILL OF ASSURANCE KNOW ALL MEN BY THESE PRESENTS: THAT, WINROCK DEVELOPMENT CO., a division of Winrock Enterprises, Inc., an Arkansas corporation (hereinafter called the "Owner"), is the owner of that certain real property located in Pulaski County, Arkansas and being more particularly described on Exhibit "A" attached hereto and incorporated herein by this reference (the "Property'); NOW THEREFORE, Owner, for and in consideration of the benefits to accrue to it, its successors and assigns, which benefits Owner acknowledges to be of value, has caused to be made a plat, showing a survey made by White-Daters & Associates, Inc. dated September, 2017, and bearing a Certificate of Final Approval executed by the appropriate officials of the City of Little Rock, Arkansas (the "C"), and showing the boundaries and dimensions of the Property now being platted into one (1) lot to be forever known as "Parcel B, The Villages of Wellington, an Addition to the City of Little Rock, Arkansas" and certain right of way dedication areas (the "Plat"); FLA l WHEREAS, the Property will be developed in a manner consistent with the existing restrictions and the requirements of the City and Pulaski County, Arkansas (the "County'); There are shown on said Plat certain existing easements for utilities and drainage which Owner hereby ratifies and confirms dedication to and for the use of public utilities, the same being, without limiting the generality of the foregoing, electric power, gas, telephone, water, sewer, and drainage with the right hereby granted to the persons, firms or corporations engaged in the supplying of such utilities to use and occupy such easements, and to have free ingress and egress therefrom for the installation, maintenance, repair and replacement of such utility services. There is shown on the Plat a 35 foot front yard setback along the property line of the Property which Owner hereby subjects the Property to the setback and restricts and dedicates as a buffers as shown on the Plat. All other setbacks are based upon the zoning requirements for the City. The types of uses permitted on the Property shall be of an office nature found in similar developments in Little Rock, Pulaski County Arkansas, consistent with any zoning covering the lot. No building or fence is to be constructed on the Property nearer than the building setback lines noted on said Plat and those which satisfy the City's zoning requirements applicable to the Property. 5949512.3 These covenants and restrictions on the Property are to run with the land and shall be binding on all parties and all persons claiming from the date these covenants and restrictions are recorded, after which time said covenants and restrictions shall be automatically extended for successive periods of 25 years, unless an instrument signed by the Owner (if still an owner of any portion of the Property) or, if not, the then owners of all of the Property shown on the Plat has been recorded, agreeing to change said covenants and restrictions in whole or in part. These covenants and restrictions shall not be amended, canceled or supplemented unless an instrument signed by the Owner (if still an owner of any portion of the Property) or, if not, the then owners of all of the Property shown on the Plat is placed on record agreeing to change the covenants and restrictions in whole or in part, and any change must be approved by the City and/or County, as the case may be. In the event of any attempt to violate any of the covenants or restrictions herein, before the expiration date hereof, it shall be lawful for any person or persons owning a lot or lots in said addition to prosecute any proceedings at law or in equity against the person or persons violating or attempting to violate any such covenant or restriction, and either to prevent him or them from so doing or to recover damages or other dues for such violation. The invalidation of any one of these covenants or restrictions by judgment or court order shall in no wise affect any of the other provisions, which shall remain in full force and effect. The filing of this Bill of Assurance and the Plat for record in the office of the Circuit Clerk and Ex- Officio Recorder of Pulaski County, Arkansas shall be a valid and complete delivery and dedication of the streets and easements subject to the limitations herein.
