MOORE, CITY MANAG qR%6at,,,,,, SUBJECT: LOT 1, CANTRELL FALLS PCD DATE: NOVEMBER 7, 2008 The request was made at the October 28, 2008, Board of Directors Agenda Meeting for staff to provide the following information regarding the history of the Cantrell Falls PCD, located on the north side of Highway 10 and west of Taylor Loop Road: ➢ Aril 19 2005: A Short -form POD was approved for a two (2) lot development to allow 4,500 square foot restaurant without an order board, but with a pick-up window and a 29,000 square foot office building. The approved hours of operation were from 6:00 AM - midnight daily. ➢ June 22 2006: The Little Rock Planning Commission denied a request to rezone 7.93 acres from R-2 single-family and POD to allow the creation of a four (4) lot development with restaurant uses proposed for each of the individual lots. ➢ February 6, 2007: 14910 Cantrell Road Short -Form PCD was approved for a two lot development to allow a restaurant building with a footprint of 7,200 square feet and a second restaurant building with a building footprint of 6,300 square feet. The hours of operation approved were from 10:00 AM - midnight daily. The uses approved were for a bank or savings and loan, book and stationary store, camera shop, clinic (medical, dental Of optical), clothing store, eating place without drive-in service, florist shop, furniture store, hardware or sporting goods store, health studio or spa, jewelry store, laundry, domestic cleaning, office (general and professional), optical shop, photography studio, retail uses not listed (enclosed). A definition for sit-down restaurant was a part of the approval. ➢ April 1,, 2008: Cantrell Falls Revised Long -Form PCD was approved for a four (4) -lot development to allow a 3,400 square foot restaurant with an order board and pick -LIP window, a 29,180 square foot office building with City of Little Rock, Arkansas drive-through banking facility, a 18,500 square foot retail center to include a 6,000 square foot restaurant, a 2,000 square foot bank and a 6,560 square foot restaurant. The approval on April 1, 2008, combined into one overall development the tracts of land that were included in the planned developments approved in 2005 and 2007. During the April 1, 2008, hearing before the Board of Directors, the applicant indicated that the developers would comply, with the City ordinances and standards for the development of the site. In addition, the applicant offered an amendment, which stated that "the applicant agrees to provide earth sculpturing berm and landscaping that stratifies or exceeds the Highway 10 Overlay requirements." Additionally, the applicant would add buffering in the form of a stone water feature and the theme of Cantrell Falls. If additional information is needed, please advise. Submitted by: Department of Planning and Development SYNOPSIS FISCAL IMPACT RECOMMENDATION CITIZEN PARTICIPATION Action Required gOrdinance Resolution Approval Information Report Approved By Bruce Moore The applicant is appealing the Planning Commission's recommendation of denial for an amendment to the previously approved PCD to allow the placement of an individual tenant sign on Lot 1 Cantrell Falls PCD. None. Staff recommends denial of the requested PCD zoning. The Planning Commission voted to recommend denial of the requested zoning by a vote of 3 ayes, 4 noes, 3 absent and 1 abstention (Commissioner Ferstl). The Planning Commission reviewed the proposed PCD request at its September 18, 2008, meeting. There were registered objectors present. The Westchester/Heatherbrae, the Secluded Hills, the Westbury and the Pinnacle Valley Neighborhood Associations, the Coalition of West Little Rock Neighborhoods, all residents who could be identified located within 300 feet of the site and all property owners located within 200 -feet of the site were notified of the Public Hearing. BACKGROUND Ordinance No. 19,946 adopted by the Little Rock Board of Directors on April 1, 2008, allowed a revision to a previously approved PCD. The approval allowed two separate approvals, a POD and a PCD, to be combined into a single development. The development contained four lots titled Cantrell Falls Long -form PCD. The approval allowed a 3,400 square foot drive-through restaurant on Lot 1, a 29,180 square foot office building on Lot 2, including a banking facility with drive-through service, a 6,560 square foot restaurant on Lot 3 and a 4,000 square foot restaurant, a 11,617 square foot retail center and a 2,000 square foot bank on Lot 4. The hours of operation for the development were approved from 6 am to midnight seven days per week. A single development sign serving the four (4) lots was approved with a maximum height of ten feet and a total sign area of one hundred square feet. (Z -7603-D) The applicant is now requesting a revision to the previously approved site plan to allow the placement of a commercial ground -mounted sign located within the landscaped front yard area of Lot 1. The sign is proposed with a maximum height of six feet and a maximum sign area of seventy-two square feet. The sign is proposed with the company's logo, lettering spelling out the company name and an LED reader board. There are no other changes or modifications proposed for the site plan from the previous approval. Per the Highway 10 Design Overlay District, Section 36- 346(f)(2) of the Little Rock Code of Ordinances, the site design and development standards for commercial building signage states each separate commercial building will be allowed a single monument ground -mounted sign located on the building site or in the landscaped front yard of the commercial development. The sign shall be a maximum of six (6) feet in height and seventy-two (72) square feet in area. Per Section 36-347 of the Little Rock Code of Ordinances - Commercial developments and multiple building sites states in the case of a commercial development or other development involving multiple building sites, whether on one (1) or more platted lots, the regulations shall apply to the development as an entire tract rather than to each platted lot. The approval of the PCD for Cantrell Falls allowed the placement of a single ground mounted monument commercial development sign. The sign is proposed located within the front yard landscape area along Highway 10. OA BACKGROUND CONTINUED Section 36-346(f)(1) of the Little Rock Code of Ordinances, the Highway 10 Design Overlay District, states signage identifying the commercial development shall not exceed ten (10) feet in height and one hundred (100) square feet in area. All signs that are ground -mounted shall be of a monument type design. These signs may be installed in the landscaped area of the front and side yards. Staff is not supportive of the request. The purpose and intent section of the Highway 10 Design Overlay District states a desire to protect and enhance the scenic quality of the corridor by providing for sensitive development which will maximize the natural foliage and terrain while also providing platted buffer and landscaped areas. The ordinance also states the desire to create standards for signage and parking lot lighting which are in keeping with the intent of the article. Staff feels the development center signage and the building signage previously approved allow for adequate signage to serve the development and the center. Please see the attached Planning record and site plan for the development proposal and the recommendation. 3 Commission minute applicant's specific staff analysis and ORDINANCE NO. That the map referred to in Chapter 36 of the Code of Ordinances of the City of Little Rock, Arkansas, and designated district map be and is hereby amended to the extent and in the respects necessary to affect and designate the change provided for in Section 1 hereof. SECTION 5. That this Ordinance shall not take effect and be in full force until the final approval of the plan. SECTION 6. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or word of this ordinance is declared or adjudged to be invalid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of the ordinance which shall remain in full force and effect as if the portion so declared or adjudged invalid or unconstitutional was not originally a part of the ordinance. SECTION 7. Repealer. All laws, ordinances, resolutions, or parts of the same that are inconsistent with the provisions of this ordinance are hereby repealed to the extent of such inconsistency. As you're aware, this development also includes larger restaurants for two of the other lots within the development. If this current revision is approved it would certainly set a precident for the other restaurant/businesses within the PCD to ask for, and expect to be granted, individual signs. It would also set a precident for other developments along Cantrell to ask for revisions to their PCD/PODs to allow for additional signage. It's our understanding that the Highway 10 Design Overlay plan was to Delp protect the scenic quality along the length of the corridor and that standardized signage was a part of that. Comments: W1 57M _ 1 AGREEMENT ' NT TO PURCHASE AND SELL REAL PRUPER.'I'Y -THIS AGREEMENT TO PURCHASE AND SELL REAL PROPERTY (the "Agreement") is entered into in duplicate by and between and 14910 CANTR.ELL, LLC ("Seller"), and FLIS INV-ESTNWNTS, UC, and or its assigns ("Buyer"). Seller and Buyer are collectively referred to herein as the "Parties." It is hereby agreed: 1. Real Property. Seller shall sell and Buyer shall buy the property known as Lot 1, Cantrell Falls located at 14910 Cantrell Road- The Property is approx. 50,114 sq- ft. or 1.150 acres located in section 19, T -2-N, R -13-W, Pulaski County, Arkansas. (See Exhibit "A" attached hereto). 2. Purchase Price. The Purchase Price of the Properties (the "Purchase Price'D shall be Eight Hundred Eighty Thousand Dollars and Noll 00 Dollars ($880,000.00) for approximately 1.150 acres. (a) within five (5) business days of the execution of this Agreement by both Buyer and Seller, Buyer shall deliver to Standard Abstract and Title Company (the "Escrow Agent"), the sum of Ten Thousand Dollars ($10,000.00) as earnest money, with such amount to be deposited in an interest-bearing account (the "Earnest Money'), to be applied to the Purchase Price upon the closing of the sate and purchase of the Property (the "Closing), as hereinafter provided. Condition of the Property. Seller represents and warrants that: (a) Seller will cooperate with Buyer in re -platting of the Property upon Buyer's request; (b) Seller is not aware of any environmental contamination on the Property or any adjacent property; (c) Within five (5) business days from the date this Agreentcnt is signed, Seller will deliver to Buyer ail zoning, subdivision, surveys, title work, environmental survey reports and soil reports regarding the Property which are in Seller's or Seller's Agent's possession; and (d) To the best of Seller's knowledge, Seiler does not know of any underground storage tank, petroleuun, hydrocarbon or Hazardous Waste or Hazardous Substances (as defined by any federal, state or other law, ordinance, regulation or directive) located on the Property or any adjacent property. If objections are made to title, Seller shall have a reasonable time (not to exceed thirty (30) days, unless extended in writing by mutual agreement of the Parties) to meet the objections, at its option and expense. if Seller elects not to meet or cure any matters or objections by Buyer, Buyer shall have the option of terminating this Agreement and receiving a prompt return of the Earnest Money, or Buyer may elect to close and accept title "as is" and, in such event, the matter which Seller elects not to meet and cure which is waived under the option provided Buyer herein shall constitute one of the "Permitted Exceptions." At the Closing, Seller shall furnish at Buyer's cost, an owner's policy of title insurance in the amount of the Purchase Price and issued by Chicago Title Insurance Company on the Property and the Easement, with the following endorsements (extended coverage, comprehensive, survey, access and 3.0 zoning). If required by the Lender, Buyer shall furnish, at Buyer's cost, a mortgage's title policy in the amount of the mortgage. 8. Survey. Seller shall have the Property surveyed and platted by an Arkansas licensed surveyor reasonably acceptable to Buyer, certified to the Buyer, Buyer's Lender, Seller, Escrow Agent and the Title Insurance Company. The Surveyor shall also certify as to the exact square footage measurement of the Property. The Survey shall specifically delineate the 100 -year flood plain, floodway, all utility easements and topographic information. If necessary, a wetlands survey will be ordered separately at Buyer's expense. The Buyer shall have until the end of the Feasibility Period to review and approve the Survey and to notify Seller of any objections to the Survey. 9, Proration. Taxes and -special assessments on the Property for all years prior to the year in which Closing occurs and those currently due on or before Closing; shall be paid by Seller. Taxes and special assessments on the Property for the current year shall be prorated as of Closing. 10. Closing Date. The Closing is designated to be no later than thirty (30) days after the expiration of the Feasibility Period(s), or no later than June 30th, 2008. If by the date of the Closing Date either of the Parties is unable to meet the obligations under this Agreement, the Closing Date, may be extended for an additional 30 days (see Paragraph 20 below) by giving the other Party written notice as provided herein. Seller agrees to sign an affidavit at Closing stating that Seller is not a foreign person or entity and a standard Owners Affidavit in form approved by Seller's attorney. Risk of loss or damage to the Property by fire or other casualty occurring up to the time of Closing is assumed by Seller. Seller's responsibility as an owner of the Property shall cease upon Closing. Risk of loss or damage to the Easement by fire or other casualty occurring up to the time of Closing is asswned by Buyer. 13. Captions. All captions contained in this Agreement are inserted only as a matter of convenience and in no way define, limit or extend the scope or intent of this Agreement or any provisions hereof. 14. Severability. if any part of this Agreement or any other Agreement entered into pursuant hereto is contrary to, prohibited by or deemed invalid under applicable law or regulation, such provision shall be deenxed inapplicable and deemed amended to the extent so contrary, prohibited or invalid and the: remainder hereof shall not be invalidated thereby and shall be given full force and effect so far as possible. 15. Time is of the Essence. The Parties agree that time is of the essence of this Agreement. 16. Brokerage. Seller hereby acknowledges that PDC Realty Company represents the Seller's interest and Excel Realty Group, Inc. represents the Buyer's interest in this transaction. Seller agrees to pay a commission to PDC Realty Company equal to seven (7°/a) of the gross sales price. The commission shall be split on a 50150 basis and paid at closing. Seller discloses to Buyer that Steven C.1Iockersmith, Elizabeth S. Small; and Chester D. Construction. This Agreement and all provisions contained herein have been jointly drafted for reviewed and negotiated) and agreed to by both Buyer and Seller, each being sophisticated in transactions such as the one contemplated by this Agreement, Buyer and Seller each having the benefit and advice of legal counsel, and shall be construed accordingly. 25. Governing Law and Invalidity. This Agreement shall be governed by the laws of the State of Arkansas. 26. Entire Agreement. This Agreement shall, upon its execution, constitute the entire agreement and understanding of Buyer and Seller and shall not be altered, modified or changed unless the same is in writing and executed by Buyer and Seller. 27. Condemnation. If, prior to the Closing, all or any part of the Property shall be condemned by governmental or other lawful authority, Buyer shall have the option of (a) completing the purchase, in which event all condemnation proceeds or claims thereof shall be assigned to Buyer, or (b) canceling this Agreement, in which event the Earnest Money and the Additional Earnest Money and Extension Payments (if any) shall be returned to Buyer and this Agreement shall be terminated with neither party havi ng any further rights against the other. 28. Seller's Right to Market Property. The Buyer acknowledges and agrees that during the team of this Agreement Seiler shall have the right to disclose the intent of Burger King to locate on Lot 1 in the marketing of the Cantrell Falls Development. 29. Bill of Assurance and Deed Restrictions. Seller shall provide Buyer with the Cantrell Falls Bill of Assurance and Deed Restrictions within fifteen (15) days from the acceptance of this contract. Said restrictions shall provide for the formation of a "Property Regime" or other arrangement whereby Buyer (pro -rata with other owners within Cantrell Falls Development) will share in maintenance and construction expenses for project signage and common areas (including without limitation the private access drive servicing Cantrell Falls Development).
