3 A RESOLUTION TO AMEND LITTLE ROCK, ARK., RESOLUTION NO.
4 16,151 (NOVEMBER 7, 2023), TO AUTHORIZE THE CITY MANAGER
5 TO ENTER INTO A CONTRACT WITH CANVAS COMMUNITY, IN AN
6 AMOUNT NOT TO EXCEED ONE HUNDRED SEVENTY-EIGHT
7 THOUSAND, FIVE HUNDRED THIRTY-SEVEN AND 90/100 DOLLARS
8 ($178,537.90), FOR THE BRIDGE TO WORK PROGRAM; AND FOR
9 OTHER PURPOSES.

11 WHEREAS, on August 2, 2021, the City of Little Rock issued Request for Proposal ("RFP") No.
12 1320 for a Bridge to Work Program to provide individuals experiencing homelessness with the dignity of
13 work while fulfilling requests for litter pick-up to enhance the City's overall appearance; and,
14 WHEREAS,Canvas Community was the sole respondent to RFP No. 1320; and,
15 WHEREAS, the Selection Committee found Canvas Community's proposal for the Bridge to Work
16 Program to be favorable; and,
17 WHEREAS, on February 15, 2022, the City of Little Rock Board of Directors adopted Little Rock,
18 Ark., Resolution No. 15,618 (February 15, 2022) to authorize the City Manager to enter into an
19 agreement with Canvas Community for the Bridge to Work Program, in an amount not to exceed One
20 Hundred Fifty Thousand Dollars($150,000.00) per year; and,
21 WHERAS, Resolution No. 15,618 provided that the contract may be extended for up to three (3)
22 additional one(1)-year terms by mutual agreement of the parties; and,
23 WHERAS, on March 3, 2022, the City and Canvas Community executed a Memorandum of
24 Understanding ("MOU") in an amount not to exceed One Hundred Fifty Thousand Dollars ($150,000.00)
25 for Canvas Community to provide a Bridge to Work Program for the City of Little Rock; and,
26 WHEREAS, the MOU provided for a one (1)-year term from March 1, 2022, to February 28, 2023,
27 with the right to extend the MOU for up to three (3) additional one (1)-year terms by a fully-executed
28 addendum to the Agreement; and,
29 WHEREAS, on April 6, 2023, the City and Canvas Community executed a Letter Agreement
30 addendum to the MOU to extend the MOU for a one (1)-year term from March 1, 2023,through February
31 28, 2024, for an amount not to exceed One Hundred Fifty Thousand Dollars ($150,000.00) for Canvas
32 Community to provide a Bridge to Work Program for the City of Little Rock; and,
33 WHEREAS, Canvas Community has advised the City that it could no longer provide the Bridge to
34 Work Program for an amount not to exceed One Hundred Fifty Thousand Dollars($150,000.00); and,

1 WHEREAS,because Canvas Community could not continue to provide the Bridge to Work Program
2 for an amount not to exceed One Hundred Fifty Thousand Dollars ($150,000.00), on August 1, 2023, the
3 City issued RFP No. 2227 for a Bridge to Work Program to provide individuals experiencing
4 homelessness with the dignity of work while fulfilling requests for litter pick-up to enhance the City's
5 overall appearance; and,
6 WHEREAS,Canvas Community was the highest scoring respondent to RFP No. 2227; and,
7 WHEREAS, the Selection Committee found Canvas Community's proposal for the Bridge to Work
8 Program to be favorable;and,
9 WHEREAS, on November 7, 2023, the City of Little Rock Board of Directors adopted Little Rock,
10 Ark., Resolution No. 16,151 (November 7, 2023) to authorize the City Manager to enter into an
11 agreement with Canvas Community for the Bridge to Work Program, in an amount not to exceed One
12 Hundred Seventy-Eight Thousand, Five Hundred Thirty-Seven and 90/100 Dollars ($178,537.90) per
13 year; and provided further,that by mutual agreement of the parties,the contract may be extended for up to
14 three(3)additional one(1)-year terms with a Cost of Living Adjustment not to exceed 3%each year; and,
15 WHEREAS, the Letter Agreement Addendum is still in effect and must be cancelled before the
16 parties enter into another MOU for Canvas Community to provide a Bridge to Work Program for the City
17 of Little Rock pursuant to Resolution No. 16,151; and,
18 WHEREAS, this fact makes it necessary to amend Resolution No. 16,151 (November 7, 2023) to
19 authorize the City Manager to cancel the Letter Agreement Addendum dated April 6, 2023, for the Bridge
20 to Work Program so that the parties may enter into a new agreement for the Bridge to Work Program, in
21 an amount not to exceed One Hundred Seventy-Eight Thousand, Five Hundred Thirty-Seven and 90/100
22 Dollars($178,537.90) per year.
23 NOW,THEREFORE, BE ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY OF
24 LITTLE ROCK,ARKANSAS:
25 Section 1. Except as set forth within this resolution, Resolution No. 16,151 (November 7, 2023) is
26 reaffirmed and remains in full force and effect.
27 Section 2. Section 1 of Resolution No. 16,151 (November 7, 2023) is hereby amended to authorize
28 the City Manager to cancel the Letter Agreement Addendum dated April 6, 2023 between the City and
29 Canvas Community for the Bridge to Work Program in order for the parties to enter into a new
30 agreement for the Bridge to Work Program, in an amount not to exceed One Hundred Seventy-Eight
31 Thousand, Five Hundred Thirty-Seven and 90/100 Dollars ($178,537.90) per year; and provided further,
32 that by mutual agreement of the parties, the contract may be extended for up to three (3) additional one
33 (1)-year terms with a Cost of Living Adjustment not to exceed 3% each year.
34 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
35 word of this ordinance is declared or adjudged to be invalid or unconstitutional, such declaration or

1 adjudication shall not affect the remaining portions of the ordinance which shall remain in full force and
2 effect as if the portion so declared or adjudged invalid or unconstitutional was not originally a part of the
3 ordinance.
4 Section 4. Repealer. All laws, ordinances, resolutions, or parts of the same, that are inconsistent with
5 the provisions of this resolution, are hereby repealed to the extent of such inconsistency including, but not
6 limited to Little Rock, Ark., Resolution No. 15,618 (February 15, 2022) and Little Rock, Ark., Resolution
7 No. 16,151 (November 7, 2023).
