HomeMy WebLinkAboutOfferMvw.aiy�� --w—p- lu. oou i.�rcr-tuHt3-4rl:tS-27l�tSG-/LSr1G1 AfG57 ADDENDUM TO THE OFFER AND ACCEPTANCE Regarding the Offer and Acceptance contract with an acknowledged effective date of January 20, 2023, consisting of the offer dated January 11, 2023 together with the January 16, 2023 Counter Offer with final acceptance and initials by both parties on January 20, 2023 (hereinafter "Offer and Acceptance"), between the Buyer, Raju Vyas or assigns, and the Seller, Vogel -Hughes -Jones Partnership, covering the real property known as approximately 4.09 acres on Kanis Road (parcel # 44L-069.00-037), the undersigned Buyer and Seller hereby agree to the following: 1. All matters regarding the survey shall be as described in the Offer and Acceptance (including that it be provided to Seller at no charge if closing does not occur), except that: a) the survey may be obtained by any Registered Land Surveyor of Buyer's choosing, and b) the survey may be obtained at any time prior to the expiration of Buyer's Feasibility contingency. 2. Because Buyer must obtain a height variance from the Little Rock Board of Adjustment to allow Buyer's improvements to be constructed on the Property, then: a. Buyer shall make application with the City of Little Rock for the required height valiance on or before the filing deadline of March 14, 2023 to have its application considered at the May 18, 2023 Board of Adjustment meeting; b. The expiration of Buyer's Special Condition #2 (Feasibility) shall be extended to May 30, 2023; c. The Affidavit attached as Exhibit A shall be signed by Seller and notarized upon execution of this Addendum to allow Buyer to make timely application for the variance, and the parties agree that the Affidavit's appointment of Buyer as agent is only for purposes of the variance application. 3. To correct a typographical error in Buyer's original offer, Closing shall be no later than twenty-one (21) days after Buyer's written removal of Special Condition #2. .All other terms as provided in the Offer and Acceptance shall remain the same, except those amended above. This addendum, upon its execution by both parties, is herewith made an integral part of the Offer and Acceptance.
