SUBMIT COPY OF THIS APPROVED APPLICATION AND ORIGINAL SIGNED SITE PLAN JIl ROOFTOP LEASE AGREEMENT This ROOF -TOP LEASE AGREEMENT is made this day of 1999, by and between Curtis Finch, Jr. and Jackie Finch, individuals, and BQFA Holding Company, LLC, an Arkansas limited liability company, as owners of The University Tower Building, having its principal offices at 1123 South University Avenue, Little Rock, Arkansas 72204, hereinafter called LESSOR, and Sprint Spectrum L.P., a Delaware limited partnership, having its principal office at 1341 West Mockingbird Lane, Suite 600E, Dallas, Texas, 75247, hereinafter called LESSEE. WHEREAS, LESSOR is the owner of the building located at 1123 South University Avenue, Little Rock, Arkansas 72204; and WHEREAS, LESSEE desires to lease space in and/or on said building for the purpose of constructing, operating and maintaining wireless communications antennae and dishes for the receipt and transmission of wireless communications signals ("Wireless Communications Facility"); and WHEREAS, LESSOR has space in and on the rooftop of said building that is suitable for LESSEE'S needs and desires to lease space to LESSEE. NOW THEREFORE, in exchange for the covenants, conditions, agreements and rents hereinafter set forth, and other good and valuable consideration, the adequacy of which is hereby acknowledged, the parties agree as follows: ARTICLE I LESSOR hereby leases to LESSEE, and LESSEE takes from LESSOR, approximately two hundred (200) square feet of basement space (Space #2) and space for building mounted antennae which is hereinafter referred to as the "Leased Premises," more particularly described on Exhibit "A" hereto. LESSEE shall mount its antennae on the NE, NW, SW corner on the face of the building, not to extend above the roof line. In addition, LESSOR grants to LESSEE the right to occupy and use the necessary conduit and/or duct space within the building for electrical wiring, telephone lines, coaxial cable, pipes, tubes and appurtenances thereto, all of which are required by LESSEE as an integral part of its Wireless Communications Facility. LESSEE'S right to utilize conduit and/or duct space will not infringe upon the LESSOR'S right to utilize the same space. LESSEE shall be allowed to install, operate, maintain, replace and remove its communications equipment and other appurtenances as it may, from time to time, require. LESSEE will provide notice to the LESSOR in advance of its need to access the conduit and/or duct space so that LESSOR can implement adequate security measures. Although such equipment and appurtenances may become fixtures, they shall be and shall remain the sole property of LESSEE and LESSEE will remove all of them at the expiration or termination of this Agreement. LESSEE at its sole cost will then restore the site as nearly as is reasonably possible to its original condition, reasonable wear and tear accepted. Page 1 CIibPDF - www.fastio.corn between the parties relating hereto and supersedes all prior or contemporaneous negotiations, commitments, representation, writings and/or oral understandings or agreement. The parties signed this Agreement for the consideration herein expressed. Any addition to, variation or modification of this Agreement shall be void and ineffective unless in writing signed by the parties hereto. ARTICLE XXVII LESSEE represents that LESSEE has dealt directly with (and only with) Barnes, Quinn, Flake & Anderson, Inc., Realtors, Little Rock, Arkansas, as broker in connection with this Lease, and that insofar as LESSEE knows, no other broker negotiated or participated in the negotiations of this Lease or submitted or showed the Leased Premises or is entitled to any commission in connection therewith. LESSEE acknowledges that Barnes, Quinn, Flake & Anderson, Inc. and all its associates are the agents of the LESSOR and that it is the LESSOR who employed them, whom they represent, and to whom they are responsible. LESSEE acknowledges that before eliciting or receiving confidential information from the LESSEE, Barnes, Quinn, Flake & Anderson, Inc. verbally disclosed that it represented the LESSOR.
