(e) Landsca in : Deltic acknowledges that Mr. Crain's limited site
plan generally identifies areas which will be landscaped and the handwritten
application filed with the ACC identifies the varieties of certain plants,
shrubs and trees which are to be incorporated into the site plan. However,
Section 3.3.e of the Guidelines contemplates a detailed landscaping plan
showing all planting areas at a scale of 1 = equals 20 = or larger showing
each of seven different elements including, plant materials (size, quantity
and type), bed areas, screening, buffer strips, irrigation limits, detention
ponds and walkways. The site plan as submitted does not meet these
specifications and more detail is required before the submission is complete.
(f) Gradin Plan: As contemplated in Section 3.3.a of the submission
requirements, the site plan should show the existing topography of the site
and further demonstrate what grading must be accomplished in order to
accommodate the proposed construction on the site. Mr. Crain's email of
October 27 indicates that the site plan "stipulates the area of advanced
grading" and goes on to say that "because ATRS (the prior owner) completed
the original advanced grading, very little area that is not already graded will
be disturbed" by additional advanced grading.
As submitted, none of the site plan materials include anything
approaching either a topographical depiction of the site or a detailed grading
plan. Without having a detailed grading plan which takes into account any
topographical or elevation challenges implicit in the Property, it is extremely
difficult, if not virtually impossible, to determine whether the proposed
structures shown in Mr. Crain's two-dimensional site plan, together with
necessary infrastructure such as streets, sidewalks, driveways, easements,
retaining walls and other structural elements, can be constructed within the
area covered by the site plan. In addition, as noted above, the site plan must
also show all "existing trees" 12" in diameter or greater (although Deltic
acknowledges that reasonable latitude should be permitted with regard to
this portion of the Guidelines). Portions of the site plan have been "cleared"
(which may not be the same as "grading" with Mr. Crain's site plan in mind),
but other portions have not and a review of the site plan confirms that no
changes in elevation are shown as required. Until such time as these
detailed elements are available, no final approval for the site plan and the
development can be given. Furthermore, without a detailed grading plan,
there are serious questions about whether the site plan as presented to the
City can be built.

(g) Detention and Draina e: Another of the elements contemplated
in Section 3.3.c of the Guidelines is the adequacy of how "existing" detention
ponds will be affected by grading of the site and whether the relocation of
such detention ponds and related facilities will be adequate under both the
Guidelines as well as the City's detention requirements. In Mr. Crain's email
dated October 27, 2014, he stated that the existing detention pond on the
property is not "dedicated" and is "unnecessary" to accommodate storm water
detention on the "broader development." Yet Mr. Crain has offered nothing
more than the bare statement that "our preliminary calculations"
demonstrate that the two small detention ponds shown on the site plans will
"handle all required detention," Without a detailed grading plan and
demonstration of such calculations, it is not clear that Deltic, the ACC or the
City can or should rely upon Mr, Crain's conclusions. While such statements
may ultimately be demonstrated as accurate, the Guidelines contemplate a
demonstration that such detention issues have been adequately addressed as
part of the review and approval process. Here again the site plan and
supporting materials submitted so far are inadequate for review by and
comments from either Deltic or the ACC.
(h) Utility Easements: The Guidelines also require identification
and location on the site plan of all necessary utility easements to provide
water, sewer, electricity, gas, communications and other public utility
services to the site. The site plan submitted by Mr. Crain included no such
elements and therefore it is impossible to determine if adequate allowances
for such utility easements have been factored into the site plan, and the site
plan cannot be approved in its current state.
(i) Signage: Section 5.5 of the Guidelines provides that ", . . no
signs may be erected on any lot, common area, or building without approval
of the Architectural Control Committee." Presently neither the limited site
plan nor the ACC application includes any mention of signage or whore the
proposed development signs would be located. In view of Deltic's objection to
direct access to the site from Chenal Valley Drive, it is unlikely that a
request for a sign on Chenal Valley Drive would be approved in any form.

Conclusion:
The foregoing list is a continuing good faith attempt to both identify features of the
site plan presently before the City which may not be acceptable to either Deltic or
the ACC, and to highlight some of the portions of the site plan which are deficient
when viewed in the context of the Guidelines and ACC submission requirements.
Because Mr. Crain seeks approval of a new PD -R, all of the elements
identified herein are indeed relevant to a determination of whether the
proposed development in its present configuration and density can be
built on the site. It is Deltic's view that unless these elements, and probably
others as well, are addressed in detail and in advance of final zoning approval,
Deltic, the ACC and the City cannot be confident that the plan presently under
consideration is indeed the final site plan,

Dear Bill:
We are in receipt of your January 6, 2015 letter regarding the above -referenced rezoning.
We maintain our belief that the City of Little Rock Board of Directors should not have deferred
this matter as all we requested was a vote on a purely city issue, while the issues between my
client and Deltic Timber Corporation ("Deltic") are purely private issues. There is no reason that
the Board of Directors should not approve Mr. Crain's requested rezoning knowing that his
development remains subject to the approval of the Chenal Valley Architectural Control
Committee.
That being said, as the new owner of the property in question, Mr. Crain remains willing
to work with Deltic, though Mr. Crain is still reluctant to spend the literally tens of thousands of
dollars that Deltic is demanding be spent just to determine if Mr. Crain's plans might possibly be
approved. Mr. Crain's needs the assurance that the City will approve the rezoning request before
making such an enormous investment of time and resources. However, he is willing to request a
deferral of the January 20, 2015 Board of Directors hearing if a representative of Deltic will
agree to attend a meeting with him, which you and I can attend. Our hope would be to find a
middle ground where Mr. Crain can provide the information that Deltic can reasonably expect at
this time while not having to generate full, construction -ready plans without knowing whether
the Board of Directors will approve the rezoning.
If this proposal is acceptable to you, please provide dates when we can schedule a
meeting between Deltic's representative and Mr. Crain. We will then request that the Board of
Directors defer the hearing scheduled for January 20, 2015.

I have described the review process as a "back and forth" exchange. The materials
you submit will be carefully reviewed and depending upon the level of detail and
how soon these materials are delivered, completion of the process could take several
weeks. Accordingly, on behalf of Deltic, I would ask that Mr. Crain commence the
review process immediately rather than delay until a relatively short period before
the January 20th meeting.
I would direct your attention to my letter to Mr. Crain dated September 15, 2014, as
a guide for the scope and content of the information previously requested by Deltic.
We are, of course, prepared to discuss with you each of the areas of concern and will
consider any reasonable proposal for addressing the suggested scope of review.
Should the review provoke additional questions or identify other areas of concern,
Deltic will inform Mr. Crain as promptly as possible.

Dear Mayor Stodola and Members of the Board of Directors:
On behalf of the Chenal Valley Architectural Control Committee (the "ACC"), we
wish to address you with regard to the captioned matter which will be before the
City Board for consideration at your regular meeting on December 2, 2014.
As you know from past experience, all developments, whether commercial or
residential, located in the Chenal Valley Neighborhoods in West Little Rock are
subject to review and approval by the ACC. The ACC review process, while similar
to that undertaken by the City's Planning and Public Works Staffs, the Planning
Commission and the Little Rock Board of Directors, is rigorous and requires that
the Applicant provide detailed plans and specifications before approval to commence
construction can be given. It has been the ACC's consistent experience that prior
consideration and approval by the ACC eliminates the probability that an
application such as the present one must come back through the Little Rock
Planning process for approval of changes necessitated by compliance with
development guidelines enforced by the ACC.
The present Application involves property located in the Chenal Valley Commercial
Neighborhood and is a part of a larger tract which was originally the subject of a
PD -R the City approved for the benefit of the Arkansas Teacher Retirement System
(the "ATRS") a number of years ago. Although the ATRS subsequently abandoned
its plans to develop the larger tract, since that time a number of smaller
developments have occurred within the boundaries of the original ATRS property,
each of which was approved by both the ACC and Deltic Timber Corporation,
grantor of the property to ATRS, and each such prior development has been
completed in a manner consistent with development restrictions placed or the

larger tract at the time it was purchased by ATRS and as otherwise prescribed by
the ACC.
The present Applicant has pledged to adhere to both the development restrictions
and to the Chenal Valley Commercial Neighborhood Design Guidelines, however,
the Applicant has failed to provide the ACC with either detailed development plans
or other preliminary information necessary to the review and approval of the
proposed project by the ACC. The ACC also notes that based upon the information
provided to the ACC and that submitted to the City in connection with the review of
the Application by the Little Rock Planning Commission, the ACC cannot say
whether the development can be or will be approved in its present format.
Subsequent ACC review and approval may well necessitate the resubmission of the
Application to the City for reconsideration by the Staff, the Planning Commission
and Board of Directors.
In general, the ACC has no objection to the proposed purpose of the Applicant's
proposed development, however, we believe consideration of this Application by the
City Board at the present time is premature and may make it necessary for the
Board of Directors to reconsider the revised development plan at a future date. It is
with the highest regard for the Board's prerogatives that we respectfully ask that
this Application and approval of the Ordinance before you on December 2, 2014, be
deferred until such time as the Applicant has completed the ACC review process
and obtained approval for all elements of its proposed development.

Dear Cliff:
It has now been five weeks since the Little Rock Board of Directors voted to defer
your client's application for rezoning until such time as both Deltic Timber
Corporation and the Chenal Valley Architectural Control Committee ("ACC") had
received detailed information about his project, had time to review the same and
had issued responses to his plans for the project. As of today's date, Tuesday,
January 6, 2015, we have received no response from either Mr. Crain or you
concerning the project and have received no information with regard to the
contemplated review by the ACC and Deltic.
Only two weeks remain before the Little Rock Board of Directors is scheduled to
reconsider your client's rezoning application. Given the complexity of Mr, Crain's
project and the amount of detailed information which is typically produced and
reviewed in connection with the similar projects, it is most unlikely that Deltic, and
we presume the ACC as well, will be able to receive, review and issue comments
before the January 20th meeting date even if all of the necessary information is
received this week. Of course, Deltic will make every effort to consider any
information your client offers but we are unable to tell you that agreement on the

final project details can be assured prior to the City Board meeting on January
20th.
We urge you to consider seeking the Little Rock City Board's agreement, in advance
of January 20th, to extend the deferral period for a reasonable additional amount of
time during which project review can be completed. This is, of course, merely a
suggestion and one which Deltic believes is in the best interest of all parties
concerned with this matter.
I will be happy to discuss this suggestion with you at your convenience should you
be interested in making such a request to the City.

Tony and I have reviewed the information submitted concerning the proposed development plan for this project. It
appears from the information provided, the information in the file and the information located on the City's web site the
approval would allow for the construction of 94 buildings each containing 2 units (188 units). As we discussed staff can
not increase the density of a multi -family development. Staff can however allow for slight modifications of the building
coverage. If you desire to modify the plan to allow an increase in the number of units this will take approval of the
planning commission and board of directors. If you wish to revise the building layout and the unit configuration we can
potentially work with you at staff level. Based on the plan submitted it appears you are requesting to modify the site
plan to allow for 2 and 3 units attached. To determine if the proposal falls within the allowable building coverages
approved staff will need the currently approved plan building coverages and the proposed new plan building coverages.

Dear Tom:
As I committed to you on the phone a few weeks ago, we have made significant changes to the
site and grading plans as well refining and increasing the variety of the exterior elevations of the
units. These changes were prompted by our discussion in your office in May. We are providing
with this letter the following revisions for the ACC to approve:
• Revised Site Plan and Grading Plan in 50' scale (four copies each)
• Revised Front Elevations of two types of units (four copies each)
o Type A Units with garages at opposite ends of front elevation
o Type B Units with garages side by side in center of building.
These revisions resolve the concerns you brought up in our meeting.
Site Plan and Grading Plan:
o Increased landscape buffer and undisturbed areas along Chenal Valley Drive from

o Dramatically reduced retaining walls throughout the development.
O Added gentle sloping walking trail in Northeast of property with connecting 5'
walking path from entrance of property on CVD to clubhouse, to Northeast Walking
trail and back to entrance at CVD.
o Added landscaped traffic circles to Alignments A, B and C. These breaks along
with the natural slope of the streets will interrupt the appearance of repetitive
buildings. Also introduced three unit buildings to increase green space and reduce
repetition.

o The plan includes a total of 188 units which is the total number of units approved

11 WHEREAS, the Board of Directors passed Little Rock, Ark., Ordinance No. 21,224 (May 3,
12 2016) on May 3, 2016, to permit a revised long -form PD -R for The Villas at Chenal, but the
13 ordinance inadvertently included an erroneous property description; and,
14 WHEREAS, the parties are about to change their situations in this matter and to close on the
15 financing for this project, but cannot do so until this property description is corrected; and,
16 WHEREAS, the notices, descriptions in the record before the Planning Commission, and all
17 other matters correctly and clearly identified the property that is the subject of this zoning revision,
18 so that the correction of the property description is merely an administrative matter;

unconstitutional was not originally a part of this ordinance.
Section 3. Repealer. All ordinances, resolutions, or parts of the same that are inconsistent with the
provisions of this ordinance are hereby repealed to the extent of such inconsistency including, but not
limited to, Little Rock, Ark., Ordinance No. 21,224 (May 3, 2016).
Section 5. Emergency Clause. The ability to accurately note changings in the zoning map for the City
of Little Rock, Arkansas, and to permit approved projects to move forward with financing and construction
is essential to the public health, safety, and welfare, particularly where, as here, parties have materially
changed their positions in reliance upon approved changes to the zoning map; therefore, an emergency,
therefore, is declared to exist and this ordinance shall be in full force and effect from and after the date of
its passage.

10 WHEREAS, the Board of Directors passed Little Rock, Ark., Ordinance No. 21,224 (May 3, 2016) to
11 permit a Revised Long -Form PD -R for The Villas at Chenal, but the ordinance inadvertently included an
12 erroneous property description; and,
13 WHEREAS, the parties are about to change their situations in this matter and to close on the financing
14 for this project, but cannot do so until this property description is corrected; and,
15 WHEREAS, the notices, descriptions in the record before the Planning Commission, and all other
16 matters correctly and clearly identified the property that is the subject of this zoning revision, so that the
17 correction of the property description is merely an administrative matter;
18 NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY
19 OF LITTLE ROCK, ARKANSAS:
20 Section 1. Section 1 of Little Rock, Ark., Ordinance No. 21,224 (May 3, 2016) is hereby amended to
21 read as follows:
22 Section 1. That the zoning classification of the following described property be changed from
23 R-2, Single -Family District, to PD -R, Planned Development — Residential:
24 Z -6532-H: Part of the SWI/4, Section 25, T -2-N, R -14-W, Little Rock, Pulaski
25 County, Arkansas, more particularly described as: Commencing at the southeast
26 corner of Tract 7A, Chenal Valley, an addition to the City of Little Rock, Arkansas;
27 thence N74°35'01"E, 60.02 feet to a point on the east right-of-way line of Chenal
28 Valley Drive; thence northerly along said east right-of-way line, being the arc of a
29 1115.92 -foot radius curve to the right, a chord bearing and distance of N04151'03"W,
30 347.39 feet; thence N04°08'32"E and continuing along said east right-of-way line,
31 412.06 feet; thence northwesterly and continuing along said east right-of-way line,
32 being the arc of a 507.46 -foot radius curve to the left, a chord bearing and distance of
33 N39°44'39"W, 703.58 feet; thence N83°37'35"W and along the north right-of-way

4 bearing and distance of N72140'49"W, 532.79 feet; thence continue along said right -
5 of -way line N61143'45"W, 111.89 feet; thence northwesterly, being the arc of a 25.00-
6 foot radius curve to the right, a chord bearing and distance of N24°38'09"W, 29.95
7 feet to a point on the east right-of-way line of LaMarche Drive; thence northerly along
8 said east right-of-way line, being the arc of a 507.46 -foot radius curve to the left, a
9 chord bearing and distance of N00°17150"E, 194.27 feet; thence continuing along said
10 east right-of-way line N10°44'20"W, 224.10 feet; thence continuing along said east
I 1 right-of-way line northwesterly, along the arc of a 542.96 -foot radius curve to the left,
12 a chord bearing and distance of N18133134"W, 179.26 feet; thence N79127'31"E,
13 188.18 feet; thence S68°13'10"E, 738.32 feet; thence S51°08'57"W, 140.21 feet; thence
14 S00°44'16"W, 499.97 feet to the point of beginning, containing 10.8000 acres, more
15 or less.
16 Section 2. Severability. In the event any title, subtitle, section, subsection, subdivision, paragraph,
17 subparagraph, item, sentence, clause, phrase, or work of this ordinance is declared or adjudged to be invalid
18 or unconstitutional, such declaration or adjudication shall not affect the remaining portions of the ordinance
19 which shall remain in full force and effect as if the portion so declared or adjudged invalid or
20 unconstitutional was not originally a part of this ordinance.
21 Section 3. Repealer. All ordinances, resolutions, or parts of the same that are inconsistent with the
22 provisions of this ordinance are hereby repealed to the extent of such inconsistency including, but not
23 limited to, Little Rock, Ark., Ordinance No. 21,224 (May 3, 2016).
24 Section 5. Emergency Clause. The ability to accurately note changings in the zoning map for the City
25 of Little Rock, Arkansas, and to permit approvedprojects to move forward with financing and construction
26 is essential to the public health, safety, and welfare, particularly where, as here, parties have materially
27 changed their positions in reliance upon approved changes to the zoning map; therefore, an emergency,
28 therefore, is declared to exist and this ordinance shall be in full force and effect from and after the date of
