3 A RESOLUTION TO AMEND LITTLE ROCK, ARK., RESOLUTION NO.
4 16,058 (JULY 18, 2023) TO AMEND THE EXISTING CONTRACT WITH
5 THE LITTLE ROCK REGIONAL CHAMBER OF COMMERCE, IN AN
6 AMOUNT NOT TO EXCEED FIVE HUNDRED THOUSAND DOLLARS
7 ($500,000.00), TO PROVIDE ECONOMIC DEVELOPMENT
8 CONSULTING SERVICES, AND TO MAKE OTHER NECESSARY
9 AMENDMENTS; AND FOR OTHER PURPOSES.

11 WHEREAS, Bid No. 2072 was issued for Economic Development Consulting Services for the City
12 of Little Rock, Arkansas ("City"), and it was deemed that the Little Rock Regional Chamber of
13 Commerce ("Chamber") was the top respondent, and the Selection Committee, appointed by the City
14 Manager,scored the technical proposal as qualified and has recommended that this contract be awarded to
15 the Little Rock Regional Chamber of Commerce;and,
16 WHEREAS, pursuant to Little Rock, Ark., Resolution No. 16,058 (July 18, 2023), the City
17 authorized a contract with the Chamber for Economic Development Consulting Services in an amount not
18 to exceed Five Hundred Thousand Dollars($500,000.00);and,
19 WHEREAS, pursuant to Little Rock, Ark., Resolution No. 15,378 (January 19, 2021), the City had
20 already entered into a contract with the Chamber for Economic Development Consulting Services for an
21 amount not to exceed Two Hundred Fifty Thousand Dollars($250,000.00),effective March 8,2021;and,
22 WHEREAS, said contract was extended pursuant to its terms for one (1) additional term from for a
23 term from January 1, 2022, through December 3I, 2022, pursuant to Little Rock, Ark., Resolution No.
24 15,601 (December 21,2021);and,
25 WHEREAS,said contract was extended pursuant to its terms for a second additional term from for a
26 term from January 1, 2023, through December 31, 2023, pursuant to Little Rock, Ark., Resolution No.
27 15,835 (December 6,2022); and,
28 WHEREAS, it is in the best interests of the City and the Chamber to amend the existing contract to
29 allow for payment in an amount not to exceed Five Hundred Thousand Dollars ($500,000.00), to allow
30 for three (3) additional one (1)-year terms from the date of the amendment for an amount not to exceed
31 Five Hundred Thousand Dollars ($500,000.00) per year (i.e., to double the amount of the current
32 payment),and to make other necessary amendments.
33 NOW,THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
34 OF LITTLE ROCK,ARKANSAS:

1 Section 1. Section 1 of Little Rock, Ark., Resolution No. 16,058(July 18, 2023), is hereby amended
2 to read as follows:
3 The Board of Directors hereby authorizes the City Manager to amend the existing
4 contract with the Little Rock Regional Chamber of Commerce, effective March 8, 2021,
5 to provide Economic Development Consulting Services to the City in accordance with
6 the terms and conditions offered in the proposal submitted in response to the request for
7 proposals Bid No. 2072 in an additional amount not to exceed Five Hundred Thousand
8 Dollars ($500,000.00); provided that by mutual agreement of the parties the contract can
9 be extended for three (3) additional one (1)-year terms from the date of the amendment
10 for an amount not to exceed Five Hundred Thousand Dollars($500,000.00)per year, and
11 to make other amendments as deemed necessary. The effective date of the amendment
12 shall be on, or about, September 1,2023.
13 Section 2. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
14 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
15 adjudication shall not affect the remain portions of this resolution, which shall remain in full force and
16 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
17 resolution.
18 Section 3.Repealer. All laws, ordinances and resolutions, or parts of the same, including but not lim-
19 ited to Little Rock, Ark., Resolution No. 16,058 (July I8, 2023), that are inconsistent with the provisions
20 of this resolution,are hereby repealed to the extent of such inconsistency.
