1. That I, Helen M. Pate, Executrix, did on the �p'�f+
January, 1994, file the Petition for the Probate of the Will and
Appointment of Personal Representative herein, and that on January
15, 1994, was appointed Executrix pursuant to the terms of the Will
dated November 26, 1991, and Codicil dated August 12, 1993, which
two instruments were admitted to Probate as the Last Will and
Testament of the Decedent. That on the 18th day of January, 1994,
Letters Testamentary to Helen M. Pate were issued.
2. On' the 26th day of January, 1994, the notice of the
Probate of the Will and likitide to Creditors was first published in
The Daily Record, a newspaper of.bona fide circulation within the
City and County, and that no unpaid claims have been filed.
3. That Will of the Decedent authorizes the Zxacutrix within

hereinafter described, and filed her request for ratification of
appointment of appraisers, and filed their appraisal, and on August
L�_, 1994, the Court approved and confirmed the appointment of the
appraisers, approved the appraisal at $67,000.00, and approved the
actions of the Executrix in proceeding with the sale and ordered
the Executrix to consummate the sale, for the purpose of conserving
the assets of the Estate and for the distribution prescribed in the
Decedents Will; and ordered the Executrix to thereafter make her
Report of Sale.
5. That on the 15th day of August, 1994, the undersigned
filed her Report of Sale and her Petition for approval and
confirmation of the sale and Deed.
6. That the Executrix has entered into a sale contract for
$67,500.00, which price is in excess of the appraised value
thereof, with James E. Williams and Karmen Williams, his wife,
subject to the final approval of the Court, and on July 21, 1994,
the Executrix reported that the conditions of the sale made had
been fulfil A that the repairs necessary to meet the appraised
value, and F.H.A. approval had been made, and the sale for
$67,500.00, less sales and other expenses, had been made within six
(6) months of the Order authorizing the acceptance of the offers of
sale. That the sale is for cash at a price equal to or in excesa
of the appraised value of the property, and a private sale was
authorized.
7. That the Executrix's verified Report of Sale stated.that
she was not directly, or indirectly, interested in the sale of.the
property, but as Executrix and as beneficiary under the Will of -the

Decedent, and that she had no direct, or indirect, interest in the
property after the sale.
8.On the mhday of August; 1994, the Cr,urt fo,md that the
sale was in all respects lawfully made in accordance with the_Will,
law and the Orders of the Court, and approved and confi=med the
sale and directed the Executrix t,.> execute and deliver to the
purchasers the Executrix's Deec, and to recei'le the purchase price
thereof, less Statutory de�uctible costs and expenses oi the sale
to be paid at closing, and said Order did approve rnd confirm .the
Report of Sale and the Executrix's Deed, and there has been affixed
to the ·Deed the endorsement of the Court conficming same.
WHEREFORE, I, Helen, M, Pate, Executrix of the Estate of
Florence Fitzgerald Nisbett, Deceased, by virtue of the powers
vested in her by the Will, and by law and the Orders of the Court,
and in consideration of the sum of $67,500.00, to her in hand paid,
the receipt thereof being acknowledged, does hereby GRANT, BARGAIN,
SELL, and CONVEY unto said !James E, Williams and Karmen Williams, , I
his wife, and to their heir� and-assigns forever all of the right,
title, interest, equity and:estate of Florence Fitzgerald Nisbe�t,
discharged from the liability of her debts and obligations incid9nt
to the administration of the Est8i':e, the following lands in Pulaski
