3 AN ORDINANCE TO DECLARE IT IMPRACTICAL AND UNFEASIBLE
4 TO BID AND TO AUTHORIZE THE MAYOR TO EXECUTE A SOLE
5 SOURCE AGREEMENT WITH LOCALITY MEDIA, INC., IN THE
6 TOTAL AMOUNT OF ONE HUNDRED THIRTY-SEVEN THOUSAND,
7 THIRTY-TWO AND 50/100 DOLLARS ($137,032.50), FOR RECORDS
8 MANAGEMENT SOFTWARE FOR THE LITTLE ROCK FIRE
9 DEPARTMENT; AND FOR OTHER PURPOSES.

11 WHEREAS, it is critical that the Little Rock Fire Department("LRFD") be able to gather and store
12 data which will allow it to respond to incidents safely and effectively; and,
13 WHEREAS,Locality Media,Inc.,provides the First Due Software which will enable LRFD to,among
14 other things, (1) gather and maintain information regarding fire systems, hydrants, hazardous materials,
15 occupancies, and other data; (2) to perform pre-incident mapping using GIS and other data; (3)to better
16 create and maintain its inspections records and documents; and (4) manage its data concerning permits;
17 and,
18 WHEREAS,Locality Media,Inc., is the only business offering software that has the functionality and
19 versatility of First Due; and,
20 WHEREAS,the initial term of the contract will be for six(6)months at a cost of Forty-Six Thousand,
21 Three Hundred Twenty-Five Dollars ($46,325.00); the next year of the contract will be a one (1)-year
22 renewal of the contract at a cost of Seventy-Eight Thousand,Two Hundred Fifty Dollars($78,250.00);with
23 a 10% contingency of the initial term and the first year of Twelve Thousand, Four Hundred Fifty-Seven
24 and 50/100 Dollars ($12,457.50); for a total amount not to exceed One Hundred Thirty-Seven Thousand,
25 Thirty-Two and 50/100 Dollars($137,032.50), with an option to renew the contract for two (2) more one
26 (1)-year extensions after the initial term and first one(1)-year renewal.
27 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
28 OF LITTLE ROCK,ARKANSAS:
29 Section 1. The Board of Directors declares that it is impractical and unfeasible to submit the Little
30 Rock Fire Department's Record Management Software to a competitive bid process,and,therefore,waives
31 competitive bidding.
32 Section 2. The City Manager is authorized to enter into a contract with Locality Media, Inc., for an
33 initial six(6)-month term and one (1), one (1)-year renewal with an option to renew the contract for two

1 (2)additional, one(1)-year extensions after the initial term and first one(1)-year renewal for the purchase
2 of Record Management Software in an amount not to exceed One Hundred Thirty-Seven Thousand,Thirty-
3 Two and 50/100 Dollars ($137,032.50), which is for an initial six (6)-month term at a cost of Forty-Six

7 Section 3. Funding for this purchase is available from the ACT 833 Account, Account No. 210519-
8 63390-S00B250.
9 Section 4. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
10 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
11 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
12 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
13 resolution.
14 Section 5. Repealer. All laws,ordinances,resolutions,or parts of the same,that are inconsistent with
15 the provisions of this resolution,are hereby repealed to the extent of such inconsistency.
