3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO
4 NEGOTIATE AND ENTER INTO A CONTRACT WITH FRIDAY
5 ELDREDGE & CLARK, LLP, AS BOND COUNSEL FOR THE
6 PROPOSED ISSUANCE OF CITY OF LITTLE ROCK, ARKANSAS
7 LIMITED TAX GENERAL OBLIGATION CAPITAL IMPROVEMENT
8 BONDS IN ONE (1) OR MORE SERIES; AND PROVIDING FOR OTHER
9 MATTERS IN CONNECTION WITH THE ISSUANCE OF BONDS; AND
10 FOR OTHER PURPOSES.

12 WHEREAS, it is necessary to have Bond Counsel to assist the City with the planning, preparing, and
13 issuance of City of Little Rock, Arkansas Limited Tax General Obligation Capital Improvement Bonds in
14 one(1)or more series as proposed; and,
15 WHEREAS,the City requested proposals from qualified firms to handle this work; and,
16 WHEREAS, the proposals received were reviewed and evaluated by a Professional Services
17 Selection Committee designated in accordance with City Ordinance; and,
18 WHEREAS,the Committee has concluded that the law firm of Friday Eldredge& Clark, LLP, is the
19 most qualified and has the knowledge and experience with similar financings in Arkansas to provide
20 counsel to the City on any and all legal matters pertaining to the proposed bond issue.
21 NOW,THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
22 OF LITTLE ROCK,ARKANSAS:
23 Section 1. The Board of Directors hereby authorizes the City Manager to negotiate and enter into an
24 agreement with the firm of Friday Eldredge & Clark, LLP, to act as Bond Counsel for this proposed bond
25 issue in one(1)or more series.
26 Section 2. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
27 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
28 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
29 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
30 resolution.
31 Section 3. Repealer. All laws, ordinances, resolutions, or parts of the same, that are inconsistent
32 with the provisions of this resolution, are hereby repealed to the extent of such inconsistency.
