(hereinafter called "Managing Agent") agree as follows: 1. The Owner hereby employs the Managing Agent exclusively to rent, lease, operate and manage the property known as, 1015 South Scott, Little Rock Arkansas 72202 St upon the terms hereinafter set forth for the period of one (11 year becginnin- on the 1 day of November 2005 and endin on the 31 st day of October 2000 and thereafter for like periods from time to time, unless on or before sixty (60) days prior to the expiration of any such renewal period, either party hereto shall notify the other in writing of an intention to terminate the agreement in which case this agreement may be thereby terminated on the last mentioned date. 2. The Managing Agent accepts the employment and agrees: (a) To use diligence in the management of the premises for the period upon the terms herein provided and agrees to furnish the services of its organization for the renting, leasing and managing of the herein described premises. (b) To render monthly statements of receipts, expenses and charges, and to remit to Owner receipts less disbursements. In the event the disbursements shall be in excess of the rents collected by the Agent, the Owner hereby agrees to pay such excess promptly upon demand of the Managing Agent. (c) To bond all its employees who handle and are responsible for Owner's moneys. (d) Comply with all Fair Housing laws and provide equal services to all persons regardless of race, color, religion, sex, marital status, national origin, disability, familial status, or age. 3. The Owner hereby gives to the Managing Agent the following authority and powers and agrees to assume the expenses in connection therewith: (a) To advertise the availability of the premises or parts thereof. (b) To display signs thereon. (c) To sign, renew, and/or cancel leases. (d) To collect rents due or to become due and to issue receipts therefore. (e) To terminate tenancies. (f) To sign and serve in the name of the Owner such notices as are deemed needful by Agent. (g) To institute and prosecute actions, to evict tenants, and to recover possession. (h) To sue in the name of the Owner and recover rents and other sums due, and when expedient, to settle, compromise and release such actions or suits, or reinstate such tenancies. (1) To make or cause to be made such repairs, alterations, or rental adjustments on said premises if in the opinion of the Managing Agent such work or adjustments are necessary to protect the property from damage or to maintain services to the tenants as are called for by their tenancy. (j) To purchase necessary supplies. (k) To hire, and discharge, all labor required for the maintenance and operation of the premises. (1) To make contracts for electricity, gas, fuel, water, telephone, window cleaning, trash hauling and such other utilities as the Agent shall deem advisable. (m) To assume the expenses for all long distance phone charges. (n) To assume any sales tax expense imposed by any taxing authority on any management fees. 4. The Owner agrees that the Managing Agent may perform any of its duties through its attorneys, agents, and employees and shall not be responsible for their acts, defaults, or negligence, if reasonable care has been exercised in their appointment and retention. The agent shall not be liable for any error of judgment, orfor any mistake of fact or law, for anything which it may do or refrain from doing thereafter, except in cases of willful misconduct or gross. negligence. S. The Owner further agrees: (a) Owner agrees, at Owner's expense, to indemnify and save the Managing Agent harmless from any claims or damages, including, but not limited to costs, expenses, and reasonable attorney fees and accounts thereof, that may be made by anyone in connection with the management of the property andlor injuries suffered by any person whomsoever, and to carry, at Owner's expense, Comprehensive General Liability Insurance with limits of $300,000 death or injury, and $100,000 property damage. In the event this insurance is ever canceled, a thirty (30) day written notice of cancellation will be sent to the offices of the Managing Agent, and the Managing Agent is specifically authorized to place, at Owner's expense, liability coverage if a copy of any existing liability policy is not furnished to Managing Agent within thirty (30) 2 days after the effective date of this agreement, in addition, Owner agrees to release, indemnify and hold Managing Agent harmless from any act of omission or commission concerning service upon Managing Agent of any papers, notices, subpoenas, summons, or other legal documentation regarding an alleged violation of any state, federal, municipal or other law, regulation or directive, on or about the property (collectively, a "Code Notice"). Further, Owner agrees to release, indemnify and hold Managing Agent harmless and not to allege any negligent conduct on the part of Managing Agent if, within two (2) business days after receipt of a Code Notice by Managing Agent, on behalf of Owner, the Code Notice is forwarded to Owner by certified United States Mail. Owner assuming sole responsibility for, at all times, furnishing Managing Agent with written notice of a current address for Owner serviced by the United States Post Office, the initial address being: Quapaw Properties, LLC Box 777 Little Rock Arkansas 72203-0777. (b) To advise the Managing Agent in writing if the Agent is to be responsible for the payment of mortgage indebtedness, property or employee taxes, special assessments, or the placement of fire, liability, boiler or any other insurance that is required. (c) To recognize the Managing Agent as the broker in any negotiation pending for leasing the premises or any part thereof at the time of the termination of this agreement and in the event of the consummation thereof to pay the rate as prescribed in sub -paragraph (d) of this Paragraph 5. (d) To pay the Managing Agent: (1) For management: 10% of gross collections (2) For leasing: None (3) Other Services: None (e) If, while this agreement is in effect, Agent negotiates a lease or leases of the property or any part or parts thereof which extends beyond the termination of the agreement, Owner understand that the management fee provided for in sub -paragraph (d)(1) of this Paragraph 5 must be paid to Agent for the full term of such lease(s) including any extensions or renewals provided for in such leases(s). (f) Upon termination of this agreement, pursuant to the provisions hereof, Managing Agent shall have a maximum of sixty (60) days in which to process all outstanding obligations committed against the property and to render a final accounting to Owner.
