Home My WebLink About15439 1 RESOLUTION NO. 15,439 2 3 A RESOLUTION TO AUTHORIZE A FIVE (5)-YEAR EXTENSION OF 4 THE INTERLOCAL AGREEMENT FOR AMBULANCE SERVICES 5 BETWEEN THE CITY OF LITTLE ROCK, ARKANSAS, AND THE CITY 6 OF NORTH LITTLE ROCK, ARKANSAS, GRANTING THE LITTLE 7 ROCK AMBULANCE AUTHORITY D/B/A METROPOLITAN 8 EMERGENCY MEDICAL SERVICES AN EXCLUSIVE FRANCHISE TO 9 CONTINUE TO PROVIDE AMBULANCE SERVICES TO THE CITY OF 10 NORTH LITTLE ROCK; AND FOR OTHER PURPOSES. 11 12 WHEREAS, the Little Rock Ambulance Authority (LRAA) d/b/a Metropolitan Emergency Medical 13 Services (MEMS) currently holds an exclusive Franchise to provide all Ambulance Services (emergency 14 and non-emergency)to the City of North Little Rock, Arkansas, per an Interlocal Agreement between the 15 City of Little Rock,Arkansas,and the City of North Little Rock,Arkansas; and, 16 WHEREAS, the existing five (5)-year Interlocal Agreement will expire on or about August 1, 2021, 17 and the City of Little Rock and the City of North Little Rock, Arkansas wish to extend said Interlocal 18 Agreement for five(5)additional years through July 31,2026; and, 19 WHEREAS, MEMS has represented to this Board that it has the capability and resources to provide 20 such service without increasing expenses or rates for Little Rock citizens;and, 21 WHEREAS,this Board believes that it is beneficial to continue to have MEMS provide Ambulance 22 Services to the City of North Little Rock, Arkansas, and thereby promote the health and welfare of the 23 citizens of Little Rock,Arkansas and North Little Rock,Arkansas; and, 24 WHEREAS, the delivery of Ambulance Services (emergency and non-emergency) to the City of 25 North Little Rock, Arkansas, will enhance MEMS' financial soundness and increase its ability to deliver 26 high-quality emergency medical services to all citizens. 27 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 28 OF LITTLE ROCK,ARKANSAS: 29 Section 1. The Mayor and the City Clerk are authorized to execute a five (5)-year extension of the 30 Interlocal Agreement between the City of Little Rock, Arkansas, and the City of North Little Rock, 31 Arkansas, in a form substantially the same as that attached hereto as Exhibit A. 32 Section 2. Severability. In the event any portion of this resolution is declared or adjudged to be 33 invalid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of this [Page 1 of 41 1 resolution which shall remain in full force and effect as if the portion so declared or adjudged invalid or 2 unconstitutional was not originally a part of this resolution. 3 Section 3. Repealer. Carpenter, City Attorne 14 // 15 // 16 // 17 // 18 // 19 // 20 // 21 // 22 // 23 // 24 // 25 // 26 // 27 // 28 // 29 // 30 // 31 // 32 // 33 // 34 // 35 // Page 2 of 41 Exhibit A 2 METROPOLITAN EMERGENCY MEDICAL SERVICES 3 EXTENSION OF INTERLOCAL AGREEMENT 4 CITY OF NORTH LITTLE ROCK,ARKANSAS 5 6 This Agreement is made and entered into as of the 1'c day of August, 2021, by and between the 7 Cities of Little Rock, Arkansas ("Little Rock"), and North Little Rock, Arkansas ("North Little Rock"), 8 cities of the First-Class. 9 WITNESSETH 10 11 WHEREAS,the existing Interlocal Agreement between the two(2)cities for all Ambulance Services 12 expires on July 31,2021; and, 13 WHEREAS, the governing bodies of Little Rock and North Little Rock have agreed to a five (5)- 14 year extension of the agreement, from August 1,2021,through July 31,2026. 15 NOW, THEREFORE, in consideration of the mutual covenants and agreements of Little Rock and 16 North Little Rock and on the terms and conditions set out herein, it is agreed as follows: 17 1. TERM. The term of this Agreement shall extend from August 1, 2021, for a period of five (5) 18 years, through July 31, 2026, subject to the continuing right of Little Rock and North Little Rock to 19 modify, renew, or extend the term by mutual agreement. Either party may terminate the agreement by 20 giving ninety(90)days written notice. 21 2. EXCLUSIVE FRANCHISE. The City of North Little Rock has authorized by resolution a five 22 (5) year extension of MEMS' exclusive Franchise to provide all Ambulance Service to the citizens of 23 North Little Rock. Wheelchair van service is excluded from this franchise. 24 3. CURRENT INTERLOCAL AGREEMENT AND ALL CURRENT AMENDMENTS 25 THERETO ARE ADOPTED AND INCORPORATED BY REFERENCE TO GOVERN THIS 26 EXTENSION. The current Interlocal Agreement, dated August 26, 1996, is adopted and incorporated by 27 reference herein, and sets forth the additional germs governing this agreement. All current amendments 28 to the current Interlocal Agreement, including but not limited to,the Basic Life Services Amendment that 29 went into effect on or about January 25, 2018, are also adopted and incorporated by reference herein and 30 remain valid until terminated by one or both parties. 31 4. APPROVALS. This Agreement shall not be effective until such time as it has received all 32 approvals as required by Ark.
