3 A RESOLUTION TO AUTHORIZE A FIVE (5)-YEAR EXTENSION OF
4 THE INTERLOCAL AGREEMENT FOR AMBULANCE SERVICES
5 BETWEEN THE CITY OF LITTLE ROCK, ARKANSAS, AND THE CITY
6 OF SHERWOOD, ARKANSAS, GRANTING THE LITTLE ROCK
7 AMBULANCE AUTHORITY D/B/A METROPOLITAN EMERGENCY
8 MEDICAL SERVICES AN EXCLUSIVE FRANCHISE TO CONTINUE
9 TO PROVIDE AMBULANCE SERVICES TO THE CITY OF
10 SHERWOOD; AND FOR OTHER PURPOSES.

12 WHEREAS, the Little Rock Ambulance Authority (LRAA) d/b/a Metropolitan Emergency Medical
13 Services (MEMS) currently holds an exclusive Franchise to provide all Ambulance Services (emergency
14 and non-emergency)to the City of Sherwood, Arkansas, per an Interlocal Agreement between the City of
15 Little Rock,Arkansas,and the City of Sherwood,Arkansas; and,
16 WHEREAS, the existing five (5)-year Interlocal Agreement will expire on or about July 31, 2021,
17 and the City of Little Rock and the City of Sherwood wish to extend said Interlocal Agreement for five
18 (5)additional years through July 31,2026; and,
19 WHEREAS, MEMS has represented to this Board that it has the capability and resources to provide
20 such service without increasing expenses or rates for Little Rock citizens; and,
21 WHEREAS,this Board believes that it is beneficial to continue to have MEMS provide Ambulance
22 Services to the City of Sherwood, Arkansas, and thereby promote the health and welfare of the citizens of
23 Little Rock,Arkansas and Sherwood,Arkansas; and,
24 WHEREAS, the delivery of Ambulance Services (emergency and non-emergency) to the City of
25 Sherwood, Arkansas, will enhance MEMS' financial soundness and increase its ability to deliver high-
26 quality emergency medical services to all citizens.
27 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
28 OF LITTLE ROCK,ARKANSAS:
29 Section 1. The Mayor and the City Clerk are authorized to execute a five (5)-year extension of the
30 Interlocal Agreement between the City of Little Rock, Arkansas, and the City of Sherwood, Arkansas, in
31 a form substantially the same as that attached hereto as Exhibit A.
32 Section 2. Severability. In the event any portion of this resolution is declared or adjudged to be
33 invalid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of this

1 resolution which shall remain in full force and effect as if the portion so declared or adjudged invalid or
2 unconstitutional was not originally a part of this resolution.
3 Section 3. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with any
4 provision of this resolution are hereby repealed to the extent of such conflict.

2 METROPOLITAN EMERGENCY MEDICAL SERVICES
3 EXTENSION OF INTERLOCAL AGREEMENT
4 CITY OF SHERWOOD,ARKANSAS

6 This Agreement is made and entered into as of the 1st day of August, 2021, by and between the Cities
7 of Little Rock,Arkansas("Little Rock"),and Sherwood,Arkansas("Sherwood"),cities of the First-Class.
8 WITNESSETH

10 WHEREAS,the existing Interlocal Agreement between the two(2)cities for all Ambulance Services
11 expires on July 31,2021; and,
12 WHEREAS, the governing bodies of Little Rock and Sherwood have agreed to a five (5)-year
13 extension of the agreement, from August 1,2021,through July 31,2026.
14 NOW, THEREFORE, in consideration of the mutual covenants and agreements of Little Rock and
15 Sherwood and on the terms and conditions set out herein, it is agreed as follows:
16 1. TERM. The term of this Agreement shall extend from August 1, 2021, for a period of five (5)
17 years, through July 31, 2026, subject to the continuing right of Little Rock and Sherwood to modify,
18 renew, or extend the term by mutual agreement. Either party may terminate the agreement by giving
19 ninety(90)days written notice.
20 2. EXCLUSIVE FRANCHISE. The City of Sherwood has authorized by resolution a five (5)year
21 extension of MEMS' exclusive Franchise to provide all Ambulance Service to the citizens of Sherwood.
22 Wheelchair van service is excluded from this franchise.
23 3. CURRENT INTERLOCAL AGREEMENT AND ALL CURRENT AMENDMENTS
24 THERETO ARE ADOPTED AND INCORPORATED BY REFERENCE TO GOVERN THIS
25 EXTENSION. The current Interlocal Agreement, dated August 26, 1996, is adopted and incorporated by
26 reference herein, and sets forth the additional germs governing this agreement. All current amendments
27 to the current Interlocal Agreement, including but not limited to,the Basic Life Services Amendment that
28 went into effect on or about January 25, 2018, are also adopted and incorporated by reference herein and
29 remain valid until terminated by one or both parties.
30 4. APPROVALS. This Agreement shall not be effective until such time as it has received all
31 approvals as required by Ark. Code Ann. § 25-20-102, et seq.
