3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO
4 APPROVE AN AMENDMENT TO THE CONTRACT BETWEEN THE
5 CITY OF LITTLE ROCK, ARKANSAS, AND FRIDAY, ELDREDGE &
6 CLARK, LLP, TO PROVIDE LEGAL COUNSEL TO REPRESENT THE
7 CITY BEFORE THE CIVIL SERVICE COMMISSION; AND FOR
8 OTHER PURPOSES.

10 WHEREAS, on July 1, 2019, the City of Little Rock ("City") entered into a contract with Friday,
II Eldredge & Clark, LLP, to provide Legal Counsel to represent the City before the Civil Service
12 Commission; and,
13 WHEREAS,the term of the contract was one (1)-year from the date of execution with the provision
14 that it would be automatically renewed at the sole option of the City for a maximum of two(2)additional
15 one(1)-year terms, beginning July I,2020;and,
16 WHEREAS, the contract further provided that in no event would the contract extend beyond June
17 30,2022; and,
18 WHEREAS, the contract states that in no event shall total remuneration exceed the sum of Forty-
19 Five Thousand Dollars ($45,000.00) per year unless the City and Friday, Eldredge & Clark, LLP, agree
20 upon an amendment to the contract; and,
21 WHEREAS, due to an unexpected increase in Civil Service Commission appeals, Friday, Eldredge
22 & Clark, LLP, is requesting an amendment to the contract amount of Forty-Five Thousand Dollars
23 ($45,000.00) to an amount not to exceed One Hundred Thirty Thousand Dollars ($130,000.00) for legal
24 services performed and billed prior to June 30,2020; and,
25 WHEREAS, after a review of the previous five (5)years of billings from Friday, Eldredge & Clark,
26 LLP, and the increase in the number of Civil Service appeals constitutes sufficient justification to exceed
27 the original contract amount.
28 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
29 OF LITTLE ROCK,ARKANSAS:
30 Section 1. The Mayor is hereby authorized to approve an amendment to the contract between the
31 City of Little Rock and Friday, Eldredge & Clark, LLP, to exceed the contract amount of Forty-Five
32 Thousand Dollars ($45,000.00), to an amount not to exceed One Hundred Thirty Thousand
Wage I of 21
1 ($130,000.00) for legal services performed and billed prior to June 30,2020, provided Friday, Eldredge
2 &Clark,LLP,provides sufficient justification that is satisfactory.
3 Section 2. Funding for this increase in legal fees have been allocated in the 2019 Departmental
4 Budget.
5 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
6 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
7 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
8 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of
9 the resolution.
10 Section 4. Repealer. All ordinances and resolutions are hereby repealed to the extent of such
11 inconsistency.
