3 A RESOLUTION TO APPOINT FRIDAY,ELDREDGE&CLARK,LLP,AS
4 LEGAL COUNSEL FOR THE PROPOSED 2019 SHORT-TERM
5 FINANCING NOTE; AND FOR OTHER PURPOSES.

7 WHEREAS, it is necessary to have Legal Counsel to work with the City to perform legal services
8 related to the short-term financing of Fire and Police Equipment,Building Improvements and a Computer-
9 Aided Dispatch System; and,
10 WHEREAS,the City requested proposals from qualified firms to handle this work;and,
11 WHEREAS, the proposals were reviewed by a Selection Committee designated in accordance with
12 City Ordinance; and,
13 WHEREAS,the Committee has reviewed the competitive qualification proposals of four(4)law firms
14 and determined that Friday Eldredge&Clark, LLP,to be the most qualified to assist with the issuance of
15 this debt, and to fulfill other obligations of the City;
16 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
17 OF LITTLE ROCK,ARKANSAS:
18 Section 1. The Mayor and City Manager are hereby authorized to enter into an agreement with Friday
19 Eldredge&Clark,LLP, to act as Legal Counsel for the issuance of 2019 Short-Term Financing Note.
20 Section 2. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
21 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
22 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
23 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
24 ordinance.
25 Section 3. Repealer. All laws, ordinances, resolutions, or parts of the same, which are inconsistent
26 with the provisions of this resolution are hereby repealed to the extent of such inconsistency.
