3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO
4 TRANSMIT THE THIRD PAYMENT OF THE THREE (3)-YEAR
5 RENEWAL AGREEMENT WITH SHI, INC., IN THE AMOUNT OF
6 THREE HUNDRED THIRTY-TWO THOUSAND, EIGHTY-THREE AND
7 95/100 DOLLARS ($332,083.95), FOR THE CITY'S CORE CLIENT
8 ACCESS LICENSES AND ALL OTHER SOFTWARE THROUGH THE
9 MICROSOFT ENTERPRISE AGREEMENT; AND FOR OTHER
10 PURPOSES.

12 WHEREAS, the City has previously entered into agreements with SHI, Inc., to provide Core Client
13 Access Licenses for all City computer users for a period of up to three(3)years,and to provide services for
14 any new users; and,
15 WHEREAS, Resolution No. 14,487 (January 17, 2017) authorized the City to enter into a three (3)-
16 year Microsoft Enterprise Agreement for Core Client Access Licenses with SHI,Inc.,and all other software
17 products in a form acceptable to the City Attorney; and,
18 WHEREAS,the approval of this resolution will complete the renewals available to the parties through
19 the original contract; and,
20 WHEREAS, payment of certain Microsoft Core Client Access Licenses allows various software
21 applications to be used by its exiting 1,791 computer users through connections with all City servers; and,
22 WHEREAS, renewal of licenses through connections with the Microsoft Enterprise Agreement is
23 necessary to maintain the four (4) critical software products (e-mail, file shares, system management
24 services and share point); and,
25 WHEREAS, the three (3)-year renewal price for current users has been obtained through the State
26 Contract for such services and allows the City's computer users to continue to connect legally to all City
27 Microsoft services with the most current version of software; and,
28 WHEREAS, authorize the City Manager to make the third and final renewal payment in the amount
29 of Three Hundred Thirty-Two Thousand, Eighty-Three and 95/100 ($332,083.95), plus applicable taxes
30 and fees.
31 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
32 OF LITTLE ROCK,ARKANSAS:

1 Section 1. The City Manager is authorized to make the third and final payment of a three (3)-year
2 Microsoft Enterprise Agreement for Core Client Access Licenses with SHE, Inc., in a form acceptable to
3 the City Attorney, in the total amount of Three Hundred Thirty-Two Thousand, Eighty-Three and 95/100
4 ($332,083.95),plus any applicable taxes and fees,for the City's current users.
5 Section 2. Funds for this agreement are allocated as Three Hundred Nineteen Thousand,Nine Hundred
6 Eighty-Six and 93/100 Dollars($319,986.93),plus applicable taxes and fees,will be paid from Information
7 Technology Account No. 103030-61330;fifty-nine(59)Office 365 licenses,for a total of Eleven Thousand,
8 Seven Hundred Sixty-Three and 42/100 Dollars ($11,763.42), plus applicable taxes and fees, will be paid
9 from Housing and Neighborhood Account No. 103530-63390; payment of one(1)Office 365 License, for
10 a total of One Hundred Ninety-Nine and 38/100 Dollars ($199.38), plus applicable taxes and fees will be
11 paid from Planning Account No. 210330-60170; and payment for three(3) Skype Business Licenses for a
12 total of One Hundred Thirty-Four and 22/100 Dollars($134.22),plus applicable taxes and fees,will be paid
13 from District Courts Account No. 210229-60170.
14 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
15 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
16 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
17 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
18 resolution.
19 Section 4. Repealer. All laws,ordinances,resolutions,or parts of the same,that are inconsistent with
20 the provisions of this resolution, are hereby repealed to the extent of such inconsistency.
