HomeMy WebLinkAbout20980 1 ORDINANCE NO. 20,980 2 3 AN ORDINANCE TO DISPENSE WITH THE REQUIREMENT OF 4 COMPETITIVE BIDS; TO AUTHORIZE AN EXTENSION OF THE 5 SOFTWARE MAINTENANCE AGREEMENT WITH NORTHROP 6 GRUMMAN SYSTEMS CORPORATION, IN AN AMOUNT NOT TO 7 EXCEED TWENTY-FIVE THOUSAND, EIGHT HUNDRED THIRTY- 8 NINE DOLLARS ($25,839.00), PLUS TAXES, FOR UP TO FIVE (5) 9 MONTHS AT THE DISCRETION OF THE CITY MANAGER; TO 10 DECLARE AN EMERGENCY; AND FOR OTHER PURPOSES. 11 12 WHEREAS,the City uses a Computer-Aided Dispatch System for its 911 operations; and, 13 WHEREAS, this system is managed by Northrop Grumman Information Technology, Inc., through 14 software purchased by the City in 1996; and, 15 WHEREAS, Northrop Grumman Information Technology, Inc., has merged with and into its parent 16 company Northrop Grumman Systems Corporation ("Northrop Grumman"); and, 17 WHEREAS, because this software is a Northrop Grumman proprietary application, only Northrop 18 Grumman is authorized to provide the necessary updates and maintenance service required to protect 19 against a shut-down of the 911 Dispatch System; and, 20 WHEREAS, the City and Northrop Grumman entered into a five (5)-year Software Maintenance 21 Agreement (the "Agreement") effective December 1, 2009, whereby Northrop Grumman was to provide 22 Altaris Software maintenance services for the Customer's Computer Aided Dispatch System; and, 23 WHEREAS, the parties desire to extend the term of the Agreement for up to five (5) months at the 24 discretion of the City Manager, under the Scope of the Agreement; and, 25 WHEREAS,the parties also desire to also amend the Price and Payment schedule to the Agreement. 26 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 27 OF LITTLE ROCK,ARKANSAS: 28 Section 1. The City Manager is hereby authorized to execute an extension for up to five (5) months, 29 at the City Manager's discretion, of the Agreement with Northrop Grumman Systems Corporation, in a 30 form to be approved by the City Attorney, for Altaris Software maintenance services for a total amount 31 not to exceed Twenty-Five Thousand, Eight Hundred Thirty-Nine Dollars ($25,839.00), plus taxes, as 32 follows: !Page 1 of21 1 $15,503.25 for: December 1, 2014 to February 28, 2015 2 $ 5,167.75 for: March 1, 2015 to March 31, 2015 3 $ 5,167.75 for: April 1, 2015 to April 30, 2015 4 Section 2. Because of the need to have periodic software maintenance performed by Northrop 5 Grumman technicians in order to comply with the Northrop Grumman Altaris Software license 6 requirements and to protect the Computer-Aided Dispatch System for essential 911 services,the Board of 7 Directors declares that it is impractical and unfeasible to submit this matter to a competitive bid process, 8 and,therefore, waives competitive bidding. 9 Section 3. Funds for the specific agreement extension authorized by this ordinance are available in 10 the City's Network Operations Account No. 103001-63211. 11 Section 4. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or 12 word of this ordinance is declared or adjudged to be invalid or unconstitutional, such declaration or 13 adjudication shall not affect the remaining portions of the ordinance which shall remain in full force and 14 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of 15 the ordinance. 16 Section 5. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with 17 any provision of this ordinance are hereby repealed to the extent of such conflict. 18 Section 6. Emergency.
